LINKING AGREEMENT
BETWEEN
THE CITY OF GLENDALE, ARIZONA
AND
ARNOLD MACHINERY COMPANY

THIS LINKING AGREEMENT (this “Agreement”) is entered into as of this day of

, 20 , between the City of Glendale, an Arizona municipal corporation (the “City”), and

Arnold Machinery Company, a(n) Utah company authorized to do business in Arizona (“Contractor”),
collectively, the “Parties.”

RECITALS

On September 11, 2020under S.A.V.E Cooperative Purchasing Agreement, the State of
Arizona entered into a contract with Contractor to purchase the goods and services described
in the Contract No. CTRO051550 Forklifts , Repair and Preventative
Maintenance(“Cooperative Purchasing Agreement”), which is attached hereto as Exhibit A.
The Cooperative Purchasing Agreement permits its cooperative use by other governmental
agencies including the City.

Section 2-149 of the City’s Procurement Code permits the Materials Manager to procure goods
and services by participating with other governmental units in cooperative purchasing
agreements when the best interests of the City would be served.

Section 2-149 also provides that the Materials Manager may enter into such cooperative
agreements without meeting the formal or informal solicitation and bid requirements of
Glendale City Code Sections 2-145 and 2-146.

The City desires to contract with Contractor for supplies or services identical, or nearly
identical, to the supplies or services Contractor is providing other units of government under
the Cooperative Purchasing Agreement. Contractor consents to the City’s utilization of the
Cooperative Purchasing Agreement as the basis of this Agreement, and Contractor desires to
enter into this Agreement to provide the supplies and services set forth in this Agreement.

AGREEMENT

NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated by reference,
and the covenants and promises contained in this Linking Agreement, the parties agree as follows:

1.

Term of Agreement. The City is purchasing supplies and/or services from Contractor
pursuant to the Cooperative Purchasing Agreement. According to the Cooperative
Purchasing Agreement, purchases can be made by govetnmental entities from the date of
award, which was September 11, 2020, until the date the contract expires on September 10,
2023 unless the term of the Cooperative Purchasing Agreement is extended by the mutual
agreement of the original contracting patties. The Cooperative Purchasing Agreement,
however, may not be extended beyond September 10, 2025. The initial petiod of this
Agreement, therefore, is the period from the Effective Date of this Agreement until

September 10, 2023. The City may renew the term of this Agreement for two additional one-
year terms until the Cooperative Purchasing Agreement expires on September 10, 2025.
Glendale renewals are not automatic and shall only occur if the City gives the Contractor
notice of its intent to renew. The City may give the Contractor notice of its intent to renew
this Agreement 30 days prior to the anniversary of the Effective Date to effectuate such
renewal.

Scope of Work; Terms, Conditions, and Specifications.

A. Contractor shall provide City the supplies and/or services identified in the Scope of
Work attached as Exhibit B.

B. Contractor agrees to comply with all the terms, conditions and specifications of the

Cooperative Purchasing Agreement. Such terms, conditions and specifications are
specifically incorporated into and are an enforceable part of this Agreement.

Compensation.

A. City shall pay Contractor compensation at the same rate and on the same schedule as
provided in the Cooperative Purchasing Agreement, which is attached hereto as
Exhibit C.

B. The total purchase price for the supplies and/or services purchased under this

Agreement shall not exceed One hundred and sixty thousand dollars ($160,000) for
the entire term of the Agreement (initial term plus any renewals).

Cancellation. This Agreement may be cancelled pursuant to A.RS. § 38-511.

Non-discrimination. Contractor must not discriminate against any employee ot applicant for
employment on the basis of race, color, religion, sex, national origin, age, marital status, sexual
orientation, gender identity ot expression, genetic characteristics, familial status, U.S. military
veteran status or any disability. Contractor will require any Sub-contractor to be bound to the
same requirements as stated within this section. Contractor, and on behalf of any
subcontractors, watrants compliance with this section.

Insurance Certificate. A certificate of insurance applying to this Agreement must be provided
to the City prior to the Effective Date.

E-verify. Contractor complies with A.R.S. § 23-214 and agrees to comply with the
requirements of A.R.S. § 41-4401.

No Boycott of Israel. To the extent A-.R.S § 35-393 through § 35-393.03 ate applicable, the
parties hereby certify that they are not currently engaged in, and agree for the duration of the
Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined
in A.R.S § 35-393.

9. Uyghur Forced Labor Prevention Act (UFLPA). Contractor certifies that it does not currently,

and during the term of this Agreement, will not use:

a. the forced labor of ethnic Uyghurs in the People’s Republic of China;
b. any goods or services produced by the forced labor of ethnic Uyghurs in the

People’s Republic of China; and

c. any contractors, subcontractors or suppliers that use the forced labor or any
goods or services produced by the forced labor of ethnic Uyghurs in the
People’s Republic of China.

10. Attestation of PCI Compliance. When applicable, the Contractor will provide the City

annually with a Payment Card Industry Data Security Standard (PC] DSS) attestation of
compliance certificate signed by an officer of Contractor with oversight responsibility.

11. Notices.

Any notices that must be provided under this Agreement shall be sent to the Parties’

respective authorized representatives at the address listed below:

1. Statement of Need

1.1.

Pursuant to the Arizona Procurement Code, A.R.S. §41-2501 et seq., the State of Arizona has a
requirement for the purchase of Forklifts, Repair and Preventative Maintenance.

2. Introduction and Background

2.1.

The State of Arizona intends to establish statewide term contract for purchasing a wide range of
forklifts, forklift repair and preventative maintenance. The range of forklifts include: 3K to 20K Ibs.
LP/gas powered; 3K to 12K lbs. electric powered, 18K to 35K Ibs. diesel powered.

3. General Requirements

The Contractor must be able to provide complete forklift units for purchase as well as provide forklift
repair and forklift preventative maintenance for the state’s existing forklift equipment containing
approximately 30 forklifts.

Forklifts supplied shall be based on a standard model of a manufacturer with experience in the
production of forklifts, equipped as necessary to meet the requirements of the Specifications. All
forklifts shall be complete with all equipment and accessories necessary for safe and efficient
operation.

Forklifts shall be delivered as a complete unit, certified and ready for immediate job site operation
within the State of Arizona.

The Contractor shall use material and design practices that are the best available in the industry for
the type of operating conditions to which the item(s) could be subjected. All parts, equipment and
accessories must conform in strength, quality of material and workmanship to recognized industry
standards.

The term “heavy duty” as used in these specifications shall mean that the item to which the term is
applied will exceed the usual quantity, quality or capacity supplied with standard production item(s)
and it must be able to withstand unusual straining exposure, temperature, wear and use.

Each component of the complete unit shall be adequate for and compatible with all structural and
performance demands placed upon it as a part of the complete unit. The equipment specified must
be equipped with those items normally supplied in the stream of commerce.

The equipment will be used statewide at elevations from near sea level to 8,000 feet elevation and in
ambient temperatures ranging from -10° to 125° F. The equipment must operate normally
throughout this range of conditions without special adjustments or alterations.

The complete equipment/material offer shall not include any major component that are of a
prototype nature or that have not been used in production for a sufficient length of time to
demonstrate reliability.

The equipment supplied must conform to all applicable OSHA (Occupational Safety and Health
Administration), FMVSS (Federal Motor Vehicle Safety Standards, Arizona Revised Statutes
regulations and other industry standards in effect at the time of delivery.

The dimensions, capacities, weights, and gauges stated in the written specifications are to be
considered nominal unless otherwise stated as a minimum, maximum, or exactly, for specific
strength, fit or purpose.

When equipment is purchased in quantities greater than one, each unit will be identical in all aspects
of design and manufacture. The total number of equipment purchased over the life of the contract is
dependent upon budget resources for each fiscal year, available funds, and unforeseen changes
within the Department.

The color of the equipment shall be the manufacturer’s standard color.

All equipment supplied pursuant to the resulting contract shall be new, unused, current production
models equipped as described in the manufacturer's published literature and specification sheets.
Any variations between the equipment offered, the descriptive literature and/or the specification
submitted shall be noted by the Contractor in a separate letter which shall be incorporated to the
resultant contract. The equipment specified herein shall be equipped with those items normally
supplied in the stream of commerce.

4. Specific Requirements
4.1. Technical Specifications for Purchased Forklifts

4.1.1. Counterbalance lift trucks shall have the range of lift capacities specified in 4.1.5.1 powered
by LP/gas, electric, and diesel fuel with pneumatic and cushion tires as available.

4.1.2. The Roll Over Protection Systems/Falling Object Protection Systems (ROPS/FOPS) structure
furnished, shall meet all applicable safety regulations, standards, and guidelines.

4.1.3. Brakes: The Contractor shall furnish Hydraulically-actuated service brakes, self-adjusting,
outboard mounted on drive axle, with non-asbestos linings. Mechanical hand-operated
parking brake.

4.1.4. Controls: The Contractor shall furnish permanently-labeled, easily legible controls within
easy reach of operator while seated.

4.1.5. Performance: The Contractor shall furnish:

4.1.5.2. Mast: The Contractor shall furnish:

4.1.5.2.3. Furnish 48” tall load backrest on fork carriage

4.1.6. Mast, Tilt, Forward/Back: The Contractor shall furnish manufacturer's standard mast tilt
feature.

4.1.7. Forks: The Contractor shall furnish two (2) each tapered forks, standard manufacturer's size
for each model.

4.1.8. Side Shift: The Contractor shall furnish hydraulic side shift mechanism for forks, to shift fork
carriage to either side.

4.1.9. Hydraulic System: Hydraulic reservoir shall include permanently affixed label close to fill cap
stating “Hydraulic Oil Only’. The oi! level sight glass in an easily visible position with
permanently inscribed mark or indicator for reservoir full level, and valve on suction line at
reservoir to permit removal of suction line without draining reservoir.

4.1.10. Engine Powered Forklifts: The engine shall be propane powered, industrial engine or diesel
engine as appropriate for the size of the lift truck.

4.1.11. Cooling System: The cooling system must be capable of supporting extended use of forklift
in 110° ambient temperatures. To include heavy-duty engine radiator with transmission oil
cooler.

4.1.12. Electrical: The electrical system shall have a 12 volt negative ground system.

4.1.13. Battery: The battery shall be maintenance free and as recommended by engine
manufacturer.

4.1.14. Filters: The filters shall be as recommended by engine manufacturer.

4.1.15. Fuel System: The fuel system shall be powered by liquid petroleum gas (LPG) gas and shall
have fixed bracket(s) and tank or diesel for larger lift trucks.

4.1.16. Gauges and Warning Lights: The Contractor shall furnish:
4.1.16.1. Electronic (LCD-type) engine hour meter.
4.1.16.2. Equipment to include manufacturer's standard gauge and warning light package

designed to alert the operator to critical engine, electrical, transmission, and
hydraulic system malfunctions and operating parameters.

4.1.17. Transmission — Internal Combustion Engine Forklifts: The Contractor shall furnish:

4.1.17.1. Powershift transmission with one each forward and reverse speeds — range shift
with 2 speeds larger size categories when available as standard offering.
4.1.17.2. Spin-on transmission oil filter.
4.1.18. Electric Forklift Propulsion System
4.1.18.1. The traction motor shall be 36 volt electric system for forklift propulsion.
4.1.18.2. A battery charger shall be furnished for the electric forklift.
4.1.19. Safety Equipment
4.1,19.1. The equipment shall have electric backup alarm, minimum 100 dbA self-adjusting
based on background noise, and weatherproof.

4.1.19.2. The horn shall be electric.

4,1.19.3. The equipment shall have two (2) front LED working lights, one (1) rear LED
working/backing light and a brake/tail light.

4.1.19.4. The lights shall include Amber Class 1 LED strobe light mounted under the
FOPS/ROPS structure.

4.1.19.5. The equipment shall have 2.5 Ib. minimum dry chemical fire extinguisher.
4.1.20. Seating: The seating shall be standard low-back bucket seat with lap-type seat belt.
4.1.21. Steering: The equipment shall have hydrostatic steering, functioning independent of engine
speed with tilt steering column.
4.1.22. Tires/Wheels (Pneumatic Tire Models)
4.1.22.1. Pneumatic tires (pneumatic shaped solid) are required for proper traction in
gravel and/or unpaved lots, as well as concrete shop floors.

4.1.22.2. Drive Axle: Single Pneumatic tire and wheel on each side, with non-directional
traction tread. When standard product capacity requires dual tires on each side,
they must be furnished.

4.1.22.3. Steer Axle: Single Pneumatic tire and wheel on each side, with non-directional
traction tread.

4.1.22.4. Tires and wheels on each axle shall have load ratings equaling or exceeding the
maximum rated load for the axle.

4.1.23. Optional Equipment: These options must be included as part of the catalog offering and are
subject to the discount pricing listed on the Offer Response form in section 1.6. These are
noted as minimum requirements only and are not limited to:

4.2. Training Requirements for Forklift purchases:

The Contractor shall provide, arrange and coordinate factory-authorized operator and
preventative maintenance training at the Departments requested locations. The training
shall be at no additional cost to the Department.

If the Contractor forfeits or is unable to perform training within the three (3) month
requirement, as outlined below, the Contractor could incur the cost of the Department
obtaining the training requirements from an outside training institution and/or “other
vendor/supplier.

Only qualified, factory-trained personnel shall conduct all training sessions in accordance
with contract specifications. Qualified means that the trainer has a high level of knowledge
and experience relating to the type and model of equipment purchased. Operator and
technician training must be completed within three (3) months of the acceptance date of
the vehicle or equipment by the Department. After initial Contractor technical training, the
Contractor shall return three (3) months prior to the expiration of the warranty to conduct
refresher mechanic training.

The minimum qualifications of the Contractor training personnel are as follows:

4.2.4.1. Persons conducting the operator's training must have at least one (1) year of
hands on experience of operating the equipment purchased.

4.2.4.2. Persons conducting the technician training must be certified Master Technician
and must have at least one (1) year of hands on experience in performing
preventative maintenance and repair of the equipment purchased.

4.2.4.3. The Contractor will be required to provide and maintain the contact names and
numbers, and certifications (if applicable) of the individuals who will be providing
the operator and service training at the post award meeting.

4.2.4.4. The Contractor may be required to conduct additional training at no cost to the
Agency, to satisfy the operational and technical training requirement. If necessary,
the Contractor shall conduct additional training at the same locations.

Operator Training: The Contractor shall provide services of qualified, factory-trained
personnel for training sessions of no less than four (4) hours duration at the Agency location
within the State that will be receiving the equipment. Operator training will pattern the start
and stop times of each operator site location. The training shall contain the following
information:

4.2.5.8.3. Use the Operator's Manual to identify:
a. Special safety considerations including Cautions and Warnings
applicable to the operation of the equipment.
b. Manufacturer’s recommended preventive maintenance service
intervals and procedures including pre and post operational
inspection and service requirements.

4.2.5.8.4. Demonstrate on the equipment:
a. The ability to identify inspection and service points
b. Proper start up and shutdown procedures
c. Proper use of controls, in particular those that are new or unique to
this equipment model
d. The use of proper safety equipment

4.2.5.9.

The Contractor may videotape the training only with prior approval of the eligible
agency. The Contractor will provide the location with one (1) copy of any existing
visual aids/materials which cover the inspection, service and operation of the
specified equipment at the request of the Agency.

4.2.6. Technical Service Training

The Contractor must provide services of qualified, factory trained personnel for
training sessions of no less than eight (8) hours duration at the organization
location within the State that will be responsible for maintaining the equipment.
Training should pattern the operating hours of the shop.

Contractor preparation for conducting service training must consist of the
following items:

4.2.6.2.1. Course Outline provided to the Agency prior to training.

4.2.6.2.2. Cover class objectives at beginning of class

4.2.6.2.3. Projector and screen

4.2.6.2.4. Laptop/diagnostic computer

4.2.6.2.5. Power point presentation demonstrating component and systems
operation

4.2.6.2.6. Provide handouts for diagnostics, maintenance schedules,
vehicle/equipment operation, and repair.

4.2.6.2.7. Visual aids for operation, teardown or repair.

The Contractor may videotape the training only with prior approval of the eligible
agency. The Contractor will provide the location with one (1) copy of any existing
visual aids/materials which cover the inspection, service and operation of the
specified equipment at the request of the Agency.

The Contractor must furnish the following manuals at no additional cost to the
Department:

The manuals and schematics supplied should provide complete and
comprehensive information on all equipment components and accessories, as
supplied to comply with this Specification, including wiring diagrams,
hydraulic/pneumatic schematics, if applicable (for engine, chassis and all
additional equipment added to the base vehicle or equipment).

The Contractor shall submit recommended lists of wear items and consumables
required to routinely service this equipment. If the part numbers are OEM
specific, a cross reference must also be provided to at least two (2) other

equivalent brands. The manuals and schematics supplied will provide complete
and comprehensive information on all equipment components and accessories, as
supplied to comply with this specification.

The Contractor shall provide complete maintenance/service support including
manufacturer website access and subscriptions for maintenance and parts,
diagnostic computer software and diagnostic hardware with communication
modules and scanners.

If changes, modifications, additions or alterations of any kind are made on the
equipment, the Contractor will provide blueprints, line drawing and descriptive
text sufficient to allow one of average skill in general mechanics to diagnose,
repair and maintain the equipment and all components.

On equipment assembled from manufactured components, the parts manuals
must show the Manufacturer of each part and all cross referencing between the
Contractor and the Manufacturer.

The books and manuals will be delivered to the Agency, preferably with the
delivery of the first unit, but no later than delivery of the last unit identified by
each purchase order.

The Agency reserves the right to reproduce any material for educational purposes
only.

4.3. Diagnostic Equipment/Subscriptions: The Contractor shall supply a diagnostic scan tool, laptop
program, or yearly subscription to each Agency location responsible for repairing the equipment at

no additional cost.

4.4. Parts and Repair Services: The Contractor shall provide locations that are capable of providing
repairs, parts, and preventive maintenance (PM) services when requested by an Agency. Preventative
maintenance shall follow the manufacturer's requirements.

4.4.1. Certifications/Safety Standards/Regulations: The Contractor shall provide all necessary
parts, supplies and labor necessary to perform repairs and shall meet or exceed all
manufacture’s recommendations and standards. Repair services shall be performed in
conformance with all provisions of this contract, legal statutes, code requirements, industry
standards and applicable OEM specifications.

4.4.2. Shop Supplies: Shop Supplies shall not exceed 5% of the total labor cost per job and will not
exceed a total of $150.00 per job. No item shall be charged as a part if it is charged as a shop

supply.

4.4.3. Response Times: The Contractor shall provide turnaround time as estimated or quoted
when scheduling services with eligible agencies in order to reduce downtime on equipment.

5. Contractor's Responsibilities
5.1. Authorized Service and Repair Facilities

5.1.1. The Contractor shall have the ability to ensure acceptable performance under a statewide
contract. This includes the ability to create and manage numerous individual accounts for
order placement, billing and reporting purposes.

5.1.2. The Contractor shall be a manufacturer or dealer for manufacturer of forklifts.
Manufacturers shall have a servicing dealer located in Maricopa County, Arizona. Contractor
shall be able to deliver to Agency shown on purchase order from local dealer and provide
warranty repair at local dealer.

5.2. Warranty Claims Repair and Service: The Contractor shall assume the cost of transporting the
equipment from the State to the nearest service and repair facility if warranty repair cannot be
completed at the base location of lift truck, and returning the completed equipment back to the
State. The warranty for the equipment shall be no less than the manufacturer standard warranty.

5.3. Extended Warranty Plans: The Contractor may provide extended warranty plans for Agency
consideration as indicated in the Offer Response Form.
