LINKING AGREEMENT
BETWEEN
THE CITY OF GLENDALE, ARIZONA
AND
CITY WIDE PEST CONTROL, INC.

‘This Linking Agreement (“Agreement”) is entered into as of this day of » 20 , between
the City of Glendale, an Asizona municipal corporation (‘City’), and City Wide Pest Control, Inc., a

Domestic For-Profit (Business) Corporation, authorized to do business

in Arizona (“Contractor”),

collectively, the “Parties.”

RECITALS

On October 8, 2019, under

: City of Scotisdale procurement contract, the City of Scottsdale entered
into a contract with Contractor to purchase the goods and services described in the Pest Control
Services (“Cooperative Purchasing Agreement”), which is attached hereto as Exhibit A. The
Cooperative Purchasing Agreement permits its cooperative use by other governmental agencies
including the City.

Section 2-149 of the City’s Procurement Code permits the Materials Manager to procure goods and
services by participating with other governmental units in cooperative purchasing agreements when
the best interests of the City would be served.

Section 2-149 also provides that the Materials Manager may enter into such cooperative agreements
without meeting the formal or informal solicitation and bid requirements of Glendale City Code
Sections 2-145 and 2-146.

The City desires to contract with Contractor for supplies or services identical, or nearly identical, to
the supplies or services Contractor is providing other units of government under the Cooperative
Purchasing Agreement. Contractor consents to the City’s utilization of the Cooperative Purchasing
Agreement as the basis of this Agreement, and Contractor desires to enter into this Agreement to
provide the supplies and services set forth in this Agreement.

AGREEMENT

NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated by reference, and
the covenants and promises contained in this Linking Agreement, the parties agree as follows:

Term of Agreement. ‘he City is purchasing supplics and/or services from Contractor pursuant to
the Cooperative Purchasing Agreement. According to the Cooperative Purchasing Agreement,
purchases can be made by governmental entities from the date of award, which was October 8, 2019,
until the date the contract expires on October 8, 2024 unless the term of the Cooperative Purchasing
Agreement is extended by the mutual agreement of the original contracting parties. The Cooperative
Purchasing Agreement, however, may not be extended beyond October 8, 2025. The initial period
of this Agreement, therefore, is the period from the Effective Date of this Agreement until October
8, 2025. The City may renew the term of this Agreement for 1 until the Cooperative Purchasing
Agreement expires on October 8, 2025. Glendale renewals are not automatic and shall only occur
if the City gives the Contractor notice of its intent to renew. ‘Ihe City may give the Contractor notice
of its intent to renew this Agreement 30 days prior to the anniversary of the Effective Date to
effectuate such renewal.

Scope of Work: Terms, Conditions, and Specifications.

A. Contractor shall provide City the supplies and/or services identified in the Scope of Work
attached as Exhibit B.

B. Contractor agrees to comply with all the terms, conditions and specifications of the
Cooperative Purchasing Agreement. Such terms, conditions and specifications are
specifically incorporated into and are an enforceable part of this Agreement.

Com yensation.

A. City shall pay Contractor compensation at the same rate and on the same schedule as
provided in the Cooperative Purchasing Agreement, which is attached hereto as Exhibit C.

B. The total purchase price for the supplies and/or services purchased under this Agreement
shall not exceed fifty five thousand dollars ($55,000) annually or one hundred and ten
thousand dollars ($110,000) for the entire term of the Agreement (initial term plus any
renewals).

Cancellation. ‘This Agreement may be cancelled pursuant to A-RS. § 38-511.

Non-discrimination. Contractor must not discriminate against any employee or applicant for
employment on the basis of race, color, religion, sex, national origin, age, marital status, sexual
orientation, gender identity or expression, genetic characteristics, familial status, U.S. military veteran
status or any disability. Contractor will require any Sub-contractor to be bound to the same
requirements as stated within this section. Contractor, and on behalf of any subcontractors, warrants
compliance with this section.

Insurance Certificate. A certificate of insurance applying to this Agreement must be provided to the
City prior to the Effective Date.

E-verify. Contractor complies with A.R.S. § 23-214 and agrees to comply with the requirements of
A.R.S. § 41-4401.

No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the parties
hereby certify that they are not currently engaged in, and agree for the duration of the Agreement to
not engage in, a boycott of goods or services from Israel, as that term is defined in A.R.S § 35-393.

Uyghur Forced Labor Prevention Act (UFLPA), Contractor certifies that it does not currently, and
during the term of this Agreement, will not use:

a. the forced labor of ethnic Uyghurs in the People’s Republic of China;

b. any goods or services ptoduced by the forced labor of ethnic Uyghurs in the People’s
Republic of China; and

c. any contractors, subcontractors or suppliers that use the forced labor or any goods
or services produced by the forced labor of ethnic Uyghurs in the People’s Republic
of China.

Attestation of PC] Compliance. When applicable, the Contractor will provide the City annually with
a Payment Card Industry Data Security Standard (PCI DSS) attestation of compliance certificate
signed by an officer of Contractor with oversight responsibi

Contractor will provide pest control services on a monthly schedule and as needed as described in the City
of Scottsdale, Pest Control Services, Contract Number 20RPG04. Services include general insecr, bedbug,
rodent control, and termite treatment at various locations in the City of Glendale. Contractor to provide all
labor, rnaterials, and equipment necessary to complete the work identified. Contract will be licensed with
the Pest Management Division of the Arizona Department of Agriculture.

METHOD AND AMOUNT OF COMPENSATION
The method and amount of compensation is in accordance with Section 3 of this agreement.

The total amount of compensation paid to Contractor for full completion of all work required by the
Project must not exceed $55,000 annually or $110,000 for the entire term of the Agreement.

The City has discovered that in the original solicitation that numbers 23 and 147 were for
the same location. Offerors shall submit the two revised Pricing Proposal Form pages
instead of the pages from the original solicitation.

2. QUESTIONS AND ANSWERS

The following are the Questions (Q#) and Answers (A#) the City received during the Question
Submittal period.

The solicitation has a requirement that Offerors be licensed for Category 3 (Ornamental & Turf)
and Category 4 (Right-of-Way) which involve weed control versus the general pest and termite
control detailed in the Statement of Need. Would the City of Scottsdale remove the requirement
detailed in the solicitation related to Category 3 (Ornamental & Turf) and Category 4 (Right-of-
Way)?

Yes, the City of Scottsdale has revised Section B Contractor Qualifications No. 5 to remove the
requirement that Offerors/Contractors be licensed for Category 3 (Ornamental & Turf) and
Category 4 (Right-of-Way). Please see Changes/Clarifications 1 A above for additional details.

FIRM QUALIFICATIONS & EXPERIENCE

City Wide Pest Control, Inc. has been in business for over 35 years. Steven R. Skiba started the
business in 1980 and is still President and a “hands on” working officer of the company. Our State
PMD license number is 2317 since 1986 with Steven R. Skiba being the Qualifying Party licensed in
Categories 1,2A & 7. We are a Corporation in the State of Arizona and our office is located at 22405
N 18% Drive, Phoenix AZ 85027. We are a local, full service pest contro] company specializing in
General Pest Control, Bee Removal, Termite Control, Termite Inspections, Rodents, Bedbugs,
Mosquitoes, Scorpions, etc. We have over 30 technicians and 12 Customer Service Reps. Our
manager and assistant manager have been with City Wide twenty six years and twelve years
respectively. We are well established and experienced in servicing multi- site contracts for schools,
governments and private business. We are quite familiar with the Phoenix and Scottsdale area and
have held the City of Scottsdale Pest Control Contract in the past and currently hold the City of
Scottsdale Bee Removal contract.

We have experience with federal (post offices) state (state prisons) city (Phoenix, Scottsdale,
Apache Junction, Glendale, Tempe, Mesa, etc.) and county (all Maricopa county buildings) contracts.
We have a state wide contract with the Military Emergency Agencies. We also have a contract with
ADOT and provide services Statewide for them. Please refer to our reference sheet and you will see
state prisons, county buildings, city buildings, etc. Jt fs without a doubt that we are a long
established and reliable company.

We have never had a contract cancelled for non performance or poor performance in thirty five
years and we are proud of that. In fact, we have on many occasions been asked to take over
contracts due to unsatisfactory services from other companies. We have office employees and field
management that are long time workers in this industry. In working together we can address any
problem or issue that could arise in this field.

City Wide Pest Control has had no lawsuits filed against and have never filed for bankruptcy.

We have a twenty-four hour emergency contact number so there is always someone available to
assist you.

Everything in the scope of this contract is work we understand and have experience in. We havea
complete and experienced grasp of the requirements of the contract.

Steven and Teresa Skiba own and manage the company. They are in the office daily and are aware
of the day to day business in their company. They can always be reached if needed.

Angela Lindgren has been with the company for 26 years. She has a great deal of experience in the
industry and working with large commercial accounts, multi-site contracts and public school
districts. She is state licensed in termite and pest contro). Angela trains al] of our office staff and is
always there if they or our customers should have any questions. She is familiar with the state and
federal laws that make requirements for schoo) districts, such as postings.

Sue Ray has been with the company for 12 years. She handles a lot of the administrative duties in
the office as well as large commercial accounts such as Maricopa County and ADOT. Sue is always
available to answer any questions and concerns the customer or staff may have.

We do background checks on all of our employees. Our technicians are trained to use discretion
at all times since we service a large amount of apartments and government agencies which require
us to be sensitive to the privacy of the property owner while providing service to the tenants.

All of our technicians are state licensed and are required to attend monthly continuing education
meetings, classes and seminars to maintain and improve their knowledge of the industry and keep
up with any innovations and improvements. The majority of our office staff is also state licensed
and they are extensively trained in customer service and particularly in handling commercial
contracts. The owner is a hands-on operator and pays attention to the customer service skills of
our staff as does our Office Manager and Assistant Office Manager.
