1 05/10/2023 C21-0554-4 AMENDMENT NO. 04 67TH AVENUE PAVEMENT RECONSTRUCTION - GREENWAY RD TO BELL RD (PROJECT NO. 202168, Contract No. C21-0554) This Amendment No. Four (“Amendment”) to the Professional Services Agreement (“Agreement”) is made this ______ day of ________, 2023, (“Effective Date”), by and between the City of Glendale, an Arizona municipal corporation (“City”) and Olsson, Inc. , a Nebraska corporation, authorized to do business in Arizona (“Contractor”). RECITALS A. City and Olsson, Inc. (“Contractor”) previously entered into Professional Services Agreement, Contract No. C21-0554, dated June 22, 2021 (“Agreement”); and B. City and Olsson, Inc. entered into Amendment No. One, Contract C21-0554-1, dated November 8, 2022, increasing the Scope of Services and Compensation by an additional $5,804; and C. City and Olsson, Inc. entered into Amendment No. Two, Contract C21-0554-2, dated January 24, 2023, again increasing the Scope of Services and Compensation by an additional $11,638; and D. City and Olsson, Inc. entered into Amendment No. Three, Contract C21-0554-3, dated March 14, 2023, again increasing the Scope of Services and Compensation by an additional $29,602; and E. On May 25, 2023, City and Olsson, Inc. entered into Contract Extension No. 1, extending the term of the agreement from June 22, 2023 through June 21, 2024. F. City is seeking to expand the Scope of Services and increase the Compensation by an additional $11,702; and G. City and Contractor wish to modify and amend the Agreement subject to and strictly in accordance with the terms of this Amendment. AGREEMENT In consideration of the mutual promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree as follows: 1. Recitals. The recitals set forth above are not merely recitals but form an integral part of this Amendment. 2. Term. The term of the Agreement is unchanged and shall expire on June 21, 2024. 3. Scope of Work. This amendment includes converting the full depth pavement section design to a 3-inch mill and overlay pavement section along 67th Avenue from Greenway Road to 2 05/10/2023 Bell Road. The consultant will evaluate the entire roadway corridor for thin degraded pavement areas to identify areas that will require full depth pavement replacement. Additional design scope efforts will add a Wavetronix Signal detection system at the intersection of 67th Avenue and Paradise Lane, and removing the landscape plans from the original roadway design and converting these into a separate stand alone design landscape design package. 4. Compensation. Additional compensation for Amendment No. 04 is $11,702, for a new total not to exceed the amount of $183,653.00. 5. Insurance Certificate. Current certificate will expire on January 1, 2024 and a new certificate applying to the extended term must be provided prior to this date to Materials Management and the Contract Administrator. 6. Non-discrimination. Contractor must not discriminate against any employee or applicant for employment on the basis of race, color, religion, sex, national origin, age, marital status, sexual orientation, gender identity or expression, genetic characteristics, familial status, U.S. military veteran status or any disability. Contractor will require any Sub-contractor to be bound to the same requirements as stated within this section. Contractor, and on behalf of any subcontractors, warrants compliance with this section. 7. No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the parties hereby certify that they are not currently engaged in, and agree for the duration of the Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined in A.R.S § 35-393. 8. Uyghur Forced Labor Prevention Act (UFLPA). Contractor certifies that it does not currently, and during the term of this Agreement, will not use: (a) the forced labor of ethnic Uyghurs in the People’s Republic of China; (b) any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China; and (c) any contractors, subcontractors or suppliers that use the forced labor or any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China. 9. Attestation of PCI Compliance. When applicable, the Contractor will provide the City annually with a Payment Card Industry Data Security Standard (PCI DSS) attestation of compliance certificate signed by an officer of Contractor with oversight responsibility. 10. Ratification of Agreement. City and Contractor hereby agree that except as expressly provided herein, the provisions of the Agreement shall be, and remain in full force and effect and that if any provision of this Amendment conflicts with the Agreement, then the provisions of this Amendment shall prevail. [Signatures on the following page.] Page 1 of 3 SCOPE OF SERVICES GENERAL Olsson is currently providing engineering design for roadway improvements as part of the 67th Avenue Pavement Reconstruction project. This scope of services is for additional services based on recent direction from the City. The added services are below: • Add detection system at 67th Avenue and Paradise Lane • Modify Pavement section along 67th Avenue from Greenway Road to Bell Road • Full depth pavement section at median island modifications • Evaluate thin or degraded areas of existing roadway pavement for full depth replacement. • Remove the landscape plans for original roadway design package and develop a separate design package for landscape only. SCOPE OF SERVICES Olsson shall provide the following services (Scope of Services) to Client for the Project: Signalization Improvements Olsson will prepare signal design documents for 67th Avenue and Paradise Lane to accommodate a new Wavetronix detection system per City of Glendale Engineering Design Standards & Details. Detection devices will be placed per direction of City of Glendale staff. Modify Pavement Section Olsson will modify the pavement section on 67th Avenue from Greenway Road to Bell Road to a 3” mill and overlay. Full Depth Pavement Section at Median The median island modifications will remain. Olsson will account for a new full depth pavement section in the areas where the existing median curb and asphalt is sawcut/removed and paved back. Evaluate Areas of Thin Roadway Olsson will utilize the pavement core samples from the Geotechnical Report to evaluate any areas of the existing pavement conditions where thin or degraded areas of existing roadway pavement are present. These locations may not support the 3” mill and overlay treatment. Olsson will develop a full-depth pavement section for these areas. A placeholder plan quantity will be calculated for the estimate and will be placed on the plans. Landscape Plans Olsson will remove the landscape plans, quantities and specifications from the original roadway design package. A new, separate design package will be prepared for the landscape plans only. Amendment #4 is included in this fee. NOT-TO-EXCEED AMOUNT The total amount of compensation paid to Consultant for full completion of all work required by the Project during the entire term of the Project must not exceed $183,653.00.
