1 05/10/2023 C23-0373-1 AMENDMENT NO. 1 DESIGN OF RIGHT TURN LANE AT 83RD AVENUE AND BETHANY HOME ROAD (PROJECT NO. 222333, Contract No. C23-0373) This Amendment No. 1 (“Amendment”) to the Professional Services Agreement (“Agreement”) is made this ______ day of ________, 2023, (“Effective Date”), by and between the City of Glendale, an Arizona municipal corporation (“City”) and WSP USA, Inc., a New York Corporation, authorized to do business in Arizona (“Consultant”). RECITALS A. City and WSP USA, Inc. (“Consultant”) previously entered into Professional Services Agreement, Contract No. C23-0373, dated April 11, 2023 (“Agreement”); and B. City and Consultant wish to modify and amend the Agreement subject to and strictly in accordance with the terms of this Amendment. AGREEMENT In consideration of the mutual promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and Consultant hereby agree as follows: 1. Recitals. The recitals set forth above are not merely recitals, but form an integral part of this Amendment. 2. Term. The term of the Agreement is unchanged and shall expire on April 10, 2024. 3. Scope of Work. This amendment includes providing legal descriptions and additional drainage design. All other items shall remian a part of the scope of work. 4. Compensation. The compensation for this agreement will increase by $27,609.28, for a new not to exceed amount of $87,210.50. 5. Insurance Certificate. Current certificate will expire on May 1, 2024 and a new certificate applying to the extended term must be provided prior to this date to Materials Management and the Contract Administrator. 6. Non-discrimination. Consultant must not discriminate against any employee or applicant for employment on the basis of race, color, religion, sex, national origin, age, marital status, sexual orientation, gender identity or expression, genetic characteristics, familial status, U.S. military veteran status or any disability. Consultant will require any Sub-contractor to be bound to the same requirements as stated within this section. Consultant, and on behalf of any subcontractors, warrants compliance with this section. 7. No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the parties hereby certify that they are not currently engaged in, and agree for the duration of the 2 05/10/2023 Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined in A.R.S § 35-393. 8. Uyghur Forced Labor Prevention Act (UFLPA). Consultant certifies that it does not currently, and during the term of this Agreement, will not use: (a) the forced labor of ethnic Uyghurs in the People’s Republic of China; (b) any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China; and (c) any contractors, subcontractors or suppliers that use the forced labor or any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China. 9. Attestation of PCI Compliance. When applicable, the Consultant will provide the City annually with a Payment Card Industry Data Security Standard (PCI DSS) attestation of compliance certificate signed by an officer of Consultant with oversight responsibility. 10. Ratification of Agreement. City and Consultant hereby agree that except as expressly provided herein, the provisions of the Agreement shall be, and remain in full force and effect and that if any provision of this Amendment conflicts with the Agreement, then the provisions of this Amendment shall prevail. TASK ORDER NO. 01 Project No. 222333: 83rd Avenue/Bethany Home Road Intersection Improvements Scope of Work Contract Modification No. 1 Extension of improvements to 250-ft north of Montebello Ave Addition of drainage analysis and design work Description This contract modification includes scope and fee for design of extending the proposed curb and gutter and sidewalk south of the current project limit, to match into the existing curb and gutter and sidewalk located approximately 250-ft north of Montebello Ave. Roadway and Drainage Design To provide a continuous curb and gutter from the intersection of Bethany Home Rd to connect to the existing curb and gutter will require creating a sump condition to capture and retain flows within the project limits. Per City of Glendale, no additional flows are to be allowed south of the new project limits. Hydrology calculations and hydraulic design are required to size the retention basin. Updates include gutter profile re-evaluation, basin drain time assessment, and design of linear retention basin parallel to 83rd Ave. Production efforts include two additional drainage design plan sheets and generating additional quantities. It is assumed that no geotechnical report or infiltration test will be conducted, Web Soil Survey will be used for the saturated conductivity rate. It is also assumed that the existing private irrigation ditch parallel to 83rd Ave is a constraint and therefore, the drainage design will proceed with a design that avoids impact to this ditch. Right-of-Way Additional right-of-way delineation and coordination efforts are anticipated for a new drainage easement and to assist the City in progressing discussions with the pending charter school development anticipated in the southeast quadrant of the intersection. It is assumed that 7 legal descriptions will be needed, 4 for New R/W and 3 for drainage easements. See attached Cooper scope and fee for additional information. Schedule The additional project work will impact the interim milestone dates and deliverables, potentially impacting the final deliverable date of November 17, 2023. A proposed schedule is included herein and will be finalized in coordination with the City of Glendale Project Manager within one week of Notice to Proceed (NTP) on this contract modification.
