JOINT PROJECT AGREEMENT
BETWEEN MARICOPA COUNTY AND NORTHERN CITRUS LLP
FOR IMPROVEMENTS TO NORTHERN AVENUE AND CITRUS ROAD
(C-64-25-____-X-00)
This Agreement (Agreement) is between the County of Maricopa, a political subdivision of the
State of Arizona (County), and Northern Citrus LLP, an Arizona limited liability partnership, or
Assignee, (Developer). The County and Developer are collectively referred to as the Parties or
individually as a Party.
STATUTORY AUTHORIZATION
1.
The County is authorized, pursuant to Arizona Revised Statutes (A.R.S.) § 11-251 and
§§ 28-6701 et. seq., to lay out, maintain, control and manage public roads within the
County.
BACKGROUND
2.
Northern Citrus LLP is developing Phase 3B of the White Tank Foothills Development, a
223 plus or minus gross acre site that is generally located on the northwest corner of
Northern Avenue and Citrus Road. The County and the Developer will improve Northern
Avenue and Citrus Road. The improvements will be completed in three separate projects,
listed below:
2.1.
Northern Avenue and Citrus Road Intersection Improvements (Project 1). Project
1 will result in the following improvements to Northern Avenue and Citrus Road,
also shown in Exhibit A, which is attached to this Agreement and incorporated by
reference. The total estimated cost of Project 1 is $2,106,122.61.
2.1.1.
Citrus Road, immediately north of the intersection, will have: one
dedicated southbound right-turn lane (westbound); one dedicated
southbound through lane; two dedicated southbound left turn lanes
(eastbound); one dedicated northbound through lane.
2.1.2.
Citrus Road, immediately south of the intersection, will have: one
dedicated southbound lane; one dedicated northbound left-turn lane
(westbound); one northbound through/right lane.
2.1.3.
Northern Avenue, immediately west of the intersection will have: one
dedicated westbound through lane; one dedicated eastbound left-turn
lane (northbound); one eastbound through/right lane.
2.1.4.
Northern Avenue, immediately east of the intersection will have: two
dedicated eastbound through lanes, tapering to one; one dedicated
westbound left-turn lane (southbound); one westbound through/right
lane (northbound).

2.1.5.
Lane Tapers: there will be lane tapering in all directions from the
Intersection for 660 feet to tie back into the existing paved roadways.
2.1.6.
Construct a traffic signal at the Northern Avenue and Citrus Road
Intersection (Project 1 Traffic Signal).
2.2.
West half street improvements on Citrus Road, between Northern Avenue and
Seldon Lane, and north half street improvements on Northern Avenue between the
southwest corner of White Tank Foothills Community and Citrus Road (Project 2).
These improvements will be completed and paid for by the Developer, separately
from this Agreement. The total estimated cost of Project 2 is estimated at
$4,124,303.
2.3.
When warranted, design and construct a traffic signal at the Citrus Road and
Seldon Lane Intersection (Project 3). These improvements will be completed and
paid for by the County, separately from this Agreement. The total estimated cost
of Project 3 is $500,000. Note: The Developer was originally responsible for
twenty-five percent (25%) of the cost, estimated at $125,000. However, both
Parties agreed that the Developer would reallocate these funds towards its cost
obligation of Project 1. Therefore, the Developer's contribution is twenty-five
percent (25%) of the total estimated cost of Project 1 and Project 3.
2.4.
Exhibit A, which is attached to this Agreement and incorporated by reference,
provides a depiction of the financial obligation of each Party for Project 1. However,
the approved plans shall supersede the exhibit.
3.
The estimated total Project 1 cost for design and construction is currently $2,106,122.61,
as described in Exhibit B for Project 1: Northern Ave and Citrus Rd Intersection.
3.1.
The County’s contribution is estimated at $1,455,807.08.
3.2.
The Developer’s contribution is estimated at $650,315.53.
4.
Items not included in each Party's Project 1 costs, shown in Exhibit B or as contemplated
by the approved Plan for Project 1 and Project 2, that exceed the County’s standards are
considered Project Enhancements (Enhancements) and will be the sole financial
responsibility of the Developer. Enhancements include, but are not limited to, landscape
and landscape irrigation, screen walls, upgraded street lighting, upgraded bridge barriers,
bus pads and shelters, monuments, signs and kiosks, shade structures, stamped asphalt
or concreate pavers, hardscape furniture, and underground utilities.

This Agreement does not change the terms and stipulations agreed to by this
development in the planning and zoning case. Unless explicitly stated in this Agreement,
all other contracts and Agreements with the County for this development remain in effect.

PURPOSE OF THE AGREEMENT
6.
The purpose of this Agreement is to identify and define the responsibilities of the County
and the Developer for the Project, including cost sharing, design, utilities, construction,
and construction management of the Project.
TERMS OF THE AGREEMENT
7.
Responsibilities of the County:
7.1.
Review and approve design plans for Project 1 and Project 2. All development and
engineering design shall be in conformance with Section 1205 of the Maricopa
County Zoning Ordinance; Drainage Policies and Standards; Floodplain
Regulations for Maricopa County; Maricopa County Department of Transportation
(MCDOT) Roadway Design Manual; and current engineering policies, standards
and best practices at the time of application for construction. These approvals will
not require Maricopa Water District (MWD) signatures on plans or require the
MWD design to be complete at the time of County plan approval.
7.2.
Be solely responsible for all of the actual Project 1 Traffic Signal design cost, as
referenced in Exhibit B, currently estimated at $18,000.
7.3.
Be solely responsible for all of the actual Project 1 Traffic Signal construction costs
as referenced in Exhibit B, currently estimated at $400,000 (including the value of
signal equipment furnished by the County and Developer’s installation costs).
7.4.
Be responsible for the actual cost of the County’s share of (i) the widening and
tapering for the area shown in yellow on Exhibit A. Project 1 construction costs
currently estimated at $1,037,807.08 (excluding the cost stated in paragraph 7.2
and paragraph 7.3), as described in Exhibit B for Project 1: Northern Ave and Citrus
Rd Intersection, and (ii) associated gabions on the north side of Citrus Road and
required guardrail, east of the intersection, and (iii) the MWD irrigation tiling
improvements along south side of this Citrus Road section. Construction costs
include improvements to Northern Avenue, east of the Northern Avenue and Citrus
Road Intersection radius return, and Citrus Road, south of the Northern Avenue
and Citrus Road intersection radius return, as shown in yellow on Exhibit A, as
depicted on the approved White Tank Foothills Phase 3B Offsite Improvements
plans.
7.5.
Furnish traffic signal equipment and any applicable street name signs to the
Developer at no cost to the Developer for the Northern Avenue and Citrus Road
intersection.

7.6.
Upon completion and approval of design, and within 30 days of receiving an
invoice from the Developer, pay $18,000 for the Project 1 Traffic Signal design.
7.7.
Provided that the Developer has awarded a contract with Contractor, upon start of
construction, and within 30 days of receiving a detailed invoice, pay the Developer
fifty percent (50%) of $1,037,807.08, based on paragraph 7.7.1., paragraph 7.7.2,
and paragraph 7.7.3. Upon final acceptance of Project 1, and within 30 days of
receiving a detailed invoice, pay the Developer the balance of all remaining actual
costs incurred by Developer, as contemplated by Exhibit B.
7.7.1.
County’s estimated contribution for Project 1, as referenced in paragraph
3.1: $1,455,807.08.
7.7.2.
Less County’s payment for Project 1 Traffic Signal design, as referenced
in paragraph 7.6: $18,000.
7.7.3.
Less the traffic signal equipment cost furnished by the County, as
referenced in paragraph 7.3: $400,000.
7.8.
Be responsible for the Actual Cost to improve the Northern Avenue east leg, Citrus
Road south leg, and the Project 1 Traffic Signal installation as depicted on the
approved White Tank Foothills Phase 3B Offsite Improvements plans.
7.9.
Be responsible for up to fifty percent (50%) of the actual cost to design, construct
and relocate the Arizona Public Service (APS) overhead electrical. The additional
cost to relocate the APS overhead electrical improvements beyond what is
indicated in the Exhibit B budget for APS relocation expenses of the power line is
considered an Enhancement and will be the sole responsibility of the Developer.
The County’s contribution shall be limited to relocating the existing power poles.
The cost to relocate a single pole is approximately $10,340.
7.10. Be responsible for up to fifty percent (50%) of the actual cost of designing the MWD
infrastructure.
7.11. When warranted, be responsible for the actual cost to design and construct a traffic
signal at the Seldon Lane and Citrus Road intersection as a separate project.
7.12. Each budget and exhibit have detailed tasks within the budgets and contingencies.
In the event an unidentified task is encountered and the contingency does not
cover it, the County and the Developer will split the unforeseen cost, with the
County’s share at seventy-five percent (75%) and the Developer’s share at twenty-
five percent (25%). However, in the event of an unforeseen cost not contemplated
by the budget that would cause the actual costs to exceed one hundred and twenty
percent (120%) of the budget, the County and the Developer must meet to discuss
before continuing with the Project 1 improvements to reassess the budget and the
obligation of the cost. The above statement excludes unforeseen costs associated
with above ground traffic installation and equipment.

8.
Responsibilities of the Developer:
8.1.
Act as manager for Project 1 and Project 2, including the Project 1 Traffic Signal
design and construction for the Northern Avenue and Citrus Road intersection;
roadway and drainage design and construction; and utility coordination and
relocation.
8.2.
Submit design plans to the County for review and approval. All development and
engineering design shall be in conformance with Section 1205 of the Maricopa
County Zoning Ordinance; Drainage Policies and Standards; Floodplain
Regulations for Maricopa County; MCDOT Roadway Design Manual; as well as
the MWD design plans once completed; and current engineering policies,
standards and best practices at the time of application for construction.
8.3.
Upon completion and approval of the design, invoice the County $18,000 for the
Project 1 Traffic Signal design costs.
8.4.
After award of contract with Contractor and upon start of construction, invoice the
County for fifty percent (50%) of items identified in paragraph 7.7. Upon final
acceptance of Project 1, invoice the County for the balance of all remaining actual
costs incurred by Developer, as contemplated by Exhibit B.
8.5.
Be solely responsible for installing the traffic signal conduits in all four legs at the
Northern Avenue and Citrus Road Intersection and installing the County's provided
traffic signal.
8.6.
Be responsible for the Developer’s share of the Project actual construction costs
as described in Exhibit B for Project 1: Northern Ave and Citrus Rd Intersection,
currently estimated at $650,315.53. Construction costs include Northern Avenue
and Citrus Road intersection improvements within the radius returns, Citrus Road,
north of the radius returns, Northern Avenue, west of the radius returns; installation
of a five-foot by six-foot (5’x6’) concrete box culvert, and riprap as well as a twelve-
foot (12’) drainpipe along the eastern edge of Citrus Road, as shown in purple on
Exhibit A.
8.7.
Be responsible for the Actual Cost to improve the Northern Avenue west leg, Citrus
Road north leg, and the intersection improvements within the radius returns.
8.8.
Be responsible for fifty percent (50%) of the actual cost to design, construct and
relocate the APS overhead electrical. The additional cost to relocate the APS
overhead electrical improvements beyond what is indicated in the Exhibit B budget
for APS relocation expenses of the power line is considered an Enhancement and
will be the sole responsibility of the Developer. The County’s contribution shall be
limited to relocating the existing APS power poles. The cost to relocate a single
pole is approximately $10,340.

8.9.
Be responsible for fifty percent (50%) of the actual cost of designing the MWD
infrastructure.
8.10. Be responsible for west half street improvements along its frontage on Citrus Road,
and north half street improvements along its frontage on Northern Avenue. This
includes any necessary pavement, five-foot by six-foot (5’X6’) culvert
reconstruction and extension, sidewalk, curb, and gutter work, as well as any
required utility relocations or installations, as referenced in paragraph 2.2.
8.11. Be responsible for the dedication of right of way as identified in the final plat. The
half street right of way dedication width is 65-feet on the north side of Northern
Avenue and 65-feet on west side of Citrus Road.
8.12. Each budget and exhibit have detailed tasks within the budgets and contingencies.
In the event and unidentified task is encountered and the contingency does not
cover it, the County and the Developer will split the unforeseen cost, with the
County’s share at seventy-five percent (75%) and the Developer’s share at twenty-

8.13. The Developer shall be responsible for providing a performance bond to the
County for its share of the Project 1 improvement and the engineers cost estimate
for the west half street improvements of Citrus Road, and the north half street
improvements on Northern Avenue.
GENERAL TERMS AND CONDITIONS
9.
To the extent permitted by law, each Party will indemnify, defend and save the other Party
harmless, including any of the Party’s departments, agencies, officers, employees,
elected officials or agents, from and against all liability, loss, expense, damage or claim
of any nature whatsoever to the extent caused by any activity, condition or event arising
out of the performance or nonperformance by the indemnifying Party of any of the
provisions of this Agreement to be performed by the indemnifying party, including but not
limited to injuries or death of persons or damages to or destruction of property. In the
event of an action, the damages which are the subject of this indemnity shall include
costs, expenses of litigation and reasonable attorney’s fees.
10.
This Agreement shall become effective as of the date it is executed by all the governing
bodies of the Parties and shall remain in full force and effect until all the Project 1 and
Project 2 improvements indicated herein have been completed to the satisfaction of the
County. County agrees that regardless of whether the Project 1 or Project 2
improvements are complete or whether Developer has performed in accordance with this
Agreement, County will not as a result withhold or delay issuance of any permits, including

without limitation, building permits, with respect to any portion of Phase 3B of the White
Tank Foothills Development.
11.
This Agreement may be amended only upon written Agreement executed by all Parties.
12.
This Agreement is subject to the provisions of A.R.S. § 38-511.
13.
The Parties warrant that they are in compliance with A.R.S. § 41-4401 and further
acknowledge that:
13.1. Any contractor or subcontractor who is contracted by a Party to perform work on
the Project shall warrant their compliance with all federal immigration laws and
regulations that relate to their employees and their compliance with A.R.S. § 23-
214(A) and shall keep a record of the verification for the duration of the employee’s
employment or at least three (3) years, whichever is longer.
13.2. Any breach of the warranty shall be deemed a material breach of this agreement
of which breaching party may be liable for penalties including termination of the
agreement.
13.3. The Parties retain the legal right to inspect the papers of any contractor or
subcontractor employee who works on the Project to ensure that the contractor or
subcontractor is complying with the warranty above and that the contractor agrees
to make all papers and employment records of said employee available during
normal working hours in order to facilitate such an inspection.
13.4. Nothing in this Agreement shall make any contractor or subcontractor an agent or
employee of the Parties to this Agreement.
14.
Any contractor or subcontractor who engages in for-profit activity and has 10 or more
employees, if the value of the contract is a minimum of $1,000,000, certify it is not
currently engaged in, and agrees for the duration of this Agreement to not engage in, a
boycott of goods or services from Israel. This certification does not apply to a boycott
prohibited by 50 U.S.C. § 4842 or a regulation issued pursuant to 50 U.S.C. § 4842.
15.
Each Party warrants and certifies that neither it nor any contractor or vendor under
contract with the Party to provide goods or services toward the accomplishment of the
objectives of this Agreement currently has, and for the duration of the contract will not
use:
15.1. The forced labor of ethnic Uyghurs in the People's Republic of China.
15.2. Any goods or services produced by the forced labor of ethnic Uyghurs in the
People's Republic of China.

15.3. Any contractors, subcontractors or suppliers that use the forced labor or any goods
or services produced by the forced labor of ethnic Uyghurs in the People's Republic
of China.
If any Party becomes aware during the term of the Agreement that any contractor or
vendor is not in compliance with this paragraph, the Party shall notify the other Party
within five business days after becoming aware of the noncompliance. Failure of the Party
to provide a written certification that it has remedied the noncompliance within one
hundred eighty (180) days after notifying the public entity of its noncompliance, this
Agreement shall terminate unless the Term of this Agreement shall end prior to said one
hundred eighty (180) day period.
16.
It shall be a material breach of this Agreement for a Party to fail to observe or perform
any of the material covenants, conditions or provisions of this Agreement, where such
failure shall continue for a period of thirty (30) days after the non- defaulting Party provides
the defaulting Party with written notice of such failure; provided, however, that such failure
shall not be a Default if the defaulting Party has commenced to cure the Default within
such thirty (30) day period and thereafter is diligently pursuing such cure to completion.
The total aggregate cure period shall not exceed ninety (90) days unless the Parties
otherwise agree in writing. In the event of Default, the non-defaulting Party, at its option,
may terminate this Agreement without waiving any available remedies at law or in equity.
Notwithstanding anything to the contrary contained in this Agreement, each Party hereby
waives any right to recover punitive, indirect, consequential, special or other damages,
other than such Party’s actual damages.
17.
All notices required under this agreement to be given in writing shall be sent to:

Either Party may, by written notice to the other, specify a different address for notice. All
notices required or permitted by this Agreement or applicable law shall be in writing and
may be delivered in person (by hand or courier) or may be sent by regular or certified mail
or U.S. Postal Service Express Mail, with postage prepaid, or by commercial delivery
service performed with receipt. Any notice sent by certified mail, return receipt requested,
shall be deemed given on the date of delivery shown on the receipt card, or if no delivery
date is shown, the postmark thereon. If sent by regular mail, the notice shall be deemed
given 72 hours after the notice is addressed as required in this paragraph and mailed with

postage prepaid. Notices delivered by United States Express Mail or overnight delivery
service that guarantees next-day delivery shall be deemed given 24 hours after delivery
of the notice to the Postal Service or courier for delivery.
18.
Any funding provided for in this Agreement, other than in the current fiscal year, is
contingent upon being budgeted and appropriated by the governing bodies of the Parties
in such fiscal year. This Agreement shall be construed as a whole and in accordance with
its fair meaning and without regard to any presumption or other rule requiring construction
against the party drafting this Agreement.
19.
The waiver by any Party of any right granted to it under this Agreement is not a waiver of
any other right granted under this Agreement, nor may any waiver be deemed to be a
waiver of a subsequent right obtained by reason of the continuation of any matter
previously waived.
20.
Except as otherwise provided in this Agreement, all covenants, agreements,
representations and warranties set forth in this Agreement or in any certificate or
instrument executed or delivered pursuant to this Agreement shall survive the expiration
or earlier termination of this Agreement for a period of one (1) year.
21.
This Agreement may be executed in two or more counterparts, each of which shall be
deemed an original but all of which together shall constitute the same instrument. Electric
signatures are acceptable as original signatures.
22.
The Parties will execute and/or deliver to each other such other instruments and
documents as may be reasonably necessary to fulfill the covenants and obligations to be
performed by such Party pursuant to this Agreement.
23.
The venue for any claim arising out of or in any way related to this Agreement shall be
Maricopa County, Arizona.
24.
This Agreement shall be governed by the laws of the State of Arizona.
