LINKING AGREEMENT
BETWEEN
THE CITY OF GLENDALE. ARIZONA
AND
ICOR TECHNOLOGY INC.

the City of Glendale, an Aizona municipal corporation ('City"), and ICOR Technology Inc., an Ontario
business corporation, authorized to do business in Arizona ('Contnctor"),
collectively, the "Patdes."
RECITALS
On August 1.,2079, the federal goveflrment, a member of the General Services Administration (GSA),
entered into a contract urith Conttactor to purchase the goods and services described in contract
number GS-07F-0430V ("Cooperadve AgreemenC), which is attached hereto as Exhibit A. The
Cooperative Agteement allows its coopetative use by othet govemmental agencies, including the
City.
Section 2-149 of the City's Procutement Code permits the Materials Manager to procure goods and
services by participating with other governmental units in cooperadve puchasing agreements when
the best interests of the City would be served.

Section 2-149 also provides that the Materials Manager may enter into such cooperadve agreements
without meeting the formal or informal solicitation and bid requirements of Glendale City Code
Sections 2-145 and 2-746.

The City wishes to contract with Contactor for supplies or services identical to those being provided
to other units of govemment under the Cooperative Agreement. Contractor conseflts to the City's
cooperative use of the terms and conditions of the Cooperative Agreement, and agrees to provide
the supplies and services set fotth in the Statement of Work appended heteto as Exhibit B.
AGREEMENT
NOW, THEREFORE,
in consideradon of the foregoing recitals, which are incorporated by reference, and
the covenants and promises contained in this Linking Agreement, the parties agree as follows:
Term of Asreement.
A.
As provided in the Coopetative Agreement, purchases can be made by governmental entities
ftom the date of award, which was August 7,2079, until the date the contract terminates on
July 31, 2024, unless the term is extended by mutual agreement of the parties to the
Cooperative Agteement.
The Cooperadve Agreement, however, may not be extended
beyondJuly 37,2024. The initial period of this Agreement is the period ftom the Effective
Date of this Agteement until July 37,2024.

Contractor agrees to comply with all the terms, conditions and specifications of the
Cooperative Purchasing Agreement. Such terms, conditions and specifications are
specifically incogporated into znd are an enfotceable part of this Agteement.
Comoensation.
A.
City shall pzy Contactor compensation at the same rate and on the same schedule as
provided in the Cooperative Purchasing Agreement, which is attached heteto as Exhibit C.
B.
The total purchase price for the supplies and/or services puchased under this Agteement
shall not exceed two hundred frfty-thtee thousand dollats ($253,000) annually or two
hundred fifty-three thousand dollars ($253,000) for the entire term of the Agteement (initial
term plus any extensions).
Cancellation. This Agteement may be cancelled pursuant to A.R.S. $ 38-511.
Non-discrimination.
Contractor must not discrjrninate against any employee or applicant for
employment on the basis of race, color, lsligion, sex, national origin, age, tnarital status, sexual
otj,entation, gender identity or expression, genetic charactetistics, familial status, U.S. military vetetan
status or ^ny disability. Contractor will require any Sub-contractor to be bound to the same
requirements as stated within this section. Conttactor, and on behalf of any subconftactors, waffants
compliance with this section.
Insurance Certifi.cate. A certificate of insurance applying to this Agreement must be ptovided to the
City prior to the Effective Date.
E-veri4'. Contractor complies with A.R.S. S 23-214 and agrees to comply with the requirements of
A.R.S. S 41-4401.
No Boycott of Israel. To the extent A.R.S S 35-393 through S 35-393.03 ate applicable, the parties
hereby certiSr that they are not curently engaged in, and agree for the duation of the Agteement to
not engage in, a boycott of goods ot services from Israel, as that term is defined in A.R.S S 35-393.
Uyghur Forced Labor Prevention Act ([JFLPA). Conttactor cettifies that it does not curtendy, and
dudng the term of this Agteement, will not use:
a.
the forced labor of ethnic Uyghurs in the People's Republic of China;
b.
any goods or services produced by the forced labor of ethnic Uyghurs in the People's
Republic of China; and
c.
arly cofltt^ctors, subcontractors or suppliers that use the forced labor or any goods
or services produced by the forced labor of ethnic Uyghurs in the People's Republic
of China.
Attestation of PCI Compliance. \When applicable, the Contractor will provide the City annually with
a Payment Card Industry Data Security Standard ("CI DSS) attestation of compliance certificate
signed by an officet of Contractor with oversight responsibility.

GSA Schedule, and the price to be loaded in to GSA Advantage), the contractor should deduct the
appropriate basic discount from the list price and add the prevailing IFF rate to the negotiated
discounted price (Net GSA price). Current IFF rate is 0. 75%.

robots, tools, and equipment for EOD and SWAT.

EXHIBIT C
METHOD AND AMOUNT OF COMPENSATION
The method and amount of compensation is in accordance with Section 3 of this Agreement.
NOT TO EXCEED AMOUNT
The total amount of compensation paid to Contractor for full completion of all work required by the
Statement of Work must not exceed $253,000 annually or $253,000 for the entire term of the Agreement.
DETAILED PROJECT COMPENSATION
City shall pay Contractor compensation in accordance with the rates as set forth in the GSA Cooperative
Purchasing Agreement, Contract Number GS-07F-0430V. See attached quote for additional information.
