AMENDMENT NO. 1 
LINKING AGREEMENT WITH UTILITY CONSTRUCTION COMPANY, INC. 
(CITY OF GLENDALE, Contract No. C22-0631) 
This Amendment No. 1 ("Amendment") to the linking agreement ("Agreement") is made this __ _ 
day of ____ , 2024, ("Effective Date"), by and between the City of Glendale, an Arizona 
municipal corporation (City") and Utility Construction Company, Inc., an Arizona corporation, 
authorized to do business in Arizona ("Contractor"). 
RECITALS 
A.
City and Utility Constmction Company, Inc. ("Contractor") previously entered into a linking
agreement, Contract No. C22-0631, dated June 28, 2022 ("Agreement"); and
B.
On July 7, 2022, the City and Utility Construction Company, Inc. added the American Rescue
Plan Act (APPA) Contract Addendum to the agreement; and
C.
On April 27, 2023, contract extension 1 of 4 was exercised to extend the term of the agreement
from :tviay 19, 2023, through May 18, 2024; and
D.
City and Contractor wish to modify and amend the Agreement subject to and strictly in
accordance with the terms of tl1is Amendment.
AGREEMENT 
In consideration of the mutual promises set forth herein and other good and valuable consideration, 
tl1e receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree 
as follows: 
1.
Recitals. The recitals set fortl1 above are not merely recitals but form an integral part of this
Amendment.
2.
Term. The Term is being extended to May 18, 2025.
3.
Scope of Work. The Scope of Work is unchanged.
4.
Compensation. The compensation is increased by $3,300,000, resulting in the maximum
compensation amount available under this Agreement of $8,300,000. 
The additional
compensation is being provided so Contractor can perfotm additional tasks previously
assigned to anotl1er vendor and so tl1ere are adequate funds to address unscheduled corrective
maintenance and future capital improvement projects.
5.
Insurance Certificate. Current certificate will expire on July 1, 2024. A new insurance
certificate must be prO\·ided prior to this date to the i\faterials Manager and tl1e Contract
Administrator in order for this Agreement to remain in effect.
6.
Non-discrimination. Contractor must not discriminate against any employee or applicant
for employment on the basis of race, color, religion, sex, national origin, age, marital status,

The above referenced contract is hereby mutually extended for an additional one (1) year period until 
May 18, 2025.  This is the third year of a potential five-year agreement. Please indicate your desire to 
extend your contract by completing and emailing back the signed Contract Extension along with the 
following documentation:  
 
 Updated Certificate of Insurance (see terms and conditions of contract to ensure compliance). 
 Proof/Verification of ROC Licensing in good standing (if applicable). 
 Proof of any other applicable licensing related to your contract. 
 Proof/Verification of good standing with Arizona Corporation Commission or other State’s 
comparable Corporations/Business Division or Secretary of State (as applicable). 
 Updated Contact Information Sheet completed.

☐  Our contract pricing is based on a firm-fixed price list. We are providing an updated firm-fixed price list 
for 1GPA’s approval with this extension.

approval with this extension. Note: Percentage Discounts remain the same as per contract terms and 
conditions.  
 
☐  We are aware of new price lists that will be available during the upcoming contract year. We will 
present those when received. Current price lists will remain on file until updated price lists are received 
and approved by 1GPA.

It is the contractor’s responsibility to keep all pricing up to date and on file with 1GPA. All price changes 
must be provided to 1GPA for review and utilizing the same format provided in the contractor’s original 
proposal.  
 
By signing this document, vendor certifies that neither it nor its principals are presently debarred, 
suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in 
this transaction by any Federal department or agency; and in accordance with ARS § 35-394, the vendor 
is not currently and for the duration of the contract will not use the forced labor of ethnic Uyghurs in the 
People's Republic of China including goods, services, contractors, subcontractors or suppliers thereof. 
 
In addition, please verify that your company is providing usage reports as per the terms of your contract.

Except as otherwise expressly provided in this amendment, all of the terms and conditions of the 
Contract remain unchanged and in full force and effect.
