AMENDMENT NO. 1
Thunderbird Conservation Park Improvements
Design Phase Services
(Contract No. C22-0920)
This Amendment No. 1 (“Amendment”) to the Professional Services (“Agreement”) is made this
______ day of ________, 2024, (“Effective Date”), by and between the City of Glendale, an Arizona
municipal corporation (“City”) and J2 Engineering & Environmental Design, L.L.C., an Arizona
limited liability company, authorized to do business in Arizona (“Contractor”).
RECITALS
A.
City and J2 Engineering & Environmental Design, L.L.C. (“Contractor”) previously entered
into a Professional Services Agreement to prepare a Design Concept Report for the
Thunderbird Conservation Park, Contract No. C22-0920, dated September 13, 2022
(“Agreement”); and
B.
The City is seeking to expand the scope of services and increase the compensation to be paid
under this agreement by an additional $1,070,180; and
C.
City and Contractor wish to modify and amend the Agreement subject to and strictly in
accordance with the terms of this Amendment.
AGREEMENT
In consideration of the mutual promises set forth herein and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree
as follows:
1.
Recitals. The recitals set forth above are not merely recitals but form an integral part of this
Amendment.
2.
Term. The term of the Agreement is extended for a one-year period from September 13,
2025 through September 13, 2026, unless otherwise terminated or canceled as provided by the
Agreement. All other provisions of the Agreement except as set forth in this Amendment
shall remain in their entirety.
3.
Scope of Work. Provide professional design services and develop construction documents
as described in the attach exhibit.
4.
Compensation. The compensation to be paid as part of this agreement is increased by
$1,070,180, for a total not to exceed amount of $1,194,928.
5.
Insurance Certificate. Current certificate will expire on October 23, 2024. A new insurance
certificate must be provided prior to this date to the Materials Manager and the Contract
Administrator in order for this Agreement to remain in effect.

6.
Non-discrimination. Contractor must not discriminate against any employee or applicant
for employment on the basis of race, color, religion, sex, national origin, age, marital status,
sexual orientation, gender identity or expression, genetic characteristics, familial status, U.S.
military veteran status or any disability. Contractor will require any Sub-contractor to be bound
to the same requirements as stated within this section. Contractor, and on behalf of any
subcontractors, warrants compliance with this section.
7.
No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the
parties hereby certify that they are not currently engaged in, and agree for the duration of the
Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined
in A.R.S § 35-393.
8.
Uyghur Forced Labor Prevention Act (UFLPA). Contractor certifies that it does not
currently, and during the term of this Agreement, will not use:
(a)
the forced labor of ethnic Uyghurs in the People’s Republic of China;
(b)
any goods or services produced by the forced labor of ethnic Uyghurs in the People’s
Republic of China; and
(c)
any contractors, subcontractors or suppliers that use the forced labor or any goods or
services produced by the forced labor of ethnic Uyghurs in the People’s Republic of
China.
9.
Attestation of PCI Compliance. When applicable, the Contractor will provide the City
annually with a Payment Card Industry Data Security Standard (PCI DSS) attestation of
compliance certificate signed by an officer of Contractor with oversight responsibility.
10.
Ratification of Agreement. City and Contractor hereby agree that except as expressly
provided herein, the provisions of the Agreement shall be, and remain in full force and effect
and that if any provision of this Amendment conflicts with the Agreement, then the provisions
of this Amendment shall prevail.

Improvement
J2 Design Scope of Services for Construction Document Phase
Task 100 – Project Initiation
To gather the necessary field information to develop the basis for a schematic layout of the proposed
master plan improvements. J2 has included sub-consultants to complete a survey/summary of the
existing native plant material, to map the existing utilities on-site and off-site for a better understanding
of how to avoid future utility conflicts and geotechnical investigations to provide design direction
relative to structures and pavement design.

Project Kickoff Meeting & Site Visit
o
J2 will have Four (4) representatives at this meeting: our Project Landscape Architect,
Engineer, Senior Designer and Designer. This meeting is scheduled to be four (4) hours
in length, inclusive of travel time, and be held on-site. J2 will provide the agenda and
meeting minutes.
Task 200 – 60% Design Development
J2 will initiate development of our 60% Design Development Documents based on the approved master
plan layouts.

J2 will submit an electronic (PDF) set of plans (24” x 36”) developed to a 60% Design
Development level of completion to the COG for review and comment. The following sheets are
anticipated to be produced by J2 and will be included in the 60% set (and all subsequent sets)
for a total of one hundred (100) sheets.

After receiving comments from COG Staff on the 60% set of plans J2 will initiate development of our 95%
Pre-Final Construction Document submittal. J2 will submit plans to the COG for their review and
distribution.

Design Allowances for J2 Design
*** Please Note *** The list below only accounts for allowances that are proposed for J2 Design, a
summary of additional design allowances can be reviewed by referring to the included sub-
consultants proposals.
The following allowances may only be utilized if authorized in advance by the city. These allowances will
not be authorized until a full modified scope is known and may need to be increased if the required
scope exceeds the established allowance amount.
General Project Allowance – an allowance has been established to procure additional design services
outside of the current scope of work, as well for additional public outreach or attendance at meetings
not noted in this scope of work.
Misc. Structural Allowance – an allowance has been established to procure structural engineering
design and calculations for those elements outside of the bldgs. This could include walls, fencing, entry
gates, monuments, etc.

Sub Consultants
J2 has requested scope and fee submittals from the following sub-consultants:
Consultant Registered Survey (CRS) – To provide additional base mapping survey if not originally
covered with the Survey documents produced during the master plan phase.
Ninyo and Moore - To preform geotechnical boring at the proposed project site, and to provide a
summary of results and recommendation in the geotechnical report.
Safe Sites - To provide utility base mapping information and report of all existing utilities.
Native Resources - To perform a site survey of all existing native plant materials within the proposed
limits of disturbance and to provide a list of all salvageable plant materials (trees and cacti)
Jacobs - To provide grading and drainage, coordinate geometry, utility design and paving
construction drawings for the proposed improvements.
Weddle Gilmore - To provide architecture construction drawings for the proposed buildings.

General Understanding
The City of Glendale the (Owner) shall designate a person for the project to act as the Client’s
representative with respect to the services to be performed or furnished by the Project Team under this
agreement. Such person, department, or committee shall have complete authority to transmit
instructions, receive information, interpret, and define the Client's policies and decisions with respect to
the Project Team's services for the Project. The Owner shall also provide key team personnel to be
available in coordination meetings including operations and plan review representatives.
The Owner shall make available to the Project Team existing available data and records relevant to the
site that the Owner has available.
The Owner shall approve in a timely manner all criteria and information as to Client's requirements for
the Project including planning objectives and constraints, performance requirements, any budgetary
limitations, and the submittal by the Project Team at the various phases of the projects.
The Owner shall furnish to the Project Team, upon the request of Project Team for performing the
services, any existing pertinent data prepared by others, including electronic base maps, drawings of
physical conditions in or relating to existing surface or subsurface utilities or structures within the
planning area, hydrographic surveys, environmental or cultural assessments, impact statements, and
other relevant environmental or cultural studies pertaining to the project as the Owner has available.
The Owner shall give prompt notice to Project Team whenever Client observes or otherwise becomes
aware of any development that affects the scope of services or the time schedule of the Project Team.
The Owner warrants and represents that members of the Project Team have the right to enter upon the
real property involved herein, and extends this right to J2. The Project Team agrees to exercise due care
in the performance of all services pursuant hereto and acknowledges that it is at our own risk.
The Project Team has provided no environmental or cultural investigations on this site/project, has no
knowledge of any adverse environmental or cultural conditions on the site/project, and is not
responsible for and has no liability for any such environmental or cultural condition should one be
found. It is the responsibility of the Owner to investigate and make these environmental or cultural
determinations based on the best knowledge and information available at the time of this project.
Clearance to begin work shall be given prior to directing or ordering the preparation of any documents.

Design Assumptions and Exclusions
The following tasks are not included in this scope of services:
1.
The J2 Design Team has not included any City of Glendale Design Review Board or Commission
approvals
2.
The J2 Design Team has not provided any biological, environmental or cultural investigations on
this site/project, has no knowledge of any adverse environmental or cultural conditions on the
site/project, and is not responsible for nor has any liability for any such environmental or
cultural condition should one be found. It is the responsibility of the City of Glendale to
investigate and make these biological, environmental or cultural determinations based on the
best knowledge and information available at the time of this project. Clearance to begin work
shall be given prior to directing or ordering the preparation of any engineering documents
3.
This Design does not include the design of any below grade or submerged irrigation storage
system
4.
A J2 sub consultant has included requesting a bluestake design ticket and requesting maps of
utilities that respond to the bluestake design ticket. J2’s sub consultant will develop a utility
base map based on received information from utility companies.
5.
The J2 Design Team is not providing or producing any 404/408 Permits or 404/408 Applications
6.
J2 Design and it’s sub-consultants have not included any post-design scope with this proposal,
if requested a separate post-design proposal will be developed.
7.
The J2 Design Team has not provided any public involvement coordination or attendance at
any meetings.
We would expect to start our services promptly after receipt of your acceptance of this proposal and
complete our services in a timely manner. This exhibit represents the entire understanding of the Scope
of Services as set out herein and may only be modified in writing signed by both parties.
