AMENDMENT NO. 3
ARMORED CAR SERVICES
(RFP 17-24, Contract No. C17-0684)

This Amendment No. 3 (“Amendment”) to the Armored Car Services (“Agreement”)

| is made this day of ,2024, (“Effective Date”), by and between the
City of Glendale, an Arizona municipal corporation (“City”) and Brink's,
Incorporated, a Delaware corporation authorized to do business in Arizona (“Contractor,”
or “Brink’s”).

RECITALS
A. City and Dunbar Armored, Inc. previously entered into an agreement for Armored
Car Services, Contract No. C17-0684, dated August 8, 2017, (“Agreement”); and

B. On September 25, 2019, through Amendment No. 1 to the Agreement, Dunbar
Armored, Inc. ("Dunbar") assigned and transferred to Brink's all of Dunbar's rights
and obligations under the Agreement, as amended, and Brink's assumed all of
Dunbar's rights and obligations as provided in the Assignment; and

c. On September 29, 2022, Contract Extension 1 of 4 was exercised to extend the term
of the Agreement from August 8, 2022, through August 7, 2023; and

D. Contract Extension 2 of 4 was exercised to extend the term of the Agreement from
August 7, 2023, through August 7, 2024; and

E. On October 24, 2023, through Amendment No. 2 to the Agreement, an additional
$60,000 was added to this Agreement for a new not-to-exceed $210,000;

F. City and Contractor wish to modify and amend the Agreement subject to and strictly
in accordance with the terms of this Amendment.

AGREEMENT

In consideration of the mutual promises set forth in this Amendment and other good and
valuable consideration, the receipt and sufficiency of which are acknowledged by the parties,
the City and Contractor agtee as follows:

1. Recitals. ‘The recitals set forth above are not merely recitals but form an integral
part of this Amendment.

2. Term. ‘The contract shall expire August 7, 2025.

3. Scope of Work. ‘The Scope of Work remains unchanged.

4. Compensation. Rates for armored car services are hereby increased by 7.5%. Total
compensation under this Agreement is increased by $50,000 for a new not-to-exceed
amount of $260,000.

5. Insurance Certificate. A new insurance certificate applying to the extended term
must be provided prior to the Effective Date of this Amendment No. 3.

6. Ratification of Agreement. City and Contractor agree that except as expressly
provided in this Amendment, the provisions of the Agreement shall be, and remain
in full force and effect and that if any provision of this Amendment conflicts with
the Agreement, then the provisions of this Amendment shall prevail.
