1 05/10/2023 C24-0493-1 AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT WITH LLOYD CONSULTING GROUP, LLC for Grand Canal Linear Park Master Plan (City of Glendale, Contract No. C24-0493) This Amendment No. 1 (“Amendment”) to the Professional Services Agreement for the Grand Canal Linear Park Master Plan (“Agreement”) is made this ______ day of ________, 2025, (“Effective Date”), by and between the City of Glendale, an Arizona municipal corporation (“City”) and Lloyd Consulting Group, LLC, an Arizona limited liability company, authorized to do business in Arizona (“Contractor”). RECITALS A. City and Lloyd Consulting Group, LLC (“Contractor”) previously entered into a Professional Services Agreement for the Grand Canal Linear Park Master Plan, Contract No. C24-0493, dated May 31, 2024, (“Agreement”); and B. The Agreement had a one-year initial term beginning May 31, 2024 through May 30, 2025, with the option to extend for an additional one-year term; and C. The City is seeking to expand the scope of services provided under the initial Agreement to include irrigation design plans and construction documents for renovations to the existing irrigation system for Grand Canal Linear Park; and D. The City is increasing the amount of the compensation to be paid under this agreement by $163,550, for a new not to exceed amount of $199,220; and E. City and Contractor wish to modify and amend the Agreement subject to and strictly in accordance with the terms of this Amendment. AGREEMENT In consideration of the mutual promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree as follows: 1. Recitals. The recitals set forth above are not merely recitals, but form an integral part of this Amendment. 2. Term. The term of the Agreement is unchanged and shall expire on May 30, 2025. 3. Scope of Work. The scope of work is hereby amended to include irrigation design plans and construction documents for renovations to the existing irrigation system for Grand Canal Linear Park which includes installation plans, details and specifications for demolition and replacement of the irrigation system per the previously submitted system analysis and recommendation report. The West side design will include a fully renovated mainline system including pump station, gate valves, QC valves, air relief valves, sprinkler and drip remote 2 05/10/2023 control valves. The East side renovation will include new hydrometer valves, sprinkler and drip remote control valves. Both sides will receive designs for new control system and control wire in conduit. Renovation design plans will include full construction specifications for the irrigation system. Additionally, performance specifications will be provided for drip and sprinkler lateral repairs. Details of the full scope of work and the schedule are included in Exhibit A (attached). Any provision of Exhibit A contrary to the provisions of Contract No. C24-0493 are inacceptable. 4. Compensation. The total compensation for this Agreement for the additional work performed is increased by $163,550, for a new not to exceed amount of $199,220. 5. Insurance Certificate. Current certificate will expire on July 9, 2025 and a new certificate applying to the extended term must be provided prior to this date to Materials Management and the Contract Administrator. 6. Non-discrimination. Contractor must not discriminate against any employee or applicant for employment on the basis of race, color, religion, sex, national origin, age, marital status, sexual orientation, gender identity or expression, genetic characteristics, familial status, U.S. military veteran status or any disability. Contractor will require any Sub-contractor to be bound to the same requirements as stated within this section. Contractor, and on behalf of any subcontractors, warrants compliance with this section. 7. No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the parties hereby certify that they are not currently engaged in, and agree for the duration of the Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined in A.R.S § 35-393. 8. Uyghur Forced Labor Prevention Act (UFLPA). Contractor certifies that it does not currently, and during the term of this Agreement, will not use: (a) the forced labor of ethnic Uyghurs in the People’s Republic of China; (b) any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China; and (c) any contractors, subcontractors or suppliers that use the forced labor or any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China. 9. Attestation of PCI Compliance. When applicable, the Contractor will provide the City annually with a Payment Card Industry Data Security Standard (PCI DSS) attestation of compliance certificate signed by an officer of Contractor with oversight responsibility. 10. Ratification of Agreement. City and Contractor hereby agree that except as expressly provided herein, the provisions of the Agreement shall be, and remain in full force and effect and that if any provision of this Amendment conflicts with the Agreement, then the provisions of this Amendment shall prevail. 3 05/10/2023 [Signatures on the following page.] Page 1 Dec 20, 2024 Fred Sanchez 5959 W. We look forward to serving you in this exciting project. Please find our comprehensive scope and fee proposal as outlined below: Project Understanding We understand the project includes irrigation design of renovations to the existing irrigation system for Glendale Linear Park. • Project limits are between the Loop 101 Freeway west to 75th Avenue to the east, and just north of Cardinals Way, to the north of Camelback Road, as shown in the image below outlined in red: • Design will include installation plans, details and specifications for demolition and replacement of irrigation system per previously submitted system analysis and recommendation report. The West side design will include a fully renovated mainline system including pump station, gate valves, QC valves, air relief valves, sprinkler and drip remote control valves. The East side renovation will include new hydrometer valves, sprinkler and drip remote control valves. Both sides will receive designs for new control system and control wire in conduit. • Renovation design plans will include full construction specifications for the irrigation system. Additionally, performance specifications will be provided for drip and sprinkler lateral repairs. EXHIBIT A Page 2 Assumptions • Revised irrigation sprinkler layout any natural grass areas is not anticipated and not included. • Surrounding landscape, hardscape or fencing changes are not anticipated and not included. • It is understood the design will be completed in a single construction document set. The construction portion of the project will likely proceed in multiple phases and may take several years to fully complete. • It is assumed that available record drawings will be sufficient to locate existing utilities. If deemed necessary, a utility locate, and mapping service can be contracted to provide additional existing condition information. The cost of this service is not included in this proposal. • Repairs and replacement of landscape irrigation typically do not require permits. Because this project is located near or in a flood plain and a SRP canal, review and permitting of plans may be required. If it is determined that permits are required, they will be submitted to the appropriate jurisdiction. Permitting fees cost are not included. • Geotechnical services will not be included. Compaction testing, if deemed necessary shall be part of the construction cost and is not included in design fee. • Topographic survey is not included as part of this proposal. Existing record, Autocad drawings, and GIS data will be utilized for the master plan study. It is assumed that the City of Glendale has the existing Autocad files and will provide them for the design. If DWG (Autocad) files are not available than plan sets can be produced using publicly available satellite images, but this is not preferred. Roles & Responsibilities Lloyd will provide an irrigation system analysis and construction documents report which will include. • The construction documents will include comprehensive irrigation plans, details and specs. Valve locations and control wire routing will be included. Rerouting of lateral pipes from exiting valve location to new valve location will be included. • Construction details will be developed based on City of Glendale irrigation standards, additional industry standards and input from facility staff. These details will serve as standards for all phases of construction and can be used for future renovations. Details will include but not be limited to; RCV, QC, Isolation valve, mainline trench, lateral trench, sprinkler head, thrust blocks, restraint joints, hydrometers, air relief valves and any other components deemed necessary. • Irrigation specifications will be developed based on industry standards with input from facility staff. These details will serve as standards for all phases of construction and can be used for future renovations. Specifications will incorporate all aspects of irrigation system installation. • Additional details and specifications will be provided to repair or replace hardscape or landscape disturbed or demolished during irrigation work. These specifications are intended to be replace in kind and are not intended for new development. • The existing control system will be evaluated and options for modernization will be provided for City consideration. It is anticipated that the entire system will be replaced with a two-wire system that is capable or remote monitoring. • Pump station design will include details and equipment specifications. Pump station will be specified as a complete, pre-fabricated system. Page 3 Exclusions • Control system design (SCADA) • Relocation of existing utilities other than irrigation • Any irrigation or other design services related to adjacent facilities. • Electrical engineering (to be subcontract at cost plus markup only if required) • Plan review fees, permits, assessments, and other fees • Soils report and materials testing • Construction scheduling • Construction cost estimating other than rough opinion of probable cost • This scope does not include any revisions to landscape sprinkler or drip lateral zones. Performance specifications will be provided for repairs as needed but no specific layout changes or additions are anticipated. Page 4 SCOPE OF SERVICES 1.0 Irrigation Renovation Construction Documents Base scope includes design for replacement of field and half field mainline only. 1.1 Draft Plan Set (50% Design Development): Prepare schematic design plans based on the discussed mainline routing and valve locations. These documents will be approximately 50% complete and prepared for Owner Representative Review Process. These will include the following: 1.1.1 Cover Sheet 1.1.2 Existing Condition / Demolition Plans 1.1.3 Mainline Routing Plans (West Side Only) 1.1.4 Control Wire Routing Plans 1.1.5 Irrigation Construction Details Draft 1.1.6 Irrigation Specifications Draft 1.1.7 Preliminary Pump Station Design 1.1.7 One (1) design review meeting (Video call or on site) 1.2 Draft Plan Set (90% Draft Construction Documents): Prepare near complete construction document. These documents will be approximately 90% complete and prepared for Owner Representative Review Process. These will include the following: 1.2.1 Cover Sheet 1.2.2 Existing Condition / Demolition Plans 1.2.3 Mainline Routing Plans (West Side Only) 1.2.4 Control Wire Routing Plans 1.2.5 RCV and DRCV locations added to plans 1.2.6 Irrigation Construction Details 1.2.7 Irrigation Specifications 1.2.8 Coordinated Pump Station Design 1.2.9 One (1) design review meeting (Video call) 1.3 Final Plan Set (100% Signed and Sealed Construction Documents): Prepare final signed and sealed construction documents based on any comments or additions to the draft plan set. These documents will be 100% complete and prepared for issuance to the contractor or if necessary, permit review. These will include the following: 1.3.1 Cover Sheet 1.3.2 Existing Condition / Demolition Plans 1.3.3 Mainline Routing Plans (Full Site) 1.3.4 Valve and lateral plans (each field and common area, excluding stadium) 1.3.5 Irrigation Construction Details 1.3.6 Irrigation Specifications 1.3.7 Final Pump Station Design 1.3.8 One (1) final review meeting (Video call) 1.3.9 Additional submittals will be made to permit review as needed to resolve any comments. Page 5 2.0 Construction Administration (to be billed as Time and Materials not to exceed) Construction Administration is an optional service provided at the request of the City. This project is anticipated to be constructed over multiple years in multiple phases. The Fee given in this project is for the first construction phase only. The first phase is anticipated to take no more than 3 months of active on-site construction work. Contract can be renewed for additional fee before each phase as requested by Owner. 2.1 Equipment submittal review – Contactors must submit all proposed equipment for review. Review process will evaluate product for specification compliance or equivalent product. Review is not required for each phase unless there is a change in contractor or a requested change in equipment. 2.2 Construction Bid/Cost Review – Review proposed contractor cost proposals for scope inclusion. Review is for project expectation and inclusion only, evaluation of monetary value of time and materials is not included. 2.3 Schedule Review – Review proposed contractor schedule. Review is based on industry standard timelines and site specific schedule conflicts. No guarantees are granted on completion dates. 2.4 Coordination Meetings – Participate in contactor and owner meeting. Attendance at any or all contractor meetings is at the request of the owner on an as needed basis. Engineer attendance at meetings can add design intent information. 2.5 Construction Observation – Onsite observation of ongoing irrigation installation will be provided at Owner request and will be billed as time and materials. Construction observation can be scheduled on time intervals or milestones. Recommend milestone observations include; trenching, mainline installation, valve installation, and operational testing. The fee given in this report anticipates a 3 month long construction duration and includes 2 site visits per month for a total of 6 visits. 2.6 RFI Response – Engineer to answer any Request for Information generated by the contractor, related to clarification of construction documents or for additional instructions on unforeseen conditions. 2.7 Pay Application Review -Review the contractors pay applications for completion. Estimation of percent complete based on site observations will be applied toward pay application approval. 2.8 Change Order Review – Review of any contractor submitted change order or cost adds. This review is to determine if cost increase or deduct is valid based on unknown conditions or other verifiable justifications. 2.9 Project Close-out - Preparation of record drawings generated from contractor markups. Page 6 3.0 Reimbursable Costs 3.1 Expenses will be submitted on a time and materials basis and would include travel, mileage, printing, reproduction, minor permitting fees (if applicable), parking, delivery services, etc. All reimbursables will be billed to the Client at cost plus 5%. Please Note: While Lloyd does have a Tempe AZ office, the firm irrigation specialist is located in Colorado and out of state travel costs including flights, hotels and rental vehicles will be incurred by the project when on site presence is required. 4.0 Subconsultant Allowance Lloyd will subcontract with a licensed Electrical Engineer to provide the following scope of work. 4.1 Evaluate existing power for pump station and irrigation controllers. Onsite evaluation will be to determine what existing power is available and whether equipment is in serviceable condition / meets electrical code requirements. 4.2 Electrical plans will be provided at 90% and 100% construction document submissions. 4.3 The cost allowance provided assumes that no major upgrades are required and no new equipment is required. If field investigation finds significant damage or other reason to provide design for extensive electrical then an add service will be requested.
