AMENDMENT NO. 2  
PROFESSIONAL SERVICES CONTRACT 
 
 
 
This AMENDMENT No. 2 to the Michael Baker International, Inc. Professional Services 
Contract executed on September 6, 2019, is hereby made and entered into this 7th day of July, 2020 
by and between the City of El Mirage, an Arizona municipal corporation (“City”) and Michael Baker 
International, Inc., an Arizona corporation (“Consultant”).  
 
 
RECITALS 
 
WHEREAS, on September 6, 2019, the City and Consultant entered into a Professional 
Services Contract to provide Zoning Code Amendment support services to complete a technical 
evaluation of the current El Mirage Title XV: Zoning Code; Land Usage Volume 2 (Chapters 150 
through 155); and, 
 
WHEREAS, on January 7, 2020, the City and Consultant entered into the Amendment No. 1 
to Professional Services Agreement; and, 
 
WHEREAS, the City and Consultant have agreed to additional planning services to be 
provided by Consultant under said Contract and the compensation for those additional services as set 
forth in Exhibit "A"; and,   
 
WHEREAS, the City has reviewed and agreed to amend the original Professional Services 
Contract as stated. 
 
AMENDMENT 
 
NOW, THEREFORE, in consideration of the mutual promises and obligations set forth 
herein, the City and Consultant agree to amend the Professional Services Contract as follows:   
 
1. The Consultant shall provide additional planning services, as described in the attached scope 
of services set forth in Exhibit "A".   
2. The Professional Services Contract shall be amended to include compensation for these 
additional services in an amount not to exceed $45,056.00 and for a total contract amount of 
$78,256.00. 
3. The Contract shall be extended until June 30, 2021. 
4. Except as specifically modified above, all of the remaining terms and conditions of the said 
Contract shall remain and continue in full force and effect.

ZONING ORDINANCE UPDATE 
City of El Mirage 
 
DETAILED SCOPE & FEE 
 
PHASES 1.0 – Project Kick-Off, Community Feedback ($6,300) 
TASK 1.1 Community Meeting Workshop 
A community workshop will be held to present the project and identify/validate key development 
issues that are central to community members. This meeting will utilize multi-media presentations to 
give a brief overview of identified issues, along with explanations and the rationale used in the 
creation of the proposed revisions.  
 
TASK 1.2 Project Website  
An inviting, user-friendly website will be important to the project. Michael Baker will develop a 
project webpage that will serve as the hub for all project information. The website will serve as a 
repository for project documents as well as a virtual notice board for upcoming meetings and other 
project announcements. Social media, and other participation tools can be embedded in, or linked 
to, the main project webpage.  
 
PHASE 2.0 – Preparation of Annotated Outline ($2,576) 
TASK 2.1 Preparation of the Annotated Outline  
In tandem with Task 4.3 we will prepare a draft annotated outline that reflects all inputs and findings 
derived from the previous tasks, including the community immersion process.  
The annotated outline will provide a preview of the draft new ordinance structure by illustrating a 
chapter by chapter detailed description of the entire codes contents in an outline format to explicitly 
identify the intended changes and rationale for those changes. The annotated outline will serve as 
the “roadmap” for the actual update process and will include:  
• 
An overview of the structure and organization of the zoning ordinance  
• 
Descriptions of all zoning districts  
• 
Examples of how the code can be used to implement the general plan  
• 
Highlight potential conflicts and/or relationship to the subdivision regulations and how the 
suggested new zoning Ordinance provisions may trigger recommended changes to the 
subdivision regulations  
• 
Notation of obsolete areas removed and new content introduced

TASK 2.2 Review Annotated Outline with City Staff  
The annotated outline will be made available electronically to City Staff for their review. We will then 
meet with City staff to receive comments on the draft documents. The Michael Baker Team will 
incorporate suggested changes into the annotated outline. 
 
PHASE 3.0 - Draft Ordinance and Module Development ($27,800) 
TASK 3.1 Draft Ordinance Module #1: Zoning Districts, Use Provisions & Bulk Regulations 
As the Zoning Ordinance Update process progresses, we will manage the draft ordinance 
development process through the creation of a series of “modules”.  Module 1 is recommended to 
build on prior work (use type table and RA Zoning District) and focus on remaining Zoning Districts 
and Zoning Standards.  The draft ordinance language for this module will be based on the objectives, 
issues and findings of the Technical Memorandum. Up to 9 graphics will be generated for this 
module. 
 
SUB-TASK 3.1.a Test Mapping  
After drafting each module, we will evaluate and “troubleshoot” the draft ordinance 
language.  As part of this task, each module of the code will be “test-mapped” by applying 
new district regulations or standards to selected locations within the City, including 
established neighborhoods of several densities and housing types, major retail/ commercial 
districts outside the City center, and planned new neighborhood areas. Drafts will be 
adjusted as necessary based on the results of the test mapping process. 
 
SUB-TASK 3.1.b City Staff Review and Comment: Draft Ordinance Module #1 
For each module of the ordinance update, our team will provide staff with a draft copy for 
internal review and comment by all relevant City departments. The City’s project manager will 
then consolidate all internal staff comments into one master comment matrix form supplied 
by the Michael Baker team. We will then utilize this master comment matrix to conduct a 
detailed telephonic staff review meeting of each module.  
 
SUB-TASK 3.1.c Task Force Workshop: Draft Ordinance Module #1  
Following staff review the draft will be brought to a formal Task Force comprised of 
stakeholders in the community to comment and review proposed modifications. In this 
meeting a presentation will give a brief overview of identified issues, explanation and 
rationale used in the creation of the proposed revisions. Feedback will be taken and used in 
the preparation of the final Zoning Ordinance Update.  
 
TASK 3.2 Draft Ordinance Module #2: Accessory and Specific Use Provisions  
Module 2 will focus on Accessory & Specific Use Provisions (i.e. home occupations, cargo containers, 
Residential Parking, Mobile Vendors, wireless facilities, etc.).  The draft ordinance language for this

module will be based on the objectives, issues and findings of the Technical Memorandum. This Task 
shall include preparation of up to 5 specific use provisions and 4 total graphics. 
 
SUB-TASK 3.2.a Test Mapping  
After drafting each module, we will evaluate and “troubleshoot” the draft ordinance 
language.  As part of this task, each module of the code will be “test-mapped” by applying 
new district regulations or standards to selected locations within the City, including 
established neighborhoods of several densities and housing types, major retail/ commercial 
districts outside the City center, and planned new neighborhood areas. Drafts will be 
adjusted as necessary based on the results of the test mapping process. 
 
SUB-TASK 3.2.b City Staff Review and Comment: Draft Ordinance Module #2

the creation of the proposed revisions. Feedback will be taken and used in the preparation of 
the final Zoning Ordinance Update.  
 
TASK 3.3 Community Meeting Workshop:  Review Module #1 & 2 (Optional Task)  
On an as needed basis, as determined by the project team, a community workshop can be held to 
present/review key issues within Modules 1 & 2 that were identified as a priority or central focus of 
staff and Task Force review. This meeting will utilize multi-media presentations to give a brief 
overview of identified issues, along with explanations and the rationale used in the creation of the 
proposed revisions.  
 
TASK 3.4 Draft Ordinance Module #3: General Provisions and Signage 
Module 3 will focus on General Provisions (parking, lighting, landscaping, walls) and Signage.  The 
draft ordinance language for this module will be based on the objectives, issues and findings of the 
Technical Memorandum. Up to 10 graphics will be generated for this module. 
 
SUB-TASK 3.4.a Test Mapping  
After drafting each module, we will evaluate and “troubleshoot” the draft ordinance 
language.  As part of this task, each module of the code will be “test-mapped” by applying 
new district regulations or standards to selected locations within the City, including 
established neighborhoods of several densities and housing types, major retail/ commercial

districts outside the City center, and planned new neighborhood areas. Drafts will be 
adjusted as necessary based on the results of the test mapping process. 
 
SUB-TASK 3.4.b City Staff Review and Comment: Draft Ordinance Module #3 
For each module of the ordinance update, our team will provide staff with a draft copy for 
internal review and comment by all relevant City departments. The City’s project manager will 
then consolidate all internal staff comments into one master comment matrix form supplied 
by the Michael Baker team. We will then utilize this master comment matrix to conduct a 
detailed telephonic staff review meeting of each module.  Given the straightforward nature of 
this Module, no Task Force meeting is planned to review and/or discuss the content of this 
portion of the Zoning Ordinance.   
 
SUB-TASK 3.4.c Task Force Workshop: Draft Ordinance Module #3  
Following staff review the Task Force will receive a presentation on Module #3. The 
presentation will give a brief overview of identified issues, explanation and rationale used in 
the creation of the proposed revisions. Feedback will be taken and used in the preparation of 
the final Zoning Ordinance Update.  
 
TASK 3.5 Community Meeting Workshop: Review Module #3

Technical Memorandum. 
 
SUB-TASK 3.6.a Test Mapping  
After drafting each module, we will evaluate and “troubleshoot” the draft ordinance 
language.  As part of this task, each module of the code will be “test-mapped” by applying 
new district regulations or standards to selected locations within the City, including 
established neighborhoods of several densities and housing types, major retail/ commercial 
districts outside the City center, and planned new neighborhood areas. Drafts will be

the creation of the proposed revisions. Feedback will be taken and used in the preparation of 
the final Zoning Ordinance Update.  
 
PHASE 4.0 – Final Codification ($5,180) 
TASK 4.1 Code codification  
For reference during the public review period and formal adoption process, Michael Baker will 
package the final drafts of each module (zoning ordinance chapters) into a single coherent and 
readable document, with consistent format, table numbering, cross-references, and hyperlinks.  
 
TASK 4.2 Public Review  
The completed draft of the Zoning Ordinance Update will be posted on the City’s webpage for public 
review prior to formal review and adoption by the Planning and Zoning Commission and City 
Council. A hardcopy of the draft Zoning Ordinance Update will also be made available for review and 
reference at City Hall. Notification of the public review process will be completed in compliance with 
Arizona Revised Statutes. Any additional community outreach will be viewed as additional services. 
 
PHASE 5.0 – Public Hearing & Formal Adoption ($2,800) 
TASK 5.1 Planning & Zoning Commission Hearing:  Zoning Ordinance Update Recommendation  
As the first step in the formal adoption process, Michael Baker will assist City staff in presenting the 
specific technical aspects of the new code to the Planning and Zoning Commission.  This meeting will 
utilize multi-media presentations to give a brief overview of identified issues, along with explanations 
and the rationale used in the creation of the proposed revisions.  
 
TASK 5.2 City Council Hearing:  Zoning Ordinance Update Adoption  
As the final step in the formal adoption process, Michael Baker will assist City staff in presenting the 
specific technical aspects of the new code to the City Council.  This meeting will utilize multi-media 
presentations to give a brief overview of identified issues, along with explanations and the rationale 
used in the creation of the proposed revisions.  
 
REIMBURSABLES – Mileage, public meeting material, printing, etc. ($400) 
 
TOTAL PROJECT COST – PHASE 1.0 – 5.0 =  $45,056
