Contract No. C-22-22-105-X-02 Amendment No. 2 Robin Schaeffer Consulting, LLC Page 1 of 5 AMENDMENT NO. 2 TO THE AGREEMENT BETWEEN MARICOPA COUNTY AND ROBIN SCHAEFFER CONSULTING, LLC I. Maricopa County (“County”) and Robin Schaeffer Consulting, LLC (“Contractor”) fully executed a financial Agreement (“Agreement”) on or about December 14, 2021. The Agreement term began November 15, 2021, through December 31, 2022. The purpose of the Agreement is to create and implement a Nurse Workforce Practice Readiness Program (“Program”) for senior nursing students. The Contractor and the County are collectively referred to as the “Parties” and individually as the “Party.” The Parties fully executed Amendment No. 1 on or about June 8, 2022. The purpose of the Amendment is to increase the number of enrolled nursing students into the Program to 55, and to replace Exhibit B which clarified the Agreement funding amounts for the Contractor and anticipated amounts for Program activities. II. The Parties now agree to amend the Agreement by this Amendment No. 2 as follows: A. Revise Section 3.0 (Contractor Responsibilities), by revising the following subparagraphs 1. 3.3 by adding sub-subparagraph 3.3.1 as follows: 3.3.1 The Contractor shall engage and enroll 1800 students the Program per calendar year as follows: 3.3.1.1 2023 - 200 Students 3.3.1.2 2024 - 400 Students 3.3.1.3 2025 - 600 Students 3.3.1.4 2026 - 600 Students 2. Adding subparagraph 3.9 3.9 SYSTEM FOR AWARD MANAGEMENT - The Contractor shall have a valid Unique Entity Identifier (UEI) number and an active profile in the federal System for Award Management, or SAM.gov. Documentation of the UEI Number must be included in all project files. 3. Adding subparagraph 3.10 3.10 Reporting 3.10.1 Contractor shall track and record performance measure data for all services performed under the contract. 3.10.2 Contractor will be responsible for providing performance and financial reports and backup documents quarterly to the County. The County may ask for additional supporting documentation as necessary. Quarterly reports are due by the 15th day of the month following the end of the quarter. (Quarters run on a fiscal year basis July 1-June 30): 3.1.2.1 Quarter 1—July 1 through September 30 3.1.2.2 Quarter 2—October 1 through December 31 3.1.2.3 Quarter 3—January 1 through March 31 Contract No. C-22-22-105-X-02 Amendment No. 2 Robin Schaeffer Consulting, LLC Page 2 of 5 3.1.2.4 Quarter 4—April 1 through June 30 3.1.3 Quarterly Reports will include: 3.1.3.1 A list of names and contact information of persons receiving or who have received preceptor training. 3.1.3.2 Number of student enrolled/participating by university affiliation and partner assignment. 3.1.3.3 Performance information/measures on services provided for the prior three months and must include: 3.1.3.3.1 Number of hours served, and patient engaged 3.1.3.3.2 An executive summary of activities performed. 3.1.3.3.3 Detailed performance as required for each service type. 3.1.3.3.4 Summary demographic information on participants served which includes gender, race, ethnicity, and age. 3.1.3.4 Detailed financial reports showing expenditures for program and a cost per partner and per participant. 3.1.4 Annual reports are due by the 15th of July. Annual reports shall include. 3.1.4.1 Summary performance information on all applicable performance measure services provide for the prior four quarters. 3.1.4.2 Summary, financial information on services provided including amount spent by service provided. 3.1.4.3 Projected expenditures and performance levels. 3.1.4.4 An executive summary of all work conducted during the year, barriers to providing service, plans to address those barriers, and any other information the County should be aware of. 3.1.5 The contractor will be held accountable for ensuring successful outcomes/goals for the services they provide B. Revise Section 5.0 (Term) as follows: The Agreement term shall be extended from December 31, 2022, through December 31, 2026. C. Revise Section 10.0 (Funding, Invoicing, and Payment), subparagraphs 10.4, 10.5 and 10.6 as follows: 1. Add 10.4 The County shall pay the Contractor on a cost reimbursement basis a not-to-exceed amount of $1,375,151 for the extension term, identified in Exhibit C, incorporated into the Agreement. The Funding for this Amendment is provided under the American Rescue Plan Act, Coronavirus State and Local Fiscal Recovery Funds under the Assistance Listing Number 21.027. Add 10.5.5 Contractor shall submit monthly invoices per year, by the 15th of each month for cost reimbursement. 10.5.6 Upon execution of Amendment No. 2, the County may provide Contractor with funds for the licensing of Readiness to Practice Indicators (RPIs) costs. 3. Revise 10.6 The Contractor shall submit invoices to: HSDFinance@Maricopa.gov D. Add the following paragraph to the Agreement: 43.0 UYGHUR FORCED LABOR PREVENTION ACT (UFLPA) 43.1 Pursuant to A.R.S. § 35-394, the Contractor certifies that it is not currently using, and agrees for the duration of this Agreement to not use: 43.1.1 the forced labor of ethnic Uyghurs in the People’s Republic of China; 43.1.2 any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China; and 43.1.3 any contractors, subcontractors, or suppliers that use the forced labor of ethnic Uyghurs in the People’s Republic of China. 43.2 The Contractor further acknowledges and agrees that: 43.2.1 if the Contractor becomes aware during the term of this Agreement that it is not in compliance with this certification that the Contractor will notify the County within five (5) business days after becoming aware of the noncompliance; and 43.2.2 if the Contractor does not provide the County with a written certification that the Contractor has remedied the noncompliance within one hundred eighty (180) after giving notice thereof, the same shall constitute a material breach of this Agreement, which shall then terminate automatically, except that if the Agreement termination date occurs before the end of the remedy period, this Agreement terminates on the Agreement’s termination date. The County retains the legal right to inspect the records of the Contractor to ensure compliance with this certification for the duration of this Agreement. III. Section II above contains all the changes made by this Amendment No. 2. All other terms and conditions of the original Agreement and Amendment No. 1 shall remain unchanged and in full force and effect as executed by the Parties. IV. The undersigned is authorized to execute this Amendment No. 2, and it shall be effective upon approval and signature by both Parties.
