MEMORANDUM OF UNDERSTANDING BETWEEN MARICOPA ASSOCIATION OF GOVERNMENTS AND MARICOPA COUNTY FOR THE AZ-502 PLANNING GRANT FY 2021 U.S. DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT GRANT NUMBER AZ0234L9T022100 A. This non-financial MOU is between the Maricopa Association of Governments (“MAG”) and Maricopa County (“County”) administered by its Human Services Department, (“Department”), and pertains to MAG’s grant application submittal to U.S. Department of Housing and Urban Development (HUD). The County and MAG collectively are referred to as the “Parties” and individually as the “Party.” B. Purpose. The purpose of this Memorandum of Understanding (MOU) is to document Maricopa County’s commitment of in-kind match services. The County shall participate in Maricopa Regional Continuum of Care Planning Grant activities in accordance with 24 CFR § 578.39. MAG will submit a Grant application to HUD and will include Maricopa County’s participation in the Continuum of Care grant activities as in-kind match. C. Activities. The activities include working with MAG staff to develop strategies for ending homelessness and identifying resources that are available to meet that goal; collaborating on the Continuum of Care activities including participation in Continuum of Care Board, Committee, and workgroup meetings; evaluating the outcomes of Continuum of Care and Emergency Solutions Grant projects within the Continuum of Care; assisting with the development, review, and preparation of the HUD application; and participating in the annual Point-in-Time count and other data collection. D. Grant Period. The activities associated with the in-kind activities must be performed on or within January 1, 2023 and December 31, 2023. E. In-Kind Contribution. Maricopa County will provide in-kind match by participating in Grant funded activities, the value of the match activities is $100,000. F. Reporting. Maricopa County will provide the Maricopa Association of Governments (MAG) with documentation detailing the activities performed, ensuring eligibility in accordance with 24 CFR § 578.39. The documentation must include the position(s), the total number of labor hour(s) performed, hourly rate(s), mileage, and the date of the activity. The documentation shall be submitted via email on at least a quarterly basis to the MAG Program Manager and MAG Financial Contact. G. Contact Information. The term of this MOU shall commence on the January 1, 2023 and shall continue until the in-kind match is satisfied or until this MOU is otherwise terminated pursuant to this Section. b. All in-kind activities shall be completed, and the in-kind match requirement shall be satisfied on or before December 31, 2023. c. MAG has the right to terminate this MOU for cause or convenience, for fiscal limitations, or to abandon any portion of the project for which in-kind activities have not been performed by Maricopa County. In the event MAG terminates this MOU or any part of the in-kind activities as herein provided, Maricopa County, upon receipt of such notice, shall immediately discontinue all work under the MOU or at such date, if any, specified in the notice, whichever is later. d. The right is reserved by MAG to terminate this MOU by giving at least 24 (twenty-four) hours’ written notice prior to the effective date of termination unless MAG determines that immediate termination is necessary to protect the public health, safety, and welfare. e. Maricopa County shall take any actions that may be required to correct any breach by Maricopa County of this MOU at Maricopa County’s sole expense and in the most expedient manner as dictated by existing circumstances. In the event Maricopa County, upon notification by MAG of said breach, does not promptly take effective measures to correct said breach, MAG, without waiving any other rights or remedies that MAG may have at law or otherwise, may correct such breach; and Maricopa County shall reimburse MAG for all reasonable expenses and costs that may be incurred by MAG in performing such corrective action. I. WRITTEN CERTIFICATION PURSUANT TO A.R.S. § 35-393.01 If the MAG engages in for-profit activity and has 10 or more employees, and if this MOU has a value of $100,000 or more, then MAG certifies it is not currently engaged in, and agrees for the duration of this MOU not to engage in, a boycott of goods and services from Israel. This certification does not apply to a boycott prohibited by 50 U.S.C. § 4842 or a regulation issued pursuant to 50 U.S.C. § 4842. J. UYGHUR FORCED LABOR PREVENTION ACT (UFLPA) 1. Pursuant to A.R.S. § 35-394, MAG certifies that it is not currently using, and agrees for the duration of this MOU to not use: a. the forced labor of ethnic Uyghurs in the People’s Republic of China; b. any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China; and c. any contractors, subcontractors, or suppliers that use the forced labor of ethnic Uyghurs in the People’s Republic of China. 2. MAG further acknowledges and agrees that: a. if MAG becomes aware during the term of this MOU that it is not in compliance with this certification that MAG will notify the County within five (5) business days after becoming aware of the noncompliance; and b. if MAG does not provide the County with a written certification that MAG has remedied the noncompliance within one hundred eighty (180) after giving notice thereof, the same shall constitute a material breach of this MOU, which shall then terminate automatically, except that if the MOU termination date occurs before the end of the remedy period, this MOU terminates on the MOU’s termination date.
