Lease No. P-50220 Amendment No. 3 C-85-14-011-L-03 2014-138.3 Amendment No. 3 to License Agreement for Use of Real Property This Amendment No. 3 (“Amendment”) to License Agreement for Use of Real Property dated April 9, 2014, and amended November 2, 2016 and subsequently amended January 29, 2020 (collectively, “Agreement”) is made and entered into by and between the Town of Fountain Hills (“Licensor”) and Maricopa County, a political subdivision of the State of Arizona (“Licensee”) (Licensor and Licensee are collectively referred to herein as “Parties”). All capitalized terms not otherwise defined in this Amendment have the same meanings as contained in the Agreement. RECITALS WHEREAS, the Agreement is for use of property located at 16426 E Palisades Blvd., Fountain Hills, Arizona consisting of approximately 100 square feet of vacant space at the Fountain Hills Fire Station for Licensee’s Monitor Site, and WHEREAS, the term of the Agreement expires January 31, 2023, and WHEREAS, Licensee desires to: (a) renew the Agreement for an additional five-years, (b) add two additional five-year options to renew, (c) update notice address and (d) provide counterpart language. AGREEMENT NOW, THEREFORE, in consideration of the foregoing introduction and recitals, which are incorporated herein by reference, the following mutual covenants and conditions, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Licensor and Licensee hereby agree as follows: 1. The Recitals, by this reference, are hereby incorporated herein and made part of this Amendment. 2. The term of the Agreement is hereby extended for five (5) years commencing February 1, 2023 and expiring January 31, 2028. This Agreement is subject to the provisions of A.R.S. § 38-511, the provisions of which are incorporated herein by this reference. 3. Licensee shall have the option to renew the term of this Agreement for two (2) additional periods of five (5) years each at the same terms and conditions of the Agreement (“Renewal Option”). If Licensee wishes to exercise a Renewal Option, Licensee will provide written notice at least ninety (90) days prior to the term expiration date. Beginning on February 1, 2023 and thereafter annually and upon Licensor’s proper invoicing to Licensee, Licensee shall pay Licensor a license fee of Four Hundred Dollars ($400.00) until such time as the Agreement is terminated or expires. 5. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Electronic signatures shall have the same force and effect as original signatures. 7. This Amendment shall not become effective until it is executed by Maricopa County (“Effective Date”). 8. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the Agreement remain the same and in full force and effect.
