FIRST AMENDMENT TO  
REVOCABLE LICENSE AGREEMENT 
BETWEEN 
CITY OF MESA 
AND  
MARICOPA COUNTY 
 
RECITALS 
 
A. 
This First Amendment (“Amendment”) to that certain Revocable License Agreement 
(“Agreement”) dated May 6, 2021 is made and entered into by and between the City of 
Mesa, an Arizona municipal corporation in the County of Maricopa and State of Arizona 
(“City” or “Owner”), and Maricopa County, a political subdivision of the State of Arizona, 
(“User”) (collectively the “Parties” or individually a “Party”). The Agreement is for 
premises located at Mesa Library, 64 East 1st Street, Mesa, Arizona, 85201 (“Property”). 
The City hereby allows User use of 3,190 square feet of office space located in basement 
level of the Property (“Premises” or “Workspace”). 
 
B. 
The term of the Agreement expires on June 30, 2022. 
 
C. 
The Parties now mutually desire to enter into this Amendment to amend the Agreement to: 
(a) extend term; (b) provide renewal option; (c) revise termination language; and (d) update 
counterpart language. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, receipt and sufficiency of which is hereby acknowledged, City and User 
agree to amend the Agreement as follows: 
 
1. 
The Recitals, by this reference, are hereby incorporated into this Amendment.  
 
2. 
Capitalized terms used in this Amendment without definition shall have the meanings 
assigned to such terms in the Agreement, unless the context expressly requires otherwise. 
 
3. 
The term of the Agreement is hereby extended five (5) years, commencing July 1, 2022 
and expiring June 30, 2027.  This Agreement as amended is subject to termination pursuant 
to A.R.S. §38-511. 
 
4. 
User shall have the option to renew the term of this Agreement for one additional period 
of five (5) years at the same terms and conditions of the Agreement (“Renewal Option”). 
If User wants to exercise the Renewal Option, User will provide City written notice at least 
ninety (90) days prior to the term expiration date. The Agreement shall be renewed upon 
mutual agreement by both Parties in writing. 
 
5. 
Section 1 of the Agreement is hereby amended by deleting the second sentence and 
replacing it with the following sentence:

Either Owner or User may elect to terminate this Agreement for any reason or no reason, 
and such Party shall provide a ninety (90) calendar day written notice to the other.  
6. 
This Agreement, as amended, may be executed in two or more counterparts, each of which 
shall be deemed an original but all of which together shall constitute one and the same 
instrument. Electronic signatures shall have the same force and effect as original 
signatures. 
 
7. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement remain the same and in full force and effect, except 
as herein amended.
