FIRST AMENDMENT TO LICENSE AGREEMENT 
BETWEEN 
MARICOPA COUNTY  
AND 
PORTABLE PRACTICAL EDUCATIONAL PREPARATION, INC. 
 
RECITALS 
 
A. 
Maricopa County, a political subdivision of the state of Arizona (“Licensor”), and Portable 
Practical Educational Preparation, Inc., an Arizona non-profit corporation (“Licensee”), are parties 
to that certain License Agreement dated December 9, 2020 (“Agreement”). The Agreement is for 
access to and use of 126 square feet of allocated space in Facility 3 at Licensor’s West Valley One 
Stop Shop Career Center located at 4425 West Olive Avenue, Glendale, Arizona. 
 
B. 
The term of the Agreement expires on June 30, 2022. 
 
C. 
Licensor and Licensee now mutually desire to enter into this First Amendment to the Agreement 
(“Amendment”) to extend the term of the Agreement and replace counterpart signature language. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee 
agree to amend the Agreement as follows: 
 
1. 
The Recitals, by this reference, are hereby incorporated into this Amendment.  
 
2. 
Capitalized terms used in this Amendment without definition shall have the meanings assigned to 
such terms in the Agreement, unless the context expressly requires otherwise. 
 
3. 
The term of the Agreement is hereby extended one (1) year, commencing on July 1, 2022 and 
expiring on June 30, 2023 at the Base Rent of $18.50 per square foot annually, or $194.25 monthly, 
plus $255 annually for Shared Facility Operation Costs.  The Agreement is subject to termination 
pursuant to the provisions of A.R.S. §38-511.   
 
4. 
Section 39.0. Counterparts of the Agreement is hereby deleted in its entirety and replaced with 
the following: 
 
This Agreement may be executed in two or more counterparts, each of which shall be deemed 
an original but all of which together shall constitute one and the same instrument. Electronic 
signatures shall have the same force and effect as original signatures.  
 
5. 
The foregoing paragraphs contain all the changes made by this Amendment. All other terms and 
conditions of the Agreement remain the same and in full force and effect, except as herein amended.
