SECOND AMENDMENT TO 
ACCELA SOFTWARE LICENSE SUPPORT AND MAINTENANCE AGREEMENT 
 
This Second Amendment (“Second Amendment) is made as of the last date of signature below (“Second 
Amendment Effective Date”), by and between ACCELA, INC., a California corporation (“Accela” or 
“Contractor”), and MARICOPA COUNTY, a political subdivision of the State of Arizona (“County” or 
“Customer”) (together, “the Parties”), and amends the Agreement between the Parties dated June 24, 2015 and 
labeled Serial # 15042-CI, as firstly amended on June 5, 2020 (“Agreement”). 
 
WHEREAS, Accela and County wish to amend the Agreement pursuant to Section 6.10 of the 
Agreement, and in accordance with the terms and conditions of this Second Amendment; 
 
WHEREAS, the capitalized terms not otherwise defined herein will have the meanings ascribed to 
them in the Agreement; and 
 
NOW THEREFORE, in consideration of the mutual covenants and undertakings contained herein, and 
subject to the terms and conditions set forth herein, the Parties hereby agree as follows: 
 
1. Section 1.0 is hereby amended as follows: 
 
1.1 
This Contract is for a term of nine (9) years, beginning on the 30th day of June 2015 
and ending the 29th day of June 2024. 
 
2. County may, at its option and with the agreement of the Contractor, renew the term of this Contract 
for additional annual term up to a maximum of one (1) year. The County shall notify the Contractor in 
writing of its intent to extend the Contract term at least sixty (60) calendar days prior to the expiration 
of the original contract term, or any additional term thereafter. 
3. Exhibit A is hereby amended as follows:
