Purchase Agreement and Escrow Instructions
Action Requested: 
Approve and execute a Purchase Agreement and Escrow Instructions (PSA) for the purchase of real property and 
improvements located at 1950 S Country Club Dr, Mesa, from County Club URMTA, LLC, an Arizona limited liability 
company, and authorize the Chairman to execute all other documents required to purchase the property without 
further Board action provided the terms are in substantial conformance with the PSA and approved by legal 
counsel.  The purchase price is $7,756,500.00.  The property is being purchased for Public Health purposes.
This action takes place in Supervisory District 2
Additional Information:
The current site is a single parcel containing approximately 4.91 acres of land with two single-story buildings.  The 
Seller and County have agreed to split the parcel into two separate lots.  The Seller will keep one lot and the 
County will purchase the other.  The County purchased lot will be approximately 3.52 acres of land with a 29,726 
square foot single-story medical office building.  Escrow will open on the date that a fully executed PSA is 
delivered to the Escrow Agent and the County will make the Earnest Money Deposit in the amount of 
$100,000.00, which shall be refunded to the County if the County cancels this PSA during the Inspection Period 
among other things.  The Inspection Period is the later of sixty (60) days after full execution of the PSA or the 
recordation of the lot split.  Close of escrow shall occur 30 days following the completion of the Inspection Period.  
The Earnest Money Deposit shall be credited to County toward the purchase price at the close of escrow.
