FIRST AMENDMENT TO 
INTERGOVERNMENTAL AGREEMENT 
FOR THE USE OF REAL PROPERTY AND IMPROVEMENTS 
BY AND BETWEEN 
MARICOPA COUNTY 
AND 
MARICOPA COUNTY SPECIAL HEALTHCARE DISTRICT 
DBA VALLEYWISE HEALTH 
 
 
RECITALS 
 
WHEREAS, Maricopa County, a political subdivision of the State of Arizona (“County”) and 
Maricopa County Special Health Care District dba Valleywise Health (the “District”) entered into 
that certain Intergovernmental Agreement for the use of Real Property and Improvements dated 
December 8, 2021 (“Agreement”) for a portion (“Monitor Site”) of that certain real property and 
improvements known as 33 West Tamarisk Ave, Phoenix, Arizona, 85041 (Assessor Parcel No. 
113-30-064) (the “Property”) owned by the District, and the County and the District collectively 
are herein referred to as the “Parties” and individually as a “Party;” and  
 
WHEREAS, the Parties now mutually desire to enter into this First Amendment  to the Agreement 
(“Amendment”) to grant County the right to sublease its rights to use the Monitor Site and Property 
under the Agreement to any other governmental entity for purposes of environmental monitoring. 
 
AGREEMENT 
 
NOW, THEREFORE, in consideration of the following mutual covenants and other good and 
valuable consideration, the sufficiency and adequacy of which is hereby acknowledged, the Parties 
agree as follows:  
 
1. The Recitals are hereby incorporated into this Amendment by this reference. The 
Agreement, as amended, is subject to the provisions of A.R.S. 38-511 and may be 
cancelled by the County or the District pursuant thereto without any liability. 
 
2. Capitalized terms used in this Amendment without definition shall have the meanings 
assigned to such terms in the Agreement, unless the context expressly provides 
otherwise. 
 
3. District hereby grants County permission to sublease by sub-agreement or otherwise, 
in its sole discretion, the rights granted to it under the Agreement to use the Monitor 
Site and Property to any governmental entity for purposes of environmental 
monitoring.  
 
4. The Agreement may be executed in two or more counterparts, each of which shall be 
deemed an original but all of which together shall constitute one and the same

instrument. Electronic signatures shall have the same force and effect as original 
signatures.   
 
5. The foregoing paragraphs contain all of the changes made by this 
Amendment. All other terms and conditions of the Agreement remain the
