Amendment No. 2 to Agreement 
Between 
Wesley Community Center, Inc. 
And 
Maricopa County 
 
 
This Amendment No. 2 (“Amendment”) to Agreement by and between Wesley Community 
Center, Inc., an Arizona non-profit corporation, doing business as Wesley Community Health 
Center (“WCHC”) and Maricopa County, a political subdivision of the State of Arizona 
(“County”),  dated May 10, 2017 and Amendment No. 1 dated May 6, 2020 (“Agreement”), is 
made and entered into by and between the WCHC and County, sometimes collectively hereinafter 
referred to as the “Parties.” 
 
RECITALS 
 
A. 
The Agreement is for use an un-numbered room, consisting of approximately 416 square 
feet, located at 1625 N. 39th Avenue, Phoenix, AZ  85009-2149 (the “New Premises”), and 
  
B. 
The term of the Agreement expires May 31, 2022, and 
 
C. 
The Parties now mutually desire to enter into this Amendment to the Agreement to extend 
the term, provide notice of use of the New Premises and add non-appropriation of funds 
provision. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, WCHC and County 
agree to amend the Agreement as follows: 
 
1. 
The Recitals, by this reference, are hereby incorporated into this Amendment.  
 
2. 
Capitalized terms used in this Amendment without definition shall have the meanings 
assigned to such terms in the Agreement, unless the context expressly requires otherwise. 
 
3. 
The Agreement term is hereby extended three (3) years, to commence June 1, 2022 and 
expire May 31, 2025 (the “Extension Period”). For any reason or no reason and without 
consequence or liability, either party may terminate this Agreement upon sixty (60) days’ 
prior written notice to the other party.  The Agreement is subject to termination pursuant 
to the provisions of A.R.S. § 38-511, the provisions of which by this reference are 
incorporated herein.  This Lease may be terminated by County at the end of any fiscal year 
due to non-appropriation of funds without any penalty or liability to County. County’s 
fiscal year ends June 30 and Federal fiscal year ends September 30.

4. 
During the Extension Period the County shall remit to WCHC the sum of Five Hundred 
Fifty Dollars ($550.00) per month, plus rental tax, for the use of the New Premises.  
 
5. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement remain the same and in full force and effect. 
 
6. 
Counterparts; Electronic Signatures.  This Amendment may be executed in two or more 
counterparts, each of which shall be deemed an original but all of which together shall 
constitute one and the same instrument. Electronic signatures shall have the same force and
