SECTION 00500
JOB ORDER CONTRACT
A.
EFFECTIVE DATE:
This CONTRACT is entered into by and between the Owner and the Job Order Contractor
as Contract No. 220008-JOC, and shall be effective as of 4/26/2022.

RECITALS:
The scope of work and specifications for a broad range of services will be identified in individual
Task Orders which will be issued by the Owner from time to time. See EXHIBIT D hereto.
NOW THEREFORE, intending to be legally bound and for valuable consideration, the receipt and
sufficiency of which are acknowledged, the Owner and Job Order Contractor agree as follows:

AGREEMENT:
Article I.
THE CONTRACT
1.1
The Task Order and other Contract Documents explained in Section 7.1 below and the
definitions which are contained Section 00700, Exhibit A, govern this Job Order Contract.
Article II.
THE WORK
2.1
The Job Order Contractor shall execute the entire Work described by each Task Order,
including work which is reasonably inferable and necessary to produce the results intended by
the Contract and the Task Order.
Article III.
CONTRACT TIME
3.1
The Job Order Contractor shall have access to the area of the Work effective from the date of
the Notice to Proceed for the assigned Task and shall achieve Substantial Completion and Final
Completion of the Work no later than the performance period specified in each Task Order
issued. The length of this Contract for services will be for a period of three (3) years with two
one-year options to extend the contract, but in no event will this Contract’s Term continue
longer than five (5) years from the date of the Contract. The term of this Contract shall not be
extended. All Work issued hereunder must be completed in full by the final expiration date of
this Contract. Extensions to this Contract for years 4 and 5 may only be made by an amendment
signed by both parties. A permission to complete a Task Order that extends into Year 4 or
Year 5 does not extend the Contract in its entirety for the additional year.
3.2
The Job Order Contractor shall achieve Substantial Completion of the Work (as defined in
Section 00700, Article 9.8 herein, and evidenced by a Certificate of Substantial Completion)
not later than as specified in each Task Order.

3.3
The Job Order Contractor shall achieve (as defined in Section 00700, Article 9.9 herein, and
evidenced by a Certificate of Final Completion) no later than as specified in each Task Order.

Article IV.
CONTRACT SUM

4.1
The Owner shall pay the Job Order Contractor in current funds for the Job Order Contractor’s
performance of individual Task Orders in an aggregate amount not to exceed Five Hundred
Thousand Dollars and No Cents ($500,000.00) in total, and not to exceed One Million Dollars
($1,000,000.00) per Fiscal Year, which Fiscal Year shall be designated by the Owner as
beginning on July 1st and ending on June 30th of the next calendar year. The single maximum
value of a task issued shall not exceed $500,000.00. The Owner does not guarantee a minimum
Contract Sum under this Contract, and Job Order Contractor, in accepting this Contract, does
not expect a minimum Contract Sum. Payments will be made in accordance with the sum
negotiated for each specific Task Order.

Maricopa County, at its sole discretion, may require the Job Order Contractor to purchase from
a specified or designated County supplier (i.e. Home Depot) any and/or all available materials
applied or installed by the Job Order Contractor or its subcontractors for a Task Order. The
materials purchased by the Job Order Contractor(s), or its subcontractor(s), shall be purchased
by the Job Order Contractor(s), or its subcontractor’s, using their own funds and/or credit. Any
discounts offered to the JOC by the County’s material supplier shall be passed through to the
County without markup. The County is not a party to these transactions and any issue/disputes
shall be resolved without the involvement of the County.

4.2
FEE AND OVERHEAD CALCULATIONS FOR CONSTRUCTION COSTS UP TO $250,000.00

Overhead must be all inclusive and include all “costs of doing business”. The County will not
pay separately for items such as, but not limited to warranty, project closeout, home office
expense, personal safety equipment, safety personnel, unless safety personnel is specifically
required for the Work being performed and approved by the Owner. The Job Order Contractor
agrees the overhead shall be no more than 8% and the fee shall be capped at 5%.

4.3
FEE AND OVERHEAD CALCULATIONS FOR CONSTRUCTION OVER $250,000.00

Overhead must be all inclusive and include all “costs of doing business”. The County will not
pay separately for items such as, but not limited to warranty, project closeout, home office
expense, personal safety equipment, safety personnel, unless safety personnel is specifically
required for the Work being performed and approved by the Owner. Overhead cost and
percentages in addition to Job Order Contractor fee(s) shall be negotiated between the Job
Order Contractor and the County for any projects exceeding $250,000.00.
Article V.
PROGRESS PAYMENTS

5.1
Progress payments will be made in accordance with Article 9 of the General Conditions to the
Job Order Contract.

Article VI.
FINAL PAYMENT

6.1
Final Payment will be made in accordance with Article 9 of the General Conditions to the Job
Order Contract.

Article VII.
CONTRACT DOCUMENTS

The Contract consists of the following documents incorporated herein by this reference:

This endorsement modifies insurance provided under the following:

jury or damage arises has been put to its in-
tended use by any person or organization
other than another contractor or subcontrac-
tor engaged in performing operations for a
principal as a part of the same project.
3.
The limits of insurance applicable to the additional
insured are those specified in the written contract,
written agreement or written permit or in the Decla-
rations for this policy, whichever is less. These lim-
its of insurance are inclusive of, and not in addition
to, the Limits of Insurance shown in the Declara-
tions for this policy.

The preparing, approving or failing to prepare
or approve maps, shop drawings, opinions, re-
ports, surveys, field orders, change orders or
drawings and specifications; and

Supervisory, inspection, architectural or engi-
neering activities.

Any coverage provided hereunder will be excess
over any other valid and collectible insurance avail-
able to the additional insured whether primary, ex-
cess, contingent or on any other basis unless a
written contract specifically requires that this insur-
ance be primary.
When this insurance is excess, we will have no du-
ty under SECTION I—COVERAGES to defend the
additional insured against any “suit” if any other in-
surer has a duty to defend the additional insured
against that “suit.” If no other insurer defends, we
will undertake to do so, but we will be entitled to the
additional insured’s rights against all those other

Opening Statement

Dennis Smith is not “a-professional” at writing Proposals! Please keep that in mind as you read
this proposal. I want to mention how honored I’ve been over the past 17+ years working with
Maricopa County helping on all Segments of the Maricopa Trail & Sun Circle Trail as the trail
contractor you have selected in the past. This journey started with Chris Coover as the Trail
Manager. Chris Coover and the committee selected my firm as their CMR (Construction
Manager at Risk for (1) year. Then Maricopa County changed from CMR to JOC and once again
chose NWWS. Later when Chris Coover retired. John Rose was selected to take over as the
Trail Manager. He and I have worked together on the Maricopa Trail, Sun Circle Trail, and
inside many of the county’s park trails for many years to the present date. I’m proud to state
that all JOC orders over these 17+ years have always been finished on time and on budget!
Chris, John, & I have had many change orders that we all agreed on, and the prices were fair to
both parties.

Prior Experience

Construction Services by the JOC contractor may include, but are not limited to:
I state I have read all the items listed here on Pg 7 & 8 of this RFQ and I further state I
understand what is required, agree to perform all work orders in a timely manner and use cost
efficient methods. I further state I will give 100% to this JOC.

Note: If selected as a contractor, I will not be bidding on other trail projects. My firm would
always be available to help and perform all job orders. NWWS is very familiar with all that is
required to accomplish & complete the work that is stated and expected in this JOC/RFQ!

Prior Experience
Maricopa Parks and Recreation awarded the 1st CMR/JOC and all JOC’s in the past to the
present time. The first year was 2004? Estimate: 5 JOC’s awarded to NWWS with Maricopa
County Parks & Recreation for all phases and types of trail related work.

Other similar JOC NWWS has been awarded:

City of Palo Alto, CA Parks and Recreation JOC
Awarded the 1st JOC in 2001 for 3 years. This city has awarded NWWS each JOC every 3 years
since 2001 to present. Currently NWWS was awarded another JOC in September of this year
2021.
Work includes: Trail Design, Trail Construction, Trail Repairs, Tree Removal, Trail Brushing &
Log Out. Gravel trail design & construction. Install culverts, bridges, fences, & trail signage.
Current budget is $600K for the total 3 years.

Rockefeller Family: Laurence S Rockefeller
3 year JOC in 2000 Awarded to design and construct over 10 miles of Hiker, Biker, and
Equestrian trails. Included I mile gravel ADA trail, road crossings, rock work (landscaping)
around their million dollar center and parking area. Work took place at their 1,500 acre private
preserve near the Grand Teton National Park/Jackson Hole, WY.
Budget was under $500K.
Note: Once all work was completed the Rockefeller Family donated all this land/property to
the Teton National Park.

Scottsdale, AZ
3 years 12 miles of new trails. Helped with design, layout and construction.
4ft width for multiuse trails – McDowell Sonoran Preserve. Total budget $700K

City of Peoria, AZ
3 years helping design, layout, and construction of trails on steep hillside mountains in housing
developments. 10 miles total. Budget $600K

City of Cave Creek, AZ
Designed a trail along their city streets. This trail was mainly for horses to come and go through
the city safely. Budget was $35K

Fountain Hills, AZ
Re-design trails that a developer had incorrectly designed. After several injuries due to poor
design and construction techniques which failed. (Many injuries). The city contacted NWWS
and hired my firm to re-design and re-engineer all their trail systems. 2-year project. $100K

Mesa, AZ
City hired my firm to design and layout a 1-mile trail above a housing development. The goal
was to make a trail that could not be seen from below. I was successful and I still call this trail
my “invisible” trail! Budget: $35K

Colorado
State of Colorado – State Parks
Staunton State Park – 9 miles “new” trails. Helped in design, layout, construction. Multi-use,
& a ADA 1 mile gravel trail. Budget $600K.

Since 1985 NWWS has helped design and construct 1,000 miles of new trails, about same miles
in reconstructing/maintenance of trails all over the Northwestern United States.

Agency’s I’ve worked for: National Forest Service, National Parks, State Parks & Recreation,
County Parks & Recreation, City Parks & Recreation, Developers, Non-Profits, Volunteer groups,
Land Trusts, and Private Land Owners.

Almost every trail project NWWS worked on was priced at a “Maximum Price”. All projects
finished on time and on budget. Many had “add-on” items. Price was negotiated/fair and
accepted on all add-ons.

Average number of projects annually: 10 to 20
All trail projects had cost & construction/maintenance estimating.
Cost estimating: Maricopa and NWWS came to an agreed pricing system for
Easy Terrain, Hard Terrain, and Difficult Terrain. Because not all work areas are the same.
Quality was measured by a finished project accepted by Maricopa’s Trail Manager. NWWS
followed Maricopa’s trail standards & specifications.
All past JOC work orders with Maricopa have been on time and on budget.
If a problem (not small) arose, I would immediately contact the Trail Manager and ask to meet
so both can agree on a feasible solution. Communication is vital on all trail projects.
With sub’s, vendors, etc. the same applies, quick actions and communication is mandatory.

NWWS has worked with all types of professionals mentioned in this RFQ. I understand the
issues working with Flood Control and I work hard to help all interested parties obtain positive
results.

Subcontractor Selection Plan
I never select a subcontractor by price only! My plan includes face to face interview, with
questions about specific trail design/construction issues. Equipment they have, knowledge,
experience, and prices. I’m very particular who I hire.

Note: I hire very few subcontractors. Unless it’s in a specialized field like – welding, bridge
building, landscaping, etc… Most work is done by myself and my team.

Project Management Plan
My plan is simple. This team will be available for all work orders. Our combined experience
stated earlier is over 56 years. NWWS safety record is Excellent!!
Design phase engineering will be conducted by myself, with discussions and questions to the
team. Then presented for the county’s approval before work begins. I believe the more input
by all parties will create the best results. Cost estimates are made by myself and presented for
approval with the county.
I have no problem with a guaranteed maximum price and understand what it involves, my past
36 years of experience in this unique industry helps me tremendously.
I have no problem with communicating with the county and highly encourage all types of
communications. Proper control of all aspects throughout a project requires, diligence and
communication! Safety is also very high on my priority list.
NWWS financial statis is solid. NWWS owns all its equipment. Proven record 31 years…
NWWS has financial resources and has the ability to obtain monies if and when needed.
Constructability review: Or construction thinking. This helps with identifying challenges before
a project moves forward. NWWS accomplishes this by looking at the project on the ground and
talking with the county personnel. I do this with each task order given.
Systems reviews: The county’s trail manager and myself would meet and go over all work
orders given before work begins.
Value-added engineering: By using methodology, information gathering, cost analysis and
creative speculation I bring a lot to the table as a professional trail contractor/designer. My
team, its knowledge, skills, and experience all bring about lowering costs. Specialized
equipment is a huge factor also.
I’ve always believed that communicating with the county and all professionals involved with a
project is a major component for success.
Guaranteed maximum price: I have provided this service for 36 years.
Covid-19 has brought about supply & material availability issues throughout the US. More due
diligence will needed to obtain results like NWWS has done in the past.
Developing a schedule management plan is a critical phase in project planning that ensures you,
start, monitor, control, and complete projects successfully. Items included are duration of
project, resources needed to complete project, availability of materials, etc… I use no software
for this phase, just good old paperwork and keeping track of all phases of work in a project.
Control process allows setting, measuring, tweaking the projects activities, such as start date,
finish date. Equipment/man power needed for each type of trail project.
Trail construction projects generally do not require vast amounts of materials & supply’s like in
constructing a building. Most issues involve man power and equipment. If a piece of
equipment breaks down, I have business accounts with most of the major equipment rental
agencies in the Phoenix area. If man power issues were to come up, I have an account with a
company called Labor Ready. They have an office in Phoenix. I used them in the past on an as
needed basis. Most trail materials can be purchased at Home Depot. If not there I know of
many local businesses in the Phoenix area.

I understand that poorly managed projects can harm a projects outcome. Leading to missed
deadlines, budget overruns, and etc… Not having a budget and scope management system or
oversite can lead to failure. I’ve never failed on a trail project in all my 36 years.
Budget management & control process: I use a simple but effective method. By knowing my
firm’s monthly income needs, keeping track of expenses, plan for necessary expenses, save for
a rainy-day fund, track spending, and track all aspects of a project.
Control process: Assure and keep track of performance. If problems arise, which they will,
move quickly to resolve a problem before it can grow & develop is a good method.

Team Approach Capability: Believe I’ve covered this.

Expedited Completion of Project: The teams experience and knowledge is the greatest
factor I have to offer in an expedited completion of a project. Knowing the timeline and
keeping that end in sight is what helps. I can say I’ve never not finished a project on time. It’s
just something that’s ingrained in my DNA. Having equipment that is in proper working
condition is essential. Nothing worse than to have a piece of equipment break down 3 miles
away from the nearest road, on a mountain side. I was trained in diesel repair in the Army, and
worked several years in the past as a diesel repairman. I have tools and a welder.
c) See listed projects on pg 1 & 2. Experience, Knowledge, Team, & Equipment is what a
professional trail design/contractor needs to have before thinking about providing a proposal
for this RFQ.
I’ve obtained many permits with most of the cities surrounding the Maricopa Trail & Sun Circles
trail. Also permits & keys with water districts like SRP & Flood Control and other agencies.
Some only take a day other much longer. The county Trail Manager greatly helps with the
permitting process as well. We talk months ahead sometimes before work begins.
