MULTI-PARTY MEMORANDUM OF UNDERSTANDING 
 
 
This MULTI-PARTY MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into 
by and between: 
 
The Center on Cyber and Technology Innovation at the Foundation for Defense 
of Democracies (“CCTI”) having a place of business at 1800 M Street, NW, Suite 800S, 
Washington DC 20036, 
 
The Arizona Department of Homeland Security (“AZDOHS”) having a place of 
business at 1700 W. Washington Street, Suite #210, Phoenix, AZ 85007,  
 
Maricopa County (the “County”) having a place of business at 301 W Jefferson St, 
Phoenix AZ 85003,  
 
Northern Arizona University (“NAU”) having a place of business at S San Francisco 
St, Flagstaff, AZ 86011 and  
 
The Arizona Board of Regents for and on behalf of Arizona State University 
("ASU"), an institution of higher learning established by the laws of the State of Arizona, 
having a place of business at 660 S. Mill Ave., Tempe, AZ 85281. 
 
CCTI, AZDOHS, the County, and NAU may be described herein as “Collaborators.” 
 
WHEREAS, Collaborators and ASU have in common the desire to encourage and facilitate 
the discovery, dissemination, and application of new knowledge, and Collaborators desire 
to collaborate with ASU in said  research, 
 
NOW, THEREFORE, in reliance on the commitments and obligations set forth herein, the 
parties agree as follows: 
 
STATEMENT OF WORK. Samantha Ravich, the principal investigator representing 
CCTI, Timothy Roemer, the principal investigator representing AZDOHS, Lester 
Godsey, representing the County, Benjamin Ruddell, representing NAU, and Jon 
Miller, the principal investigator representing ASU agree to collaborate on research 
in accordance with the scope of work attached hereto and incorporated herein as 
Exhibit A. 
 
PERIOD OF PERFORMANCE. This MOU will begin on the date of the last signatory’s 
signature (“Effective Date”) and terminates one (1) year from that date. This MOU may be 
modified or extended at any time by mutual written consent of the parties.

Parties to discuss and lead the implementation of the areas of cooperation as 
specified under this MOU:

All parties agree to permit representatives to confer as necessary with CCTI, 
AZDOHS, the County, NAU, and ASU principal investigators. It is understood and 
agreed that Collaborators’ representatives have no authority to supervise, direct, or 
control the work performed hereunder. 
 
PARTICIPATION IN SIMILAR ACTIVITIES. This MOU in no way restricts any party 
from participating in similar activities with other public or private agencies, organizations 
and individuals. 
 
CONFIDENTIALITY. The terms relating to disclosure of confidential information among 
the parties will be negotiated and agreed to by the parties in one or more separate 
written agreements. 
 
TERM AND TERMINATION. This MOU takes effect on the signature of all parties and 
shall terminate one (1) year from that date unless renewed by the mutual written 
agreement of the parties. No amendment or modification to this MOU shall take effect 
unless signed by authorized representatives of each party. Any party may terminate this 
MOU upon thirty (30) days advance written notice to the other parties. 
 
DISPUTE RESOLUTION. In the event of any dispute, claim, question, or disagreement 
arising from or relating to this MOU, the parties shall consult and negotiate with each 
other in good faith and, recognizing their mutual interests, attempt to reach a just and 
equitable solution satisfactory to both parties. 
 
NON-FUND OBLIGATION DOCUMENT. This MOU is neither a fiscal nor a funds 
obligation document nor is either party granting rights to the other with respect to 
intellectual property. Any endeavor or transfer of anything of value involving 
reimbursement or contribution of funds between the parties to this MOU will be 
handled in accordance with applicable laws, regulations, and procedures. Such

endeavors will be outlined in separate written agreements and shall be independently 
authorized by appropriate statutory authority. This MOU does not provide such 
authority. Each party shall be fiscally responsible for their own portion of work 
performed under this MOU. 
 
INTELLECTUAL PROPERTY.  The Parties acknowledge the possibility that inventions may 
be made in the course of the research project.  Inventorship of those inventions will be 
determined in accordance with applicable U.S. laws and regulations.  The term made, as used 
in reference to any invention, means the conception of such invention.  The Parties will detail 
in separate agreements the rights and responsibilities for protection and commercialization 
of any intellectual property conceived and/or reduced to practice during the research.    
 
ADVERTISING, PUBLICITY, NAMES AND MARKS.  No Collaborator will do any of the 
following, without, in each case, prior written consent: (i) use any names, service marks, 
trademarks, trade names, logos, or other identifying names, domain names, or identifying 
marks of ASU or any other Collaborator, including online, advertising, or promotional 
purposes; (ii) issue a press release or public statement regarding this Agreement, except for 
documents used for internal consumption by Collaborator; or (iii) represent or imply any 
other Collaborator’s endorsement or support of any product or service in any public or private 
communication.  
 
NOTICES.   
All official notices, by either party, required or permitted under this MOU will be in writing 
and will be given by personal delivery against receipt (including private courier such as 
FedEx), email with “Read Receipt” or certified U.S. Mail, return receipt requested. All notices 
will be sent to the addresses below or such other addresses as the parties may specify in the 
same manner. Notices will be deemed to have been given and received on the date of actual 
receipt or on the date receipt was refused.  Courtesy email copy of any notice is requested 
to be sent to Collaborator’s Key Personnel.  Addresses are as follows:

EXHIBIT A 
SCOPE  OF WORK 
 
In March 2020, the Congressionally mandated Cyberspace Solarium Commission 
recommended the U.S. government develop a Continuity of the Economy (COTE) plan 
to reconstitute the U.S. economy in the wake of widespread cyber-attacks. The 
National Defense Authorization Act of Fiscal Year 2021 enshrined COTE and requires 
the President to develop a plan within two years. 
 
The goal of the joint ASU-CCTI project is to demonstrate how the U.S. government 
can begin to understand the interconnectivity and dependencies across economic  
sectors so that there can be a prioritization of recovery. These include 
interdependencies between areas and sectors both within the U.S. and between the 
U.S. and global actors. No one person can know the recovery order in a complex 
system without mapping the dependencies so that an organization  (or an entire  
country)  can limit  failure  and develop a recovery order. The pilot project will help 
policymakers at the federal and local levels understand the questions to ask and how 
to begin their COTE planning efforts. 
 
In service of this goal, CCTI will take the lead on concept development, introductions 
to policy and technical partners, and socialization of results. Specifically, CCTI will be 
responsible for the following: 
• 
Research and socialization of the concept of COTE and its role in U.S. 
policymaking 
• 
Introductions to policy and technical leaders in industry and local and 
federal government 
• 
Facilitation of discussions between technical leaders and ASU regarding 
data for the pilot 
• 
Socialization of the pilot and its results with policymakers  
 
As the technical lead, ASU with assistance from NAU will be responsible for data 
analytics, data management, data and information visualization, and convening 
stakeholder engagements and activities. Specifically, ASU will be responsible for the 
following: 
• 
Leading efforts to identify needed datasets and the government 
agencies, companies, and organizations maintain the data 
• 
Ensuring the security and integrity of data 
• 
Creating the variables and scenarios within the exercise 
• 
Visualizing the data and mapping dependencies using Decision Theater 
 
The State of Arizona, in partnership with Maricopa County, will contribute to development 
of a scalable pilot project that creates understanding of the interrelated elements of the 
complex system by  
• Participating in discussions re: relevant policymaking and decision making 
processes  
• Sharing information and data relevant to project development 
• Socializing the project within the respective state and local governments and 
agencies to ensure appropriate awareness, knowledge, participation, and 
information sharing.  
 
Recognizing the criticality of the work and the timeline established by the National 
Defense Authorization Act, the parties envision having a preliminary visualization of 
the data by the end of Q2 2022, assuming data acquisition in Q1 2022.
