INTERDEPARTMENTAL AGREEMENT BETWEEN MARICOPA COUNTY’S HUMAN SERVICES DEPARTMENT AND FACILITIES MANAGEMENT DEPARTMENT Agreement Start Date: January 1, 2022 Agreement Termination Date: December 31, 2023 Agreement Number: Agreement Amount: $ 500,000 CFDA Number: 14.218 Community Development Block Grant 1.0 PARTIES 1.1 This Interdepartmental Agreement (“Agreement”) is entered into between the Facilities Management Department (“FMD”), and Human Services Department, (“HSD”). FMD and HSD are collectively referred to as the “Parties” and individually as a “Party.” 1.2 The Parties, for and in consideration of the terms and conditions set forth in this Agreement, shall provide and perform the identified activities. All rights and obligations of the Parties shall be governed by the terms of this Agreement, its exhibits, attachments, and appendices, including any Subcontracts, Amendments, or Change Orders as set forth in this Agreement. 2.0 PURPOSE 2.1 FMD shall oversee improvements to a County owned Warehouse Facility # 2854 (“Facility”) located at 358 Javelina Drive, Mesa Arizona 85210. 2.2 HSD shall provide FMD with U.S. Department of Housing and Urban Development (HUD) Community Development Block Grant CARES Act (CDBG-CV) funds under CFDA No. 14.218 for the improvements identified in Paragraph 6.0 (Scope of Work). The CDBG-CV funds are intended for project activities that support meeting the need for food demands, specifically during a pandemic. 3.0 TERM The Term of this Agreement shall commence on the date listed on page 1 of this Agreement and shall be effective upon full execution of the Agreement. The Agreement shall terminate on the date listed on page 1 of this Agreement. 4.0 AMENDMENTS All Amendments to this Agreement shall be in writing and signed by authorized signers for both Parties. 5.0 DEFINITIONS As used throughout this Agreement, the following terms shall have the following meanings: 5.1 CDAC means the Community Development Advisory Committee, members are appointed by the Maricopa County Board of Supervisors to provide oversight of CDBG project activities and funding allocations. The CDAC approved the funding for the project at the September 2021 meeting. 5.2 Subcontract means any Agreement entered into by FMD with a third party for performance of any of the work or provision of any of the services covered by this Agreement. 5.3 Subcontractor means an entity funded through FMD to carry out project activities as described in the Agreement. 6.0 SCOPE OF WORK 6.1 The Parties shall be responsible for providing oversight of improvements to the Facility. 6.2 Facility is currently leased to Community Bridges, Inc. and sub-leased to United Food Bank (“Food Bank”) for food distributions. 6.3 Project Description - Improvements to Facility: 6.3.1 Roof - Upgrade the existing roof by providing a roof overlay; and 6.3.2 Service driveway, parking area, and delivery staging area - Improve the existing parking by seal coating the surface and restripe the parking lot. Remove the existing asphalt in the staging area and replace with concrete. 6.4 Project Purpose: The Food Bank utilizes the Facility to distribute food to low- and moderate-income individuals and families impacted by food insecurities by providing emergency food boxes. During the height of the pandemic, the Food Bank had to increase support to community because of the high demand for food due to the high rate of individuals losing their jobs. 6.5 Project Beneficiaries: East Valley Maricopa County residents needing food boxes, will benefit from the improvements that are made to the Facility. The facility will be free from roof leaks; driveways and parking lot will be paved and loading docks will be repaired to make food distribution easier. 6.6 Project Staff: FMD shall: 6.6.1.1 Contract with a qualified Contractor to make the required improvements to the Facility; 6.6.1.2 Maintain qualified staff to provide oversight of contracted activities. 6.6.1.3 Notify HSD regarding any changes in staff committed to the project. 6.6.1.4 Work with HSD to review the qualifications of new staff committed to the project. 6.7 Contractors: FMD shall select Subcontractors in accordance with the County’s procurement policy. FMD shall contract with responsible and qualified Contractors to perform the activities of the project. FMD shall verify the qualifications of each Contractor and their Subcontractors through license verification, references, standing with the Arizona Corporation Commission and SAM.gov. 7.0 SHARED RESPONSIBILITIES 7.1 The Parties shared responsibilities: 7.1.1 Promote a coordinated effort to complete the renovations at the Facility. 7.1.2 Comply with relevant State and Federal laws including: 7.1.2.1 24 CFR Part 570.207(a) CDBG Public Facilities; 7.1.2.2 Department of Labor (DOL) 29 CFR Parts 1,3,5,7 for Davis Bacon; 7.1.2.3 HUD Section 3 24 CFR Part 75; 7.1.2.4 Minority Business Enterprise/Women’s Business Enterprise (MBE/WBE); and 7.1.2.5 NEPA 24 CFR Part 58. 7.1.3 Comply with the Continuing Use Requirements - The facility is defined as public facility, per the CDBG regulations, therefore the Sublessee will provide the County, on an annual basis, a Certificate of Use Statement certifying that the facility is being used to meet a national objective and eligible activity. 7.1.4 Determine project milestones and completion date. 7.2 HSD Responsibilities: 7.2.1 Management of the funding, CDBG-CARES Act (referred to as CDBG-CV); and 7.2.2 Compliance of the federal regulations associated with the funding, including but not limited to Davis Bacon and Related Acts, HUD Section 3 activities and reporting, MBE/WBE reporting and the NEPA Environmental review and collecting any related mitigations. 7.2.3 Provide the Subcontractor with access to LCPtracker, the reporting tool for weekly certified payrolls for the duration of the project. 7.2.4 Review and certify the weekly payrolls in LCPtracker. 7.2.5 Provide approvals to pay to FMD for requests made from the Subcontractor. 7.2.6 Performance Monitoring - HSD shall monitor the project to determine if CDBG funded activities are implemented and administered in accordance with this Agreement and all applicable federal requirements and to gauge performance of the Subcontractor against goals and performance standards required in this Agreement 7.3 FMD Responsibilities: 7.3.1 Develop the project’s scope of work; 7.3.2 Procure the subcontractor(s) per the County procurement policies to perform the work and serve as the main contact for construction management. 7.3.3 Develop and manage the contract with the Subcontractor adhering to the County contracting guidelines. 7.3.4 Provide progress reports relating to the scope of work to HSD on a monthly basis. 7.3.5 Conduct all required materials testing. 7.3.6 Process payments to contractor(s). 7.3.7 Request reimbursement from Maricopa County Human Services Department by submitting an invoice to HSDFinance@Maricopa.gov . 7.3.8 Process change orders received from the Subcontractor. 7.3.9 FMD shall ensure the Subcontractor complies with the following: 7.3.9.1 DUNS Number and SAM Profile - All Subcontractors shall have a valid Dun and Bradstreet (DUNS) number and an active profile in the federal System for Award Management (SAM). 7.3.9.2 Davis Bacon and Related Acts and incorporating the wage determination into every subcontract. 7.3.9.3 NEPA Environmental review and maintaining compliance with related mitigations. 7.3.9.4 Subcontractor shall sign Attachments A - Certification for a Drug- Free Workplace; B- Certification of Payments to Influence Federal Transactions. 8.0 SPECIAL FEDERAL AND PROJECT PROVISIONS 8.1 Program Activity: The Parties agree to implement the activity fully as described in: 8.1.1 This Scope of Work in accordance with the terms of the 2015-2020 Five- Year Consolidated Plan, as amended, 8.1.2 The 2019-20 Action Plan submitted by the County to HUD for funds to carry out the activity, as amended, 8.1.3 The application for funding, as approved by CDAC, 8.1.4 The Certifications which were submitted concurrently with the Annual Action Plan to HUD, and with 8.1.5 Any Cooperation Agreements between HSD and FMD (as applicable). 9.0 BUDGET Activity Budget FY Expenditures Service driveway, parking and staging area surface resealing and improvements $100,000 FY 2022 Roof repairs $400,000 FY 2023 Total $500,000 10.0 NOTICES All notices or correspondence between the Parties regarding this Agreement shall be mailed (to include inter-office), emailed, or delivered to the respective Party at the following addresses: Maricopa County Human Services Department: c/o Director, Human Services Department 234 N.
