AMENDMENT THREE 
TO 
USE MANAGEMENT AGREEMENT 
BETWEEN 
MARICOPA COUNTY 
AND 
CASEY AT THE BAT, INC 
C-30-08-027-1-03 
RECITALS 
 
 
WHEREAS, a Use Management Agreement (C-30-08-027-1-00)  was entered into on April 
23, 2008 between Maricopa County, a political subdivision of the State of Arizona, herein after 
referred to as “County,” and Casey at the Bat, Inc, an Arizona corporation, herein after referred 
to as “Concessionaire," as amended by Amendment One (C-30-08-027-1-01) dated August 31, 
2011 and Amendment Two (C-30-08-027-02) dated August 8, 2018 (collectively, “Agreement”); 
and 
 
 
WHEREAS, the County and Concessionaire desire to enter into this Amendment Three 
to the Agreement, herein after referred to as “Amendment Three” to amend the provision as to 
the ownership of improvements upon expiration or termination of the Agreement; and 
 
 
WHEREAS, the County and Concessionaire desire to enter into this Amendment Three 
with the understanding that all other provisions of the Agreement not amended herein shall remain 
the same and in full force and effect. 
 
 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, receipt and sufficiency of which is hereby acknowledged, County and 
Concessionaire hereby agree as follows: 
 
I. 
INCORPORATION OF RECITALS AND CONFLICT OF INTEREST 
 
 
The Recitals set forth above are hereby incorporated into this Agreement. The Agreement, 
as amended, is subject to cancellation pursuant to A.R.S. 38-511, the provisions of which are 
incorporated herein by this reference. 
 
 
II. 
EFFECTIVE DATE 
 
Upon execution by the County, this Amendment Three will become effective. 
 
III. 
TERMINATION

Delete Section 2.7.D Ownership of Improvements upon Expiration or Termination in its 
entirety.  
 
IV.      EFFECTIVENESS 
 
            The foregoing paragraphs contain all of the changes made by this Amendment Three. All     
other terms and conditions of the Agreement remain the same and in full force and effect.
