UNIVERSITY OF NEVADA, RENO STUDENT ROTATION TRAINING AGREEMENT This Student Rotation Training Agreement (“Agreement”) sets forth the terms of the rotation of Students from the Board of Regents of the Nevada System of Higher Education on behaif of the University of Nevada, Reno (“UNR’”), whose principal office is located at 1664 N. Virginia Street, Clark Admin 110, Reno, NV 89557, to Maricopa County, by and for its Department of Public Health (“MCDPH’), whose principal office is located at 4041 N. Central Avenue, Ste. 1400, Phoenix, AZ 85012, for educational training and experience. This Agreement shall commence on December 1, 2021, and is valid through June 30, 2026. 1. Rotation Goals and Objectives A The educational goals and objectives for any rotation will be provided by UNR to the applicable MCDPH preceptor prior to the start of the rotation. If these goals and objectives are acceptable to MCDPH, the MCDPH preceptor will sign a statement agreeing to meet the goals and objectives of the rotation and will return the original copy to UNR. The Program Director of the applicable Training Program at UNR shall retain full control and responsibility for the overall education of the Students. 2. Responsibilities of UNR for Rotations A Use proper administrative procedures acceptable to MCDPH in planning for observation and practical experience. Provide for supervision and instruction as agreed upon by both parties. Advise that Students and faculty participating in the program at MCDPH adhere to existing rules and regulations of MCDPH. Advise each Student participating in the program at MCDPH that they are required to by MCDPH to meet the same health standards that are required of all employees at MCDPH. Advise each Student that MCDPH may request upon reasonable notice a physical examination and/or laboratory or other diagnostic tests for any Student. UNR shall advise Students they shall have the option to either agree to such physical examinations, labs and tests or to withdraw from MCDPH. MCDPH shall not be responsible for any cost or charges incurred for such physical examinations, labs or tests. Prohibit UNR staff members from releasing any material relative to practical experiences that has not been approved for release for publication or to third K. parties by MCDPH, or that is confidential by law and Students will be advised of this prohibition. Advise each Student that Student dress and grooming shall be appropriate for MCDPH and for health care workers, and that Students will be required to comply with the MCDPH dress code. Notwithstanding any provision to the contrary, UNR agrees that the Faculty Members and Students enrolled at MCDPH shall not be employees or agents of MCDPH or Maricopa County, and shall not be entitled to any defense or indemnity under Maricopa County’s Declaration of Trust for Maricopa County, Arizona, Self-insured Risk Trust Fund, stipends, benefits, conditions, terms or rights of MCDPH employees including workers’ compensation, medical or hospitalization insurance or benefits, pension, retirement or vacation pay, credit or other benefits or rights of MCDPH employees. MCDPH employees employed by UNR as faculty members on their own time (non-MCDPH pay status) will be subject to the same restrictions as stated herein. UNR shall maintain for its officers and employees self-insurance for general and automobile liability in amounts sufficient to meet its obligations under NRS Ch.41. UNR shall maintain Workers Compensation insurance for its employees. UNR shall maintain Allied Health Malpractice insurance in the amount of $1,000,000 per occurrence and $3,000,000 annual aggregate for its medical or health care students and their supervisors. UNR also shall provide general liability insurance for its students with respect to MCDPH’s health care facility, if any, and shall add MCDPH as an additional insured to its excess/umbrella policy. The purchase of any excess insurance shall not waive any of the privileges or immunities afforded UNR, or its present or former officers and employees under NRS Ch. 41. Remove from MCDPH any Student or Faculty Member reasonably identified, for any reason, as unacceptable by MCDPH. Designate a person or persons to assist in the coordination of Student learning experiences, including planning with MCDPH staff to assign Students to specific learning experiences that are appropriate for the program(s). Provide a 30-day advance notice for Students assigned to a rotation. Responsibilities of MCDPH for Rotations A Provide training experiences and make available the related facilities at MCDPH for Students enrolled in any program. MCDPH staff will teach and supervise Students while assigned to MCDPH experiences. Any client services provided by Students shall be under the direct and exclusive supervision of qualified staff employed by MCDPH. Designate a person or persons or MCDPH unit to assist in the coordination of the Students’ learning experiences, including planning with MCDPH staff for the assignment of Students to specific learning experiences which are appropriate for the Student's program. Keep UNR informed of changes in policy which affect faculty and Students. MCDPH shall maintain commercial general liability insurance including coverage for premises/operation, products/completed operations and personal injury in the amount of $1,000,000 per occurrence and $2,000,000 annual aggregate. MCDPH insurance shall apply on a primary basis and include a waiver of subrogation against UNR. MCDPH shall maintain Workers Compensation insurance as required by applicable state statute. If MCDPH provides services that are medical in nature, it shall maintain medical malpractice insurance with limits of at least $1,000,000 per claim and $3,000,000 annual aggregate for each of its medical staff personnel and ensure that any contracted medical providers have current medical malpractice insurance in amounts equal to those provided by the facility. MCDPH shall provide certificates of insurance evidencing the required insurance prior to the effective date of this Agreement. The parties acknowledge that Maricopa County is self-insured as provided in A.R.S. § 11-981 and that this self- insurance fully complies with the insurance requirements of this Agreement. 4. Mutual Responsibilities of MCDPH and UNR A The personnel of MCDPH and the faculty of UNR assigned to the program will confer at such times as may be mutually agreed upon to evaluate the educational program. The personnel of MCDPH and the faculty of UNR assigned to the program shall cooperate in providing a sound educational environment. Students are assigned for practical training experiences in the appropriate MCDPH unit. Both parties shall mutually agree upon the number of Students and the appropriate MCDPH unit for training. Upon request, each party will complete program evaluation forms for Students, faculty, or learning experiences. 5. Term and Termination A The term of this Agreement shall be from November 1, 2021, through June 30, 2026. The Agreement may be renewed for additional terms by the mutual written consent of both parties. Following an evaluation of its results, if both parties wish to continue this relationship, a new agreement must be completed upon the expiration of this Agreement. This Agreement may be terminated by either party upon thirty (30) days prior written notice to the other party; provided, however, Students participating at MCDPH at the time of termination shall be given an opportunity to complete their participation. Confidentiality of Records A MCDPH agrees to treat all records relating to the student confidentially and to not disclose student records except to UNR and MCDPH officials who have a legitimate interest in the information, consistent with their official responsibilities. The parties agree to comply with the Family Educational Rights and Privacy Act of 1974 (“FERPA”), and all requirements imposed by or pursuant to regulation of the Department of Education and UNR to the end that the rights and privacy of the students enrolled at UNR are not violated or invaded. No access to individual student data shall be granted by the parties to any other person, agency or organization without the written consent of the student, except for sharing with other persons within MCDPH, so long as those persons have a legitimate interest in the information. Miscellaneous A UNR and MCDPH shall not discriminate against any individual on the basis of age, race, religion, creed, sex, national origin, handicap, disability, sexual orientation or veteran status. To the extent applicable to this Agreement, both parties agree to comply with all state and federal employment laws, rules, regulations and executive orders, including Executive Order 2009-09. Nothing contained herein shall be deemed or construed as creating a relationship of principal and agent or of partnership or of joint venture between the Parties. Students shall not be considered servants, agents, or employees of MCDPH. This Agreement shall be binding upon and shall inure to the benefit of both Parties and their respective successors, heirs, assigns and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of the non-assigning Party. Individuals executing this Agreement on behalf of the Parties represent and warrant that they have been authorized to do so. Notice: Notices required by this Agreement shall be in writing, delivered personally, by certified or registered mail, or by overnight courier, and shall be deemed to have been given when delivered personally or when deposited in the United States mail, postage pre-paid, or with an overnight courier, addressed as follows: To MCDPH: To UNR: Joel Kodicek David K. This Agreement contains the entire understanding of the Parties relating to the subject matter of this Agreement. Any prior agreements, promises, negotiations or representations between the Parties, either oral or written, relating to the subject matter of this Agreement which are not expressly set forth herein are of no force or effect. Any modifications or amendments must be agreed to by both Parties in writing and shall become effective on the date stated therein. G. During the term of this Agreement, the Parties shall take such actions, including revising this Agreement, as necessary or advisable to comply fully with all laws, rules and regulations applicable to the performance of this Agreement, including without limitation the Health Insurance Portability and Accountability Act and the Family Educational Records and Privacy Act. H. Use of Name or Logo. Nothing contained in this Agreement confers on either party the right to use the other party’s name without prior written permission, or constitutes an endorsement of any commercial product or service by UNR. To the fullest extent permitted by law, and to the extent that claims, damages, losses or expenses are not covered or paid by insurance for UNR or MCDPH, UNR and MCDPH shall defend, indemnify and hold harmless each other, their agents, representatives, officers, directors, officials, and employees from and against all claims, damages, losses, and expenses (including, but not limited to attorneys' fees, court costs, expert witness fees, and the costs and attorneys’ fees for appellate proceedings) arising out of, or alleged to have resulted from the negligent acts, errors, omissions, or mistakes by UNR or MCDPH or any of their regents, officers or employees relating to the performance of this Agreement. i. To the extent limited in accordance with NRS 41.0305 to NRS 41.039, UNR's duty to defend, indemnify, and hold harmless MCDPH, its agents, representatives, officers, directors, officials, and employees shall only arise in connection with any claim, damage, loss, or expense that is attributable to bodily injury, sickness, disease, death or injury to, impairment of, or destruction of tangible property, including loss of use resulting therefrom, caused by negligent acts, errors, omissions, or mistakes in the performance of this Agreement, but only to the extent caused by the negligent acts or omissions of UNR, any of its regents, officers or employees. UNR shall assert the defense of sovereign immunity as appropriate in all cases, including malpractice and indemnity actions. UNR’s indemnity obligation for actions sounding in tort is limited in accordance with the provisions of NRS 41.035 and any award for damages under NRS 41.035 may not exceed the sum of $150,000 if awarded on or after July 1, 2020 and may not exceed the sum of $200,000 if awarded on or after July 1, 2022. Similarly, MCDPH shall indemnify, defend and hold harmless UNR, its regents, officers, employees and agents from and against any and all liabilities, claims, losses, costs or expenses to the person or property of another, lawsuits, judgments and/or expenses, including attorney fees, arising either directly or indirectly from any act or failure to act by MCDPH or any of its officers or employees, which may occur during or which may arise out of the performance of this Agreement. The amount and type of insurance coverage requirements set forth herein will in no way be construed as limiting the scope of the indemnity in these paragraphs.
