1 AMENDMENT NO. 1 LINKING AGREEMENT BETWEEN THE CITY OF GLENDALE AND (ORACLE AMERICA, INC., Contract No. C24-1283) This Amendment No. 1 to the Linking Agreement is made this day of , 2025, by and between the City of Glendale, an Arizona municipal corporation and Oracle America, Inc., a Delaware corporation, authorized to do RECITALS A. City and Oracle America, Inc. previously entered into a Linking Agreement, Contract No. C24-1283, dated December 10, 2024 The Linking Agreement adopted the same terms and conditions of State of Arizona Contract Number ADSPO16- 098123 Oracle Contract, Oracle agreement numbers: US-GMA-427347 & US GMA- 562803); and B. City and Contractor wish to modify and amend the Agreement subject to and strictly in accordance with the terms of this Amendment. AGREEMENT In consideration of the mutual promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree as follows: 1. Term. The term of the Agreement is extended for a one-year period from July 1, 2025 through June 30, 2026, unless otherwise terminated or canceled as provided by the Agreement. All other provisions of the Agreement except as set forth in this Amendment shall remain in their entirety. 2. Ratification of Agreement. City and Contractor hereby agree that this Agreement remained in full force and effect for any period of lapse and consent to its extension on the same terms and conditions as in effect as of June 30, 2025.
