Dear Mr. Banger: 
 
On behalf of the Board of Directors of BHHS Legacy Foundation (the “Foundation”) we are 
pleased to inform you that grant funding totaling $57,195.00 has been approved for City of 
Glendale (the “City”) to support individual first aid kits for its Police Department’s patrol-
based officers (the “Program”).  It is mutually understood and agreed that this funding will 
support the purchase of approximately 225 individual first aid kits to be distributed to trained 
patrol-based police officers as detailed in the City’s application submitted to the Foundation 
on December 15, 2025.  
 
GRANT TERM: 
The grant funding period for this grant award is one year commencing on the date the 
Program funding check is issued.   
 
REPORTING: 
Please provide a comprehensive Program progress report at the end of the grant funding 
period (within 45 days of the grant ending date) and include the following in this report: 
1. Detailed information on how the grant funds were utilized and the financial status 
of the Program 
2. Program equipment use statistics  
3. Any statements from your staff and Program officers regarding their observations 
and evaluations of the accomplishments, challenges and community impact of the 
Program   
 
The Foundation has implemented an online reporting process which is linked to its online 
application system.  When the Foundation issues its grant payment to the City, it will also 
include specific instructions on accessing the system and completing the report. Any

PUBLICITY & COMMUNICATIONS: 
Your acceptance of this grant and this letter of understanding will constitute your agreement 
that the Foundation may make public disclosure of the amount and purpose of the grant and 
the identity of the City as the recipient if the Foundation elects to do so.

Please provide the Foundation with Program event notices and reports for the period of time 
that we are providing grant funding and include us on your mailing and event invitation lists.  
In addition, you agree that the Foundation will have the opportunity to periodically have a 
representative attend Program related meetings and events. 
 
GRANT FUNDING CONDITIONS: 
It is mutually understood and agreed that the Foundation will be given prompt written notice 
of any material change in the Program and that grant funding will be utilized and restricted 
for the sole purpose of funding the Program for which the Foundation Board has given its 
approval.  Any portion of the grant funding that is not used for the restricted purposes (or 
which is used to at any time directly or indirectly support, sustain, or benefit any purposes 
other than those listed in the City’s grant application without Foundation written approval 
to do so) must be remitted back to the Foundation.   
 
None of the grant funding is to be used for any private benefit, political campaign, or carrying 
on propaganda or otherwise attempting to influence legislation.  
 
The unused portion of the grant funding may be withdrawn at the discretion of the 
Foundation if there are any claims, charges, or investigations of alleged fraud, 
misrepresentation, crime, or regulatory infraction pertaining to the City’s administration, 
implementation, and operation of the Program.   
 
Another condition of grant funding includes a requirement that any external communications 
and publicity relating to the Program must include a standard public statement such as the 
following or another mutually agreeable similar statement:   “This (Program name) is funded 
as a result of generous financial support from BHHS Legacy Foundation which is an Arizona 
charitable organization whose philanthropic mission is to enhance the quality of life and 
health of those it serves.”  Detailed information regarding use of the Foundation’s name and 
logo, as well as other public relations information, can be found on its website on the

Any public news releases or printed materials including the name of the Foundation in stated 
text which would deviate from the sample standard public statement must be reviewed and 
approved by the Foundation prior to submission to the media or printer.  Please provide the 
Foundation with copies of all Program related news releases, media articles, newsletters, and 
brochures.  
 
No principal/agent, partnership, or joint venture relationship is created by the grant funding 
or otherwise nor should any be implied in the news releases or otherwise.

A further condition of grant funding is a requirement that the City will maintain adequate 
books/records for the Program and that the Foundation will have the right to inspect the 
Program records. 
 
Additionally, it is mutually understood, agreed and required that the City will maintain at all 
times appropriate levels of Liability insurance coverage for Program participants. 
 
This letter constitutes the entire Foundation agreement with the City as to its subject matter 
and any modifications must be in writing signed by an authorized representative of each of 
the parties. 
 
PAYMENT TERMS:   
Once you have reviewed this letter, please provide your signature and return it to the 
Foundation to acknowledge your agreement with all of the grant funding terms and 
conditions and your representation that you are an officer of the grantee duly authorized to 
sign this agreement.   Once the signed grant agreement letter is returned to the Foundation, 
the Program grant funding check will be issued.   
 
We are impressed with the community outreach work of City of Glendale and its police 
department and congratulate you on your leadership and commitment to the safety of our 
community.  We look forward to working with you in making this Program a complete 
success for the benefit of the community served.
