THIS AMENDMENT NO. ONE to INTERGOVERNMENTAL AGREEMENT (the “Amendment No.
One”), is entered into this date ______________________________, pursuant to Arizona Revised Statutes
(“A.R.S.”) §§ 11-951 through 11-954, as amended, between the STATE OF ARIZONA, acting by and
through its DEPARTMENT OF TRANSPORTATION (the "State" or “ADOT”) and the City of Glendale,
acting by and through its MAYOR and CITY COUNCIL (the “City” or “Local Agency”). The State and
the City are each individually referred to as a “Party” and are collectively referred to as the
“Parties.”

WHEREAS, the INTERGOVERNMENTAL AGREEMENT, IGA 22-0008481-I, A.G. Contract No.
P0012022000486, was executed on December 20, 2023, (the “Original Agreement”);

WHEREAS, the State is empowered by A.R.S. § 28-401 to enter into this Amendment No. One and
has delegated to the undersigned the authority to execute this Amendment No. One on behalf of the
State;

WHEREAS, the City is empowered by A.R.S. § 48-572 to enter into this Amendment No. One and has
by resolution, if required, a copy of which is attached and made a part of, resolved to enter into this
Amendment No. One and has authorized the undersigned to execute this Amendment No. One on
behalf of the City; and

NOW THEREFORE, in consideration of the mutual terms expressed herein, the purpose of
this Amendment No. One is to revise the project description to include City aesthetics work
and increase design and construction costs; Exhibit A is revised and replaced accordingly.
The Parties desire to amend the Original Agreement, as follows:

The Parties incorporate the paragraphs set forth above as part of the body of this
Amendment No. One.

I.
RECITALS

Section I, Paragraphs 4. and 7. are revised, and Paragraph 6. is added, as follows:

4. As part of the Project, the State will remove and relocate the existing flush hydrant and
Ductile Iron Piping (DIP), in conflict with the Project improvements on the south side of the
Project just east of 59th Ave as shown in Exhibit C, (the “Waterline Work”). As part of the
Waterline Work, the City has requested enhancements including installation of a new 48-
inch diameter concrete pump out manhole with 30-inch frame and cover, new valve and
casing extensions with frames and covers. The estimated cost of the Waterline Work is
$132,632. The cost to remove and relocate the existing flush hydrant and DIP will be
deducted from the Waterline Work at an amount not to exceed $24,325. The cost of the
Waterline Work estimated at $108,307 has been invoiced and paid by the City as shown in
Exhibit D. The City will be responsible for actual Waterline Work costs minus $24,325. The
City will provide the design for the City’s Waterline Work to the State.

6. The Project includes additional aesthetic enhancements; i.e., Land Form Graphics (LFGs),
and post applied icons on bridges and slope paving at locations as shown in Exhibit A, (the
“Aesthetic Enhancements”). The City will be solely responsible for the costs associated with
the design and construction of one LFG on the freeway embankment slope at 59th Avenue,
two post applied icons on west concrete slope paving at 51st Avenue, and two post applied
icons on the west bridge abutment at 51st Avenue, estimated at $135,000 as shown in
Exhibit D. The City will be responsible for maintenance of the Aesthetic Enhancements.

7. The Original Agreement, including Amendment Number One, does not cancel or supersede
IGA 97-043-I, but will take precedence in the event any questions arise between the State
and the City pertaining to maintenance responsibilities within the Project area.

II. SCOPE OF WORK

Section II, Paragraphs 2.b., d., and m. are revised, and Paragraphs 2.o. and p. are added, as
follows:

2. The State will:

b. After this Agreement is executed, invoice the City $135,000 for the estimated costs
associated with Aesthetic Enhancements. After the Project has been completed, the
State will either invoice or reimburse the City for the difference between the estimated
and actual costs of the City's Aesthetic Enhancements.

d. Prepare and provide the design plans, specifications and other such documents and
services required for the construction bidding and construction of the Project including
the Aesthetic Enhancements and incorporate comments from the City as appropriate.

m. Be responsible for the structural integrity of the screen and sound wall, the graffiti
abatement on mainline and ramps, the structural and nonstructral maintenence of the
expanded metal pedestrian fencing on the bridges over the SR101L.

o. Maintain the structural integrity of the concrete slope paving and bridge abutments on
which the icons are placed.

p. Continue to maintain all freeway overhead sign supports (structure and signs) that are
located along the crossroads.

Section II, Paragraphs 3.b. and d. are revised, and Paragraphs 3.r. and s. are added, as
follows:

b. Within 30 days of receipt of an invoice from the State, pay to the State $135,000 for the
estimated costs associated with the Aesthetic Enhancements. After the Project has been
completed, the State will either invoice or reimburse the City for the difference between
estimated and actual costs of the Aesthetic Enhancements.
d. Review the design documents required for construction of the Project including
Aesthetic Enhancements and provide comments to the State as appropriate. Work
within the design timeframes set forth by the State to not delay the Project.

r. Maintain the LFGs including keeping the surrounding slope areas free of weeds,
undesirable grasses, and litter/trash and repair damage from erosion, errant vehicles,
or vandalism.

s. Maintain the coiled snake and saguaro post applied icons on the west side of 51st
Avenue which includes maintaining paint condition and structural integrity of the icons.

III. MISCELLANEOUS PROVISIONS

1. Notices. All notices or demands upon any Party to this Agreement shall be in writing and
shall be delivered electronically, in person, or sent by mail, addressed as follows:

No. One and that the Amendment No. One is in proper form is set forth below.
