WHEREAS, Maricopa County, Arizona (“County”) and DataBank IMX, LLC (“Contractor”) have 
entered into a contract for electronic content management system software, support and 
maintenance dated August 27, 2014 (“Agreement”) and effective August 27, 2014, County Contract 
No. 14060-CI. 
  
WHEREAS, County and Contractor previously agreed to renew the Agreement for one year 
until July 31, 2020. 
 
WHEREAS, County and Contractor previously agreed to add Amendment #1 to the 
Agreement for staff augmentation on August 28, 2019. 
 
WHEREAS, County and Contractor previously agreed to add Amendment #2 to the 
Agreement for staff augmentation on January 14, 2020. 
 
WHEREAS, County and Contractor previously agreed to renew the Agreement for four 
years until July 31, 2024. 
 
WHEREAS, County and Contractor previously agreed to add Amendment #3 to the 
Agreement for staff augmentation on November 9, 2021. 
 
WHEREAS, County and Contractor previously agreed to add Amendment #4 to the 
Agreement for various language changes and an enterprise subscription license on February 1, 
2023. 
 
 WHEREAS, County and Contractor have agreed to further modify the Agreement by 
changing certain terms and conditions;  
 
NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable 
consideration, receipt of which is hereby acknowledged, the parties hereto agree as follows: 
 
1. 
The contract is hereby extended for one month and shall expire on August 31, 2024 per 
Section 1.2. 
2. 
The following language changes are added to the contract. 
 
a. CONTRACT TERM (Section 1.1 to be replaced in its entirety with the following):

i. 
This Contract was for an initial term of five (5) years, beginning on the 27th  
day of August, 2014 and ending the 31st day of July, 2019. On August 1, 
2019 the Contract term was renewed for one (1) year to end on the 31st day 
of July 2020. On July 22, 2020 the Contract term was renewed for four (4) 
years to end on the 31st day of July 2024 and is now extended an additional 
one (1) month and will end on the 31st day of August, 2024. 
 
ALL OTHER TERMS AND CONDITIONS REMAIN UNCHANGED.
