between Maricopa County, on behalf of the Maricopa County Sheriff’s Office, and
AZPB Limited Partnership, A Delaware limited partnership and
AZPB FM Limited Partnership, A Delaware limited partnership
This Amendment to Agreement for Law Enforcement Service (“Amendment”), effective January 1, 2021
(“Effective Date” ), is entered into this 4th day of November, 2020 between Maricopa County, a political
subdivision of the State of Arizona, on behalf of the Maricopa County Sheriff’s Office (“MCSO”), and AZPB
Limited Partnership, a Delaware limited partnership (“AZPB”), and AZPB FM Limited Partnership, a
Delaware limited partnership (“AZPB FM”), together the “Parties” and individually, the “Party.”
Whereas, AZPB and AZPB FM operate a Major League Baseball stadium and related grounds in downtown
Phoenix known as Chase Field (the “Ballpark”), that is constructed on non-incorporated, Maricopa County
land; and
Whereas, AZPB and AZPB FM host Major League Baseball games other revenue and non-revenue-
generating events that are attended by large crowds and that, for public safety reasons, are best served
by the level of security and related services provided by sworn law enforcement officers; and
Whereas, AZPB and AZPB FM entered into an Agreement (C-50-19-046-3-00) on January 16, 2019 with a
term through December 31, 2019 and a one-year automatic renewal to December 31, 2020 and
Whereas, Parties agree to amend the Agreement as follows:
Amendment(s)
1)
Section I. General Provisions, Sub Section 3. Term of Agreement is hereby amended by
extending the term date to December 31, 2021 as shown below.
“This Agreement is effective retroactive to May 10, 2018 through December 31, 2021…”
2)
Section I. General Provisions, Sub Section 4. Automatic renewal is hereby amended to add
one (1) additional automatic renewal period to the amended Term as shown below.
“This Agreement will have one (1) automatic renewal for the period from January 1, 2020
through December 31, 2020 (“Renewal Term”), plus one (1) automatic renewal period
for the amended Renewal Term (“Amended Renewal Term”) from January 1, 2022
through December 31, 2022, with all terms, except costs, remaining in full force and
effect until renegotiated or terminated. If notice of intent to terminate has not been

given any of the Parties by November 15, 2021, this Agreement shall automatically renew
for the Amended Renewal Term.”

Section I. General Provisions, Sub Section 5. Cost Updates is hereby amended as shown
below.
“MCSO will notify AZPB and AZPB FM of the updated cost for the Services effective
January 1 of the next calendar year, by sending an updated Exhibit A to AZPB and AZPB
FM by no later than October 15, of the current calendar year.”

Section II. Services, Sub Section 1. Service Provision, Paragraphs B and C. are hereby
amended to add the following statement recognizing current practices in response to
COVID-19 and accommodate similar situations.
“Minimum service requirements for Events will be waived and adjusted when general
public attendance is prohibited or curtailed to less than fifty (50%) capacity due to
public health regulations, Major League Baseball rules, Event promoter requirements,
or other public safety reasons. In such circumstance, AZPB shall determine the
minimum service requirements for the affected Event in its sole and absolute discretion.
Further, MCSO shall, at its expense, provide its personnel with appropriate Personal
Protective Equipment, and such personnel shall comply with all government regulations
and AZPB and AZPB FM protocols related to COVID-19 while at the Facility. MCSO shall
also be responsible for any and all costs (including, but not limited to, remediation
costs) arising from or related to COVID-19 infected MSCO personnel being at the
Facility.”
IN WITNESS WHEREOF, the Parties enter into this Amendment to be effective as of the Effective
Date.
