MEMORANDUM OF UNDERSTANDING

AMENDMENT No. 1

MERCY CARE

MARICOPA COUNTY, ARIZONA

WHEREAS, Maricopa County (“County”) and Mercy Care (“Contractor”) have entered into an Agreement for the purpose
of establishing collaborative protocol executed February 13", 2019 (“Agreement”).

WHEREAS, County and Mercy Care have agreed to modify the Agreement by changing certain terms and conditions;

NOW, THEREFORE, the parties hereby agree to the following provisions:

1. The Agreement shall be renewed for a term from February 13", 2020 and ending February 12", 2021.
The Director of Maricopa County Correctional Health Service is authorized to execute future amendments
to the Agreement unless, in the opinion of the Director, a proposed change is so substantial that approval of
the Maricopa County Board of Supervisors is required.

ALL OTHER TERMS AND CONDITION REMAIN UNCHANGED. If there is any conflict between the terms of
the Agreement and this Amendment, in all such events the terms of this Amendment shall control.

This Amendment is subject to cancellation pursuant to A.R.S. § 38-511.
