This Amendment No. 2 (the “Amendment”) made between Bentley Systems, Incorporated, a 
Delaware corporation with principal offices at 685 Stockton Drive, Exton, PA 19341 (“Bentley”), 
and Maricopa County, located at 160 S. 4th Ave., Phoenix, AZ 85003-2494 (“Subscriber”) as of 
December 1, 2020 (the “Amendment Effective Date”). 
WHEREAS, Bentley and Subscriber are parties to Contract 14079-CI (Bentley CLA Number 
10369318) entered as of the November 5, 2014 (the “Original Agreement”), amended by 
Amendment No. 1 to Contract Pursuant to Competition Impracticable (MCI-351) 14079-CI, 
executed on January 30, 2018 (“Amendment 1”); 
 
WHEREAS, Bentley and Subscriber desire to amend the Original Agreement, as amended by 
Amendment 1, as further described below (the Original Agreement, Amendment 1, and this 
Amendment together are the “Agreement”);  
 
 
NOW THEREFORE, the parties hereby mutually agree as follows: 
 
1. Definitions.  The definitions of certain terms used in the Amendment with initial capitalized 
letters, if not defined herein, shall have the definitions set forth in the Original Agreement, as 
amended. 
 
2. Term. Pursuant to Section 1.2 of the Original Agreement, as amended, the Agreement is 
renewed to add a new term from December 1, 2020 – November 30, 2021.  
 
3. Exhibit 1. Exhibit 1 is hereby deleted in its entirety and replaced with Exhibit 1 attached to 
this Amendment. 
 
4. Legal Effect. The modifications set forth in this Amendment are effective as of the 
Amendment Effective Date.  Except as expressly amended or modified by the terms of this 
Amendment, all other terms of the Agreement shall remain unchanged and in full force and 
effect. In the event of a conflict between the terms of the Agreement and the terms of this 
Amendment, the terms of this Amendment shall control. 
 
5. Headings.  The headings used in this Amendment are for convenience of reference only shall 
not be used to define the meaning of any provision.
