Between 
THE ARIZONA COMMUNITY FOUNDATION, INC.
&
MARICOPA COUNTY, ARIZONA
WHEREAS, Maricopa County, Arizona (“County”) and The Arizona Community Foundation, Inc. (“Contractor”) 
have entered into a Contract for the Small Business Relief Program dated August 10, 2020, Amended on September 
29, 2020 and Amended on October 21, 2020 (“Agreement”) County Contract No: C-06-20-573-M-00. 
 
WHEREAS, County and The Arizona Community Foundation, Inc. have agreed to further modify the Agreement by 
changing certain terms and conditions; 
NOW, THEREFORE, in consideration of the foregoing, and for other good and valuable consideration, 
receipt of which is hereby acknowledged, the parties hereto agree as follows:
1.
Funding for the Small Business and New Small Business Program shall be increased by $10M for a total 
funded amount of $71.5M. All County funds can be used to support either the Small Business or New 
Small Business Programs.

Section 10.1 is modified as follows.  The county shall pay the contractor a fee at the rate of 3.25% for 
all funds disbursed by the contractor above $22M and below $71.5M for all programs covered by this 
Agreement.  The total fee paid for service for the entire agreement shall not to exceed $2,036,250.

Section 10.1.1 Restated to: Upon approval of this amendment, or as mutually agreed upon, the County 
shall wire transfer (or by ACH) $5,000,000 (increments) to the Contractor. Additional funds, up to the total 
Program amount of $49.5 million for the Small Business and the New Business Programs will be 
transferred to the Contract on a mutually agreed upon schedule.
