AMENDMENT TO 
INTERGOVERNMENTAL AGREEMENT 
BETWEEN 
MARICOPA COUNTY 
ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT 
AND 
SCOTTSDALE UNIFIED SCHOOL DISTRICT 
 
I. 
Maricopa County (“County”) administered by its Human Services Department and 
Scottsdale Unified School District (“District”) entered into a financial Intergovernmental 
Agreement (“Agreement”), which was fully executed on or about September 30, 2019. The 
purpose of the Agreement is for County to purchase full-service food catering services of 
nutritious meals and snacks that meet Child and Adult Care Food Program (CACFP) 
guidelines and contain at least one-third (1/3) of the daily-recommended dietary 
allowances for the County’s Head Start program for the term of October 1, 2019, through 
September 30, 2020. The County and the District collectively are referred to as the 
“Parties.” 
 
The Parties fully executed Amendment No. 1 on or about December 2, 2019, to revise 
Section 28.0 (Service Delivery).  
 
II. 
The Parties agree to enter into this Amendment No. 2 to amend the Agreement as follows: 
A. 
Extend the Agreement term (Extension Term): October 1, 2020, through 
September 30, 2021. 
 
B. 
Add that the County shall reimburse the District for food service delivery during the 
Extension Period for the not-to-exceed amount of $679,740. 
 
C. 
Revise Section 28.0 (Service Delivery), Subsection 28.11 (Meal Requirements and 
Meal Count and Costs), by replacing Subsubsection 28.11.2 (Meal Count and 
Costs) with the following:

D. 
Revise Section 29.0 (Compensation), Subsection 29.1 (Funding), by replacing 
Subsubsections 29.1.2 and 29.1.3 with the following: 
29.1.2  Funding availability period shall begin October 1, 2020 through September 
30, 2021. 
29.1.3 Funding amount shall not exceed $679,740 for the Extension Term. Claims 
for reimbursement in excess of the Amendment amount will require a 
formal, written amendment, as specified in section 6.0 of this Agreement.

III. 
Add Section 32.0 as follows:

WRITTEN CERTIFICATION PURSUANT TO A.R.S. § 35-393.01 
If the District engages in for-profit activity and has 10 or more employees, and if 
this Agreement has a value of $100,000 or more, then the District certifies it is not 
currently engaged in, and agrees for the duration of this Agreement not to engage 
in, a boycott of goods and services from Israel. This certification does not apply to 
a boycott prohibited by 50 U.S.C. § 4842 or a regulation issued pursuant to 50 
U.S.C. § 4842. 
 
IV. 
Add Section 33.0 as follows: 
33.0 
SURVIVAL 
The non-liability and reciprocal indemnification provisions of this Agreement shall 
have full force and effect notwithstanding any other provisions in this Agreement 
and shall survive the termination or expiration of this Agreement.  
 
V. 
The foregoing paragraphs contain all the changes made by this Amendment No. 2. All 
other terms and conditions of the original Agreement and Amendment No. 1 remain the 
same and in full force and effect as approved and amended.

The Parties have authorized the undersigned to execute this Amendment No. 2, 
and it shall be effective on the date of final approval and signature by the Parties.
