Contract No. C-22-22-109-X-00 AFF-006-01 Amendment No. 1 Page 1 of 2 AMENDMENT NO. 1 TO AFFILIATION AGREEMENT BETWEEN GRAND CANYON UNIVERSITY AND MARICOPA COUNTY I. Maricopa County (“County”) administered by its Human Services Department and Grand Canyon University (“School”) entered into a financial Affiliation Agreement (“Agreement”) on or about December 21, 2023 (C-22-22-109-X-00 AFF-006). The purpose of the Agreement is to identify Student Nurses (“Students”) to participate in the County’s Student Nurse Practice Readiness Program (the “Program”). The Program will provide Students with educational opportunities to enter into hands-on training experiences as part of their overall education and which may qualify for academic credit as determined by the School. The County provided the School with $8,000 to provide academic oversight of Student’s capstone experience. The Agreement term began January 1, 2024, through June 30, 2024. The School and the County are collectively referred to as the “Parties” and individually as a “Party.” II. The Parties now agree to amend the Agreement by the Amendment No. 1 as of the last date of signature of the Parties below (“Amendment No. 1 Effective Date”) as follows: A. Revise paragraph 14. Add paragraph 30. Notice is given that pursuant to A.R.S. § 38-511 the Parties may cancel any contract without penalty or further obligation within three years after execution of the contract, if any person significantly involved in initiating, negotiating, securing, drafting or creating the contract on behalf of the Parties is at any time while the contract or any extension of the contract is in effect, an employee or agent of any other party to the contract in any capacity or consultant to any other Party of the contract with respect to the subject matter of the contract. Additionally, pursuant to A.R.S § 38-511 the Parties may recoup any fee or commission paid or due to any person significantly involved in initiating, negotiating, securing, drafting or creating the contract on behalf of the Parties from either Party to the contract arising as the result of the Contract. C. Extend the Agreement term from June 30, 2024, through December 31, 2024. D. The School will place up to 25 Students in the Program through the December 31, 2024 timeframe. E. The County shall provide the School with funds for the academic oversight of Student’s capstone experience as listed below: 1. $400 per BSN Student’s for faculty oversight at the end of each student’s successful completion of program activities. ($400 x up to 25 students) 2. Total funds shall not exceed $10,000 for the Agreement term. Contract No. C-22-22-109-X-00 AFF-006-01 Amendment No. 1 Page 2 of 2 3. Unexpended funds from previous terms shall not carry over into this extension period. III. Section II above contains all the changes made by this Amendment No. 1. All other terms and conditions of the Agreement shall remain the same and in full force and effect as approved and amended. IV. The Parties have authorized the undersigned to execute this Amendment No. 1 on their behalf and shall be effective on the Amendment No. 1 Effective Date.
