MASTER INTERGOVERNMENTAL AGREEMENT
AMENDMENT TWO
BETWEEN
MARICOPA COUNTY
AND
THE REGIONAL PUBLIC TRANSPORTATION AUTHORITY
CONTRACT # 215-75-2019-02
This Amendment Two, effective July 1, 2020, amends the following items of the Transit
Services Master Intergovernmental Agreement Contract #215-75-2019-00 (“Master Agreement”)
entered into between the Maricopa County (“County”) and the Regional Public Transportation
Authority (“RPTA”) effective October 1, 2019, as amended by Amendment One, effective February
5, 2020. The RPTA and County collectively are referred to as the “Parties.”
I.
The following replaces and supersedes Section 3 (Term of Agreements) of the Master
Agreement, as was amended by Amendment One:
This Master Agreement shall be effective until June 30, 2021 (‘Term”). The
Annual Service Agreement will be amended on an annual basis to accommodate
changes in service levels, costs, and revenues. The Parties do not intend that the
term of this Agreement shall exceed any limitation imposed by law, including,
without limitation, the laws of the State of Arizona, and agree to comply with any
applicable requirements of such laws in connection with any renewal of the term of
this Agreement.
II.
The following replaces and supersedes the first paragraph of Attachment A (Annual Service
Agreement) at page 16 of the Master Agreement, as was amended by Amendment One:
The Annual Service Agreement outlines the specific obligations of both
Parties and provides the Program Schedules that the County participates in for
Fiscal Year 2020/2021, beginning on July 1, 2020, and ending on June 30, 2021.
The specific obligations will be identified in Section 1: RPTA Obligations, Section

2: Member Obligations, Section 3: Invoicing, Payments, and Reconciliation, and
Section 4: Program Schedules that summarize the Programs that Valley Metro
provides for County.
III.
The following replaces and supersedes Section 3.1 of the Master Agreement, as was
amended by Amendment One:
The County shall provide RPTA with $557,537 for Paratransit Services and
$487,371 for RideChoice Services, for a total of $1,044,908 for the period of July
1, 2020 through June 30, 2021.
IV.
The following replaces and supersedes Section 3.2 of the Master Agreement, as was
amended by Amendment One:
Funding availability shall be from July 1, 2020 to June 30, 2021.
V.
The following replaces and supersedes Section 3.6.1 of the Master Agreement, as was
amended by Amendment One:
RPTA shall submit a final invoice no later than August 5, 2021.
VI.
Add the following new section to the Master Agreement:
SECTION 30. A.R.S. § 35-393.01 Contracting; procurement; investment;
prohibitions
A. A public entity may not enter into a contract with a company to acquire or
dispose of services, supplies, information technology or construction unless the
contract includes a written certification that the company is not currently engaged in,
and agrees for the duration of the contract to not engage in, a boycott of Israel.
B. A public entity may not adopt a procurement, investment or other policy that has
the effect of inducing or requiring a person or company to boycott Israel.

VII.
The following schedules amend schedules to Attachment A of the Master Agreement, as was
amended by Amendment One:
The attached Schedule A amends Schedule A (Paratransit Services Cost Estimate) to
Attachment A at page 21 of the Master Agreement, as was amended by Amendment One.
The attached Schedule B amends Schedule B (Ride Choice) to Attachment A at page 35 of
the Master Agreement, as was amended by Amendment One.

IN WITNESS, the Parties have each executed this Amendment Two as of the effective date
