Central Avenue Suite 1400 Phoenix, AZ 85012 July 21, 2020 RE: NOTICE AND CONSENT TO ASSIGN – EDUCATIONAL EXTERNSHIP AFFILIATION AGREEMENT, BY AND BETWEEN KAPLAN AND MARICOPA COUNTY, BY AND FOR ITS DEPARTMENT OF PUBLIC HEALTH (the “Notice & Consent Letter”) Dear Sir or Madam: As you may be aware, on April 27, 2017, Kaplan Higher Education, LLC (“Kaplan”), Iowa College Acquisition, LLC d/b/a Kaplan University (“ICA”), Purdue University (“Purdue”) and Purdue NewU, Inc. (“NewU”) entered into a Contribution and Transfer Agreement (“Contribution Agreement”), where under the terms of the Contribution Agreement, KHE and ICA agreed to sell, contribute and transfer the Institutional Assets (as defined therein) to the NewU, now named Purdue University Global, Inc. (“PG”) (the “Transaction”). More information about the Transaction is available at https://www.purdue.edu/newsroom/releases/2018/Q1/transaction-complete-for-purdue-global.html. As a result, Kaplan has assigned the above referenced Agreement to PG, and PG has assumed all rights and obligations thereunder. The undersigned respectfully requests a duly authorized representative from Maricopa County, by and for its Department of Public Health (hereinafter, the “Facility”) kindly sign and return a countersigned copy of this Notice & Consent Letter to Purdue Global’s Office of Legal Counsel email address at: legalcounsel@purdue.edu, no later than ten (10) business days from receipt, in order to acknowledge your receipt of this letter and your consent to the assignment. In the event the Agreement does not require consent, this Notice & Consent Letter shall constitute sufficient notice of the purported assignment. Please note, notwithstanding this assignment, Kaplan has assumed a managed services provider role for PG and undertakes the delegation of certain obligations under the Agreement, consequently, Kaplan and Kaplan’s personnel shall continue to be involved to facilitate support to PG.
