Contract No. C-22-17-074-3-05 Amendment No. 5 Page 1 of 2 AMENDMENT NO. 5 TO THE AGREEMENT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND TEMPE COMMUNITY ACTION AGENCY I. Maricopa County (“County”), administered by its Human Services Department, and Tempe Community Action Agency (“Contractor”), entered into a contract (“Agreement”) that was fully executed on or about August 23, 2017, for the term July 1, 2017, through June 30, 2018. The purpose of the Agreement is for the Contractor to make payments to landlords, mortgage companies, or utilities companies on behalf of eligible clients who require financial assistance. The County and the Contractor are collectively referred to as the “Parties.” The Parties fully executed Amendment No. 1 on or about January 17, 2018, which, among other things, increased the reimbursement amount by $300,000 from $615,000 to a not- to-exceed amount of $915,000 for the term July 1, 2017, to June 30, 2018. The Parties fully executed Amendment No. 2 on or about June 28, 2018, which, among other things, extended the Agreement term to July 30, 2019, and provided funding for the period July 1, 2018, through June 30, 2019. The Parties fully executed Amendment No. 3 on or about March 13, 2019, which, among other things, increased the reimbursement amount by $510,000 from $915,000 to a not-to-exceed amount of $1,425,000 for the term July 1, 2018, to June 30, 2019. The Parties fully executed Amendment No. 4 on or about June 19, 2019, which, among other things, extended the Agreement term through June 30, 2020, and provided funding for the period July 1, 2019, through June 30, 2020. II. The Parties agree to enter into this Amendment No. 5 to amend the Agreement as follows: A. Amend Paragraph 3.0 (Term of Agreement), Subparagraph 3.3, to add the following sentence: “The Agreement may be extended for a third, additional term not exceeding one year, upon acceptance and approval by the Parties through a formal Amendment.” B. Extend the Agreement Termination Date from July 1, 2020, through December 31, 2020 (“Extension Period No. 3”). C. Add that the County shall provide the Contractor with reimbursement funding in a not-exceed amount of $900,000 for Extension Period No. 3. The period of funding availability is July 1, 2020 through December 31, 2020. D. Add that the check writing fees shall not-exceed $25,000 for Extension Period No. 3. E. Replace Paragraph 33 (Israel Boycott) with the following: 33.0 WRITTEN CERTIFICATION PURSUANT TO A.R.S. § 35-393.01 If the Contractor engages in for-profit activity and has 10 or more employees, and if this Agreement has a value of $100,000 or more, then the Contractor certifies it is not currently engaged in, and agrees for the duration of this Agreement not to engage in, a boycott of goods and Contract No. C-22-17-074-3-05 Amendment No. 5 Page 2 of 2 services from Israel. This certification does not apply to a boycott prohibited by 50 U.S.C. § 4842 or a regulation issued pursuant to 50 U.S.C. § 4842. III. This Amendment No. 5 is subject to the provisions of A.R.S. §38-511. IV. The foregoing paragraphs contain all the changes made by this Amendment No. 5. All other terms and conditions of the Agreement remain in full force and effect as amended by Amendment Nos. 1, 2, 3, and 4. V. The Parties have authorized the undersigned to execute this Amendment No. 5, which shall be effective upon approval and signature by both Parties.
