SITE-SPECIFIC SUPPLEMENTAL AGREEMENT 
TO 
INTERGOVERNMENTAL AGREEMENT 
BETWEEN 
MARICOPA COUNTY 
AND 
SALT RIVER PROJECT  
AGRICULTURAL IMPROVEMENT AND POWER DISTRICT

This Amendment No. 1 to Site Specific Supplemental Agreement (“Amendment”) 
is entered as of the last date executed below by and between the Salt River Project 
Agricultural Improvement and Power District, (“SRP”), a political subdivision of the State 
of Arizona and Maricopa County (“COUNTY”), a political subdivision of the State of 
Arizona (“SRP” and “COUNTY” shall collectively be referred to herein as the “Parties”, 
or individually as a “Party”).  This Amendment is entered into pursuant to terms of that 
certain Intergovernmental Agreement G-30156 entered into by the Parties dated effective 
July 8, 2013, as amended by that certain Amendment No. 1 to Intergovernmental 
Agreement G-30156 (hereinafter the Intergovernmental Agreement G-30156 and the 
Amendment No. 1 to the Intergovernmental Agreement G-30156 are collectively referred 
to as the “IGA” and the IGA and the Original SSSA, as hereinafter defined, and this 
Amendment are sometimes hereinafter collectively referred to as the “Agreement”). 
 
RECITALS 
 
 
WHEREAS, the Parties previously entered into that certain Site Specific 
Supplemental Agreement (Maricopa County Agreement Number G-30182/C-70-16-009-
3-00) dated as of  October 7, 2015 (the “Original SSSA”) to permit COUNTY to develop 
and operate a wireless communication system at the SRP owned Kyrene Generating Station 
(the “Facility”) as described in the Original SSSA; and 
 
 
WHEREAS, the purpose of this Amendment is to permit COUNTY to expand its 
telecommunication systems at the Facility in order to maintain a reliable wireless 
communication system for the purpose of meeting its public safety and government agency 
responsibilities. 
 
TERMS OF AGREEMENT 
 
NOW THEREFORE, in consideration of the mutual promises and undertakings of 
the Parties hereinafter set forth herein and other good and valuable consideration, the 
sufficiency and adequacy of which the Parties acknowledge, it is hereby agreed as follows:

RECITALS.  The Recitals, by this reference, shall be incorporated herein and are 
made a part of this Amendment. 
 
2. 
DEFINED TERMS. All initial capitalized terms used in this Amendment, not 
otherwise defined herein, shall have the meaning ascribed thereto in the Original 
SSSA and IGA.  
 
3. 
SRP RESPONSIBILITIES 
a. SRP shall provide and install (1) new SRP-owned fiber optic panel (ADC FL2-
12TS-350 within the COUNTY’s building and (1) new SRP owned fiber optic 
panel (ADC FL224TS-525) within SRP’s Regen building as more particularly 
described and depicted in the Rack Arrangement Diagram and COUNTY-SRP 
Connection Diagram attached hereto and made a part hereof as EXHIBIT “A”, 
which is attached hereto and made a part hereof. Both of the aforementioned 
buildings are located adjacent to the Kyrene 500 yard within the Facility. 
 
b. SRP shall pull and terminate two (2) 12 strand fiber optic cables to the two (2) 
new fiber optic panels as more particularly described and depicted in EXHIBIT 
“A”. 
 
c. SRP will splice and assign four (4) fiber strands from Kyrene County Building 
to Kyrene 500kV Substation via Kyrene Mini-Hub as more particularly 
described and depicted in EXHIBIT “A”. 
 
d. SRP shall provide a new Router in its Kyrene 500 control house for use by the 
COUNTY for interconnectivity purposes as more particularly described and 
depicted in EXHIBIT “A”. 
 
e. SRP will assign two (2) fiber strands from the COUNTY building to the Kyrene 
500 building via the Regen building. [*Note that this is a linear, non-redundant 
route.*] as more particularly described and depicted in EXHIBIT “A”. 
 
f. The Parties hereby agree that neither the Original SSSA, nor this Amendment, 
give COUNTY the authority to enter into any other agreement with a third-
party to utilize the aforementioned SRP-owned fiber optic service and/or 
electrical extension for any other purposes beyond the planned public safety 
initiative, without the written approval of SRP, which approval may be withheld 
or granted in SRP’s sole and absolute discretion.  
 
g. Once the new fiber optic service is installed and connected, SRP shall thereafter 
be responsible for maintaining the fiber optic service, including, but not limited 
to, SRP’s fiber optic panels, JMUX node, cables, and splice from the 
COUNTY’s building to SRP’s Regen building.  SRP and County shall 
cooperate with respect to any Blue Staking and utility coordination.  County 
shall maintain the patch cables.

h. NOTICE IS HEREBY PROVIDED and the Parties hereby agree that approval 
of this Amendment by the Parties does not constitute approval by either Party 
of any permits or approvals that may be necessary for construction of the 
proposed fiber optic and/or electrical installation.  SRP and COUNTY shall 
work cooperatively to obtain any and all necessary permits from the requisite 
federal, state or local jurisdiction(s).  The COUNTY shall pay for all required 
construction permits.  
 
4. 
COUNTY RESPONSIBILITIES: 
 
a. Upon receipt of invoice, COUNTY shall pay SRP, in advance, an amount not 
to exceed Fifty-Two Thousand Six Hundred Eighty-six and NO/100 Dollars 
($52,686.00) for the complete scope of work at the COUNTY’s Kyrene 
Communication Site, as more fully detailed in EXHIBIT “B”, attached hereto 
and made a part hereof. 
 
b. COUNTY shall provide SRP with the appropriate rack space (10 rack units) 
within the COUNTY building located at the Facility, all as more particularly 
described and depicted in the Rack Arrangement Diagram and COUNTY-SRP 
Connection Diagram attached hereto and made a part hereof as EXHIBIT “A”. 
 
c. COUNTY shall provide SRP with the necessary access (i.e. key, proximity 
card, combination code, etc.) to the COUNTY building located within the 
Facility in order to operate and maintain the fiber, fiber panel and the fiber 
route.   
 
d. COUNTY has provided SRP with the necessary points of contact and call-in 
procedures needed in order to access the COUNTY building and gate to any 
surrounding fence) at the Facility within EXHIBIT “C”, attached hereto and 
made a part hereof. 
 
e. COUNTY shall provide two (2) Singlemode Fiber jumpers from ADC fiber 
panel to County’s equipment. SRP’s connectors will be SC-APC. 
 
f. COUNTY shall be responsible for their own future enhancements and upgrades 
as well as the costs associated for labor and materials to perform such future 
enhancements and upgrades. 
 
g. COUNTY shall be responsible for the design and construction within their own 
building for the installation of the COUNTY’s equipment. COUNTY agrees to 
provide the funding for all equipment, design and construction costs incurred 
by SRP.  COUNTY agrees to provide the funding and expertise to produce the 
documents (studies, engineering drawings and specifications) required for 
COUNTY to obtain any required permit(s) as needed.

5. 
EFFECTIVENESS.  Except as above provided, all of the terms, covenants and 
conditions of the Original SSSA, shall be and remain in full force and effect.  This 
Amendment may be executed in counterparts.  Electronically transmitted 
signatures shall have the same force and effect as original signatures. 
 
6. 
CANCELLATION/TERMINATION:  The Parties agree that the term, cancellation, 
and termination of this Amendment will be governed by IGA G-30156.  
 
7. 
ENTIRE AGREEMENT.  This Amendment, together with any exhibits attached 
hereto and any agreements executed contemporaneously herewith, including, but not 
limited to, the IGA and Original SSSA, constitute the entire agreement between the 
Parties and sets forth all of the covenants, promises, agreements, conditions and 
understandings between COUNTY and SRP, and there are no covenants, promises, 
agreements, conditions or understandings, either oral or written, between COUNTY 
and SRP other than as set forth herein, and referenced above.  This Amendment shall 
be construed as a whole and in accordance with its fair meaning and without regard 
to any presumption or other rule requiring construction against the party drafting 
this Amendment.
