Amendment No. 1 to Agreement 
Between 
Wesley Community Center, Inc. 
And 
Maricopa County 
 
This Amendment No. 1 (“Amendment”) to Agreement No. P50301 by and between Wesley 
Community Center, Inc., an Arizona non-profit corporation, doing business as Wesley Community 
Health Center (“WCHC”) and Maricopa County, a political subdivision of the State of Arizona 
(“County”),  dated May 10, 2017 (“Agreement”), is made and entered into by and between the 
WCHC and County, sometimes collectively hereinafter referred to as the “Parties.” 
 
RECITALS 
 
A. 
The Agreement is for use of two rooms, numbers 2 and 3, until February 29, 2020, located 
at 1625 N. 39th Avenue, Phoenix, AZ  85009-2149 (the “Old Premises”), and 
  
B. 
The term of the Agreement expires May 14, 2020, and 
 
C. 
As of March 1, 2020, County has been moved to a new Premises, as hereinafter defined, 
and 
 
D. 
The Parties now mutually desire to enter into this Amendment to the Agreement to create 
a new term and provide for consideration for the new Premises. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, WCHC and County 
agree to amend the Agreement as follows: 
 
1. 
The Recitals, by this reference, are hereby incorporated into this Amendment.  
 
2.  
Capitalized terms used in this Amendment without definition shall have the meanings 
 
assigned to such terms in the Agreement, unless the context expressly requires otherwise. 
 
3. 
The Agreement term is hereby extended approximately two (2) years, to commence May 
15, 2020 and expire May 31, 2022 (the “Extension Period”). The Agreement is subject to 
termination pursuant to the provisions of A.R.S. § 38-511, the provisions of which by this 
reference are incorporated herein.  
 
4. 
Effective March 1, 2020, County has been moved out of the Old Premises and into a 
different, un-numbered room, consisting of approximately 416 square feet, located at 1625 
N. 39th Avenue, Phoenix, AZ  85009-2149 (the “New Premises”). During the Extension 
Period the County shall remit to WCHC the sum of Five Hundred Fifty Dollars ($550.00)

per month, plus rental tax. County will also remit to WCHC, retroactively and upon 
invoice, $550.00 for use of the New Premises for each of months March, April and May, 
2020. 
 
5. 
WCHC will invoice County monthly with an invoice, at the following email address: 
 
WIC@maricopa.gov 
 
6. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement remain the same and in full force and effect.
