RESOLUTION OF THE BOARD OF SUPERVISORS OF MARICOPA COUNTY, ARIZONA APPROVING THE ELECTION BY THE BOARD OF DIRECTORS OF MARICOPA COUNTY, ARIZONA POLLUTION CONTROL CORPORATION OF PERSONS TO SERVE AS DIRECTORS OF MARICOPA COUNTY, ARIZONA POLLUTION CONTROL CORPORATION WHEREAS, Maricopa County, Arizona Pollution Control Corporation (the "Corporation") is an Arizona nonprofit corporation, designated by law as a political subdivision of the State of Arizona, and incorporated in 1983, with the permission of the Maricopa County Board of Supervisors, pursuant to the provisions of the Pollution Control Financing Act, Title 35, Chapter 6, Arizona Revised Statutes, as amended; and WHEREAS, under the provisions of A.R.S. § 35-805, the Board of Directors of the Corporation shall consist of not less than three or more than nine persons, all of whom shall be duly qualified electors of Maricopa County and none of whom shall be an officer or employee of Maricopa County; and WHEREAS, under the provisions of A.R.S. § 35-805, the Directors of the Corporation shall elect their successors and fill vacancies in the Board of Directors of the Corporation, subject to the approval of the Board of Supervisors of Maricopa County, as the governing body of the Corporation; and WHEREAS, the Board of Supervisors is hereby advised that on March 6, 2020, the Board of Directors of the Corporation re-elected Michael F. Mitchum, as a Director of the Corporation for a term ending December 1, 2025, re-elected Paul T. Gardner as a Director of the Corporation for a term ending December 1, 2023, re-elected Charles P. Dickinson, Jr. as a Director of the Corporation for a term ending December 1, 2021; and elected Robert L. Holmes and Miles Charles as Directors of the Corporation for terms ending December 1, 2025; and WHEREAS, the Board of Directors of the Corporation requests the Board of Supervisors approve the re-elections and elections as set forth in the preceding paragraph. NOW, THEREFORE, BE IT RESOLVED by the Board of Supervisors of Maricopa County, Arizona that the re-election and election by the Board of Directors of Maricopa County, Arizona Pollution Control Corporation of the following named persons 4717596.1 03/09/20 to serve as Directors of Maricopa County, Arizona Pollution Control Corporation for the terms stated is, for all purposes of A.R.S. § 35-805, approved: Charles P. Dickinson, Jr. Paul T. Gardner Michael F. Mitchum Robert L.
