JOB ORDER CONTRACT

EFFECTIVE DATE:
This CONTRACT is entered into by and between the Owner and the Job Order Contractor as
Contract No. FMD-N/A and shall be effective as of: 3/11/2020.

RECITALS:
The scope of work and specifications for a broad range of services will be identified in individual
Task Orders which will be issued by the Owner from time to time. See EXHIBIT D hereto.
NOW THEREFORE, intending to be legally bound and for valuable consideration, the receipt and
sufficiency of which are acknowledged, the Owner and Job Order Contractor agree as follows:

AGREEMENT:
Article I.
THE CONTRACT
1.1
The Task Order and other Contract Documents explained in Section 7.1 below and the
definitions which are contained Section 00700, Exhibit A, govern this Job Order Contract.
Article IL THE WORK
2.1
The Job Order Contractor shall execute the entire Work described by each Task Order,
including work which is reasonably inferable and necessary to produce the results intended by
the Contract and the Task Order.
Article III. CONTRACT TIME
3.1
The Job Order Contractor shall have access to the area of the Work effective from the date of
the Notice to Proceed for the assigned Task and shall achieve Substantial Completion and Final
Completion of the Work no later than the performance period specified in each Task Order
issued. The length of this Contract for services will be for a period of three (3) years with two
one-year options to extend the contract, but in no event will this Contract's Term continue
longer than five (5) years from the date of the Contract. The term of this Contract shall not be
extended. All Work issued hereunder must be completed in full by the final expiration date of
this Contract. Extensions to this Contract for years 4 and 5 may only be made by an amendment
signed by both parties. A permission to complete a Task Order that extends into Year 4 or
Year 5 does not extend the Contract in its entirety for the additional year.
3.2
The Job Order Contractor shall achieve Substantial Completion of the Work (as defined in
Section 00700, Article 9.8 herein, and evidenced by a Certificate of Substantial Completion)
not later than as specified in each Task Order.
3.3
The Job Order Contractor shall achieve (as defined in Section 00700, Article 9.9 herein, and
evidenced by a Certificate of Final Completion) no later than as specified in each Task Order.
Article IV. CONTRACT SUM
4.1
The Owner shall pay the Job Order Contractor in current funds for the Job Order Contractor's
performance of individual Task Orders in an aggregate amount not to exceed Three Million
Dollars, ($3,000,000.00) in total, (over a 3 year period), and not to exceed One Million Dollars
($1,000,000.00) per Fiscal Year, which Fiscal Year shall be designated by the Owner as
beginning on July 1st and ending on June 30th of the next calendar year. The single maximum
va ue of a task issued shall not exceed $1,000,000.00. The Owner does not guarantee a
minimum Contract Sum under this Contract, and Job Order Contractor, in accepting this
Contract, does not expect a minimum Contract Sum. Payments will be made in accordance
with the sum negotiated for each specific Task Order.
Maricopa County, at its sole discretion, may require the Job Order Contractor to purchase from
a specified or designated County supplier (i.e. Home Depot) any and/or all available materials
applied or installed by the Job Order Contractor or its subcontractors for a Task Order. The
materials purchased by the Job Order Contractor(s), or its subcontractor(s), shall be purchased
by the Job Order Contractor(s), or its subcontractor's, using their own funds and/or credit. Any
discounts offered to the JOC by the County's material supplier shall be passed through to the
County without markup. The County is not a party to these transactions and any issue/disputes
shall be resolved without the involvement of the County.
4.2
FEE AND OVERHEAD CALCULATIONS FOR CONSTRUCTION COSTS UP TO S250,000.00
Overhead must be all inclusive and include all "costs of doing business". The County will not
pay for items such as, but not limited to warranty ; project closeout, home office expense,
vehicles, vehicle maintenance, fuel, mileage, personal safety equipment, safety personnel,
unless safety personnel is specifically required for the Work being performed and approved by
the Owner. The Job Order Contractor agrees the overhead shall e no more than 8% and the
fee shall be capped at 5%.
4.3
FEE AND OVERHEAD CALCULATIONS FOR CONSTRUCTION OVER $250,000.00
Overhead must be all inclusive and include all "costs of doing business". The County will not
pay for items such as, but not limited to warranty, project closeout, home office expense,
vehicles, vehicle maintenance, fuel, mileage, personal safety equipment, safety personnel,
unless safety personnel is specifically required for the Work being performed and approved by
the Owner. Overhead cost and percentages in addition to Job Order Contractor fee(s) shall be
negotiated between the Job Order Contractor and the County for any projects exceeding
$250,000.00.
Article V.
PROGRESS PAYMENTS
5.1
Progress payments will be made in accordance with Article 9 of the General Conditions to the
Job Order Contract.
Article VI.
FINAL PAYMENT
6.1
Final Payment will be made in accordance with Article 9 of the General Conditions to the Job
Order Contract.
Article VII.
CONTRACT DOCUMENTS
7.1
The Contract consists of the following documents incorporated herein by this reference:
7.1.1 The Job Order Contract — Section 00500.
7.1.2 The General Conditions to the Job Order Contract — Section 00700.
7.1.3 Permits, Task Modifications, Change Directives, amendments or modifications to the
Contract.

Maricopa County Office of Procurement Services shall be responsible for approving all

7.1.9 UNIFORM ADMINISTRATIVE REQUIREMENTS:
When applicable and by entering into this Contract the Contractor agrees to comply with
all applicable provisions of Title 2, Subtitle A. Chapter II, PART 200—UNIFORM
ADMINISTRATIVE REQUIREMENTS, COST PRINCIPLES, AND AUDIT
REQUIREMENTS FOR FEDERAL AWARDS contained in Title 2 C.F.R. § 200 et seq.

1. Prior Experience
Bel-Aire Mechanical has been under contract with Maricopa County as their service provider since 1998.
We provide HVAC and plumbing service work and maintenance at numerous facilities throughout the
County on an as need basis. This includes multiple Central Plants, tonnage ranging from 20 to 300 tons,
various work at Maricopa County Jails, support facilities and court houses.
Maricopa County Courthouse
Old County Courthouse, replacement of three cooling towers including piping and pumps. Also replaced
system pumps and variable frequency drives, as well as adding concrete pads and pipe supports. Bel-Aire
facilitated the test and balance of the entire new system, as well as increased the size of the existing block
wall that surrounds the equipment yard.

Bel-Aire Mechanical, Inc. is currently under contract with Salt River Pima-Maricopa Indian Community at
the High School Central Plant, the Early Childhood Education Center and the Two Waters and Detention
Center Complex. Located in Scottsdale, Arizona the Central Plant at the Detention Center Complex is 1000
tons in size. In the same vicinity, the High School has a Central Plant that is 440 tons in size. We also
maintain a Water Source Heat Pump at the Early Childhood Education Center. We are operating both
Central Plant locations in a cost effective and energy efficient mode, performing daily housekeeping tasks
and maintenance functions to maximize the life expectancy and performance of the equipment.
Bel-Aire Mechanical is also currently under contract with Banner Good Samaritan Hospital to provide
HVAC and Piping maintenance/service work as requested by the facilities department. Maintenance and
service work provided by Bel-Aire Mechanical has included installation of complete systems, chilled water
coil replacement, as well as maintaining the trash and laundry chute ducts throughout the hospital. Bel-
Aire has also been called upon to provide test and balances of existing systems and to repair or replace
mechanical equipment as needed.

The Bel-Aire Mechanical Team provides effective Leadership on all of our projects, overseeing and
coordinating a team of our talented craftsmen, subcontractors and vendors. The key to the success of the
project at the jobsite level is having experienced construction leaders at the jobsite each day. Drew
Schroder and Jeff Jones are seasoned managers, builders and leaders. They have gained the respect and
support of the local subcontractor community. Drew and/or Jeff will implement the construction plan,
coordinate our work forces, the subcontractors and sequence of the work, ensure safety, daily manage
and track safety and quality, and ensure on-time and on-budget project delivery. Drew will also lead the
daily communication amongst the project team. Our Safety Director will direct our Safety Coordinators
to visit each project site frequently to perform safety and quality inspection in support of Drew's efforts.

Our teams have worked on various projects for the past 20 years. They have worked successfully on
projects such as the Maricopa County Lower Buckeye Jail Central Plant Upgrades, Maricopa County
Central Plant Cooling Tower Change Out and 4th Avenue Jail Upgrades. Howard will provide Maricopa
County with the added expertise of 28 years of control knowledge insuring the best options and energy
savings that can be achieved and controlled.
Bel-Aire Mechanical has the internal engineering expertise and capabilities for the design of energy
efficient mechanical HVAC and plumbing systems throughout the State of Arizona. Howard Clifford is a
graduate of ASU with a Mechanical Engineering degree whom has worked within the states mechanical
HVAC contracting industry since graduation. Howard has worked with the majority of the design
engineers and engineering community during his 40 year career. He has the complete picture of the
design and controllability of mechanical and plumbing systems for the best interest of the Owner and the
project team. Bel-Aire Mechanical also has the hands-on experience with the tried and true union craft
personnel that provide real mechanical solutions and extensive knowledge of properly functioning HVAC
and plumbing systems.
It is very difficult to assign a percentage of time and employee will be dedicated to a project, when the
project or scope is not known. Be assured that our team will be dedicated to each and every projects
from start until finish. Some projects will have more design needs then others. Some projects could be
safety intense, or some more construction than design assist. We have a devoted team. Drew, Howard,
Jeff and Raul have been with Bel-Aire Mechanical for more than 14 and as many as 20 years. This team
specializes in retrofit projects under 2 million dollars, each taking anywhere from 8 weeks to 6 months to
complete. We have been through the security checks, fingerprinting and badging needed for Maricopa
County projects.
Throughout the project development phase our team provides timely, accurate information for budgeting
and equipment selection so the entire team can make an informed decision. They are able to analyze and
determine when it is necessary to remove and replace products and/or equipment or repair and upgrade
them when it comes to renovation type projects. Our workforce is comprised by the highest quality
people in the market that utilize continuing education opportunities to stay at the height of ability and
skill, so that our clients receive the highest quality, and highest value project.
Our service technicians are certified by multiple manufacturers and are current with all required
certifications. They have undergone multiple background checks and have D.P.S. fingerprint cards for
access to facilities occupied with children. Our Service Technicians are our front line contact with our
clients and strive to exceed their expectations in all circumstances.

3. Team Approach Capability
Bel-Aire Mechanical recognizes that a team approach has quickly become the way to organize Project
Teams to achieve LEAN construction at a time when the industry is searching for ways to eliminate waste,
reduce costs, improve productivity and optimize positive outcomes. This approach integrates all Team
Members; owners, architects, general contractors, engineers and subcontractors to form a collaborative
effort.
The team approach also promotes the experience, resources, talent and input of all Team Members in
order to obtain the best results and increase value for the owner by reducing waste and maximizing
efficiency throughout the life cycle of the project from design and fabrication to the completion of
construction. Done correctly, IPD should produce shorter delivery times than traditional design-bid-build
project delivery methods.
In our approach to provide pre-construction services, we involve partnering, teamwork, coordination and
integration of the Owner, Design Team and Construction Manager through communication at weekly
meetings. Weekly team meetings empower the team to all be on the same page, supporting each other
and pulling in the same direction. Bel-Aire Mechanical's Project Team members are trained to
communicate, whether it's by telephone, through formal reports, informal conversations, e-mail, meeting
minutes, or "GO to Meeting" we continuously communicate with team members, vendors, suppliers and
subcontractors.
Our pre-construction team will attend all required meetings and provide input and feedback on budget,
value engineering and performance requirements of the equipment. Bel-Aire Mechanical has the
technology for "Go to Meetings" and virtual conferencing. We recognize that Integrated Project
Delivery (IPD) is the most effective way to organize project teams to achieve LEAN construction at a time

During Design Evaluation, we gather all the facts and review the project goals such as cost, schedule, and
quality to understand the design direction and anticipated systems. We offer alternatives to each system
and discuss the pros and cons of each, agree on the approach, and provide the hard data to validate team
decisions. Through this process, we gain a complete understanding of the project goals and can develop
a guide for the Project Team in selecting materials and methods, sequencing of the construction process
and defining all the desired elements of the project, validating the project scope and system functionality.
The end result provides the best product which incorporates the project goals and objectives while

Our Service Department repairs, maintains and retro-fits existing equipment and systems. Our technicians

coolers and freezers and drinking fountains. Our Plumbing Service Technicians maintain the potable and

Experience: Jeff Jones is a Project Manager and has been a member of Sheet Metal workers local 359 for more
than 37 years. In 1981 he graduated with honors from The Refrigeration School Incorporated (RSI).
Courses included basic heating and air conditioning theory to electrical circuitry. In 1988 he
successfully completed a four year apprentice program at Phoenix Joint Apprenticeship Training
Center which included advanced drafting and sheet metal layout. Jeff continues to participate in
ongoing education and training through his Sheet Metal Local. His entire career has been in the
service, maintenance and installation aspect of the HVAC Industry. Work history includes 13 years as
a Service Technician at Goettl Air Conditioning, servicing residential and light commercial air
conditioning systems. Followed by 12 years at Thomas Heating and Air Conditioning where he
assumed the Service Manager position. The past 12 years Jeff has been employed with Bel-Aire
Mechanical as our Service Manager and Project Manager. His many years of service expertise with
continuous education and certification on the latest equipment, have given him a vast knowledge of
both air conditioning service and customer satisfaction. Jeff has worked closely with Maricopa County
in the past 15 years, working directly with their Project management and Facilities coordinators.
Projects include downtown and east valley court buildings, juvenile detention centers, Durango,
Estrella and Tower jails, forensic science lab, evidence drying room, Sheriff's sub-stations, department
of transportation, flood control, vehicle maintenance garages, animal control centers, data room
control centers and the county main boiler room controls hub located below the downtown courts
building. Jeff consults with the Maricopa County on various projects and writes comparative scripts
and develops definitive work scopes for renovation type projects. We provide HVAC and plumbing
service work and maintenance at numerous facilities throughout the County on an "as needed basis".
This includes multiple Central Plants and emergency service work at all Maricopa County facilities.

Experience
Raul Aguirre has 19 years in the pipefitting trade, with the last 15 with Bel-Aire
Mechanical. His supervisory and leadership skills have been utilized in a variety of work
including the ASU New School of Business, University of Arizona Cancer Center, Sub Zero
Manufacturing Facility, Arrowhead Hospital Remodel, multiple Arizona State University
projects, Phoenix Children's Hospital, NICU at Good Sam Hospital, and Banner Data
Center. His attention to detail and keen knowledge of engineered piping systems
enables him to complete projects safely, on time and within budget. Raul Aguirre will
serve as the Project Superintendent coordinating work with the General Contractor and
project manager. Raul is also responsible for the direct supervision of the pipefitte r
crews, coordination and supervision of subcontractors and vendors, project scheduling,
pipe material identification and pipe requisitions. Raul has completed his
apprenticeship with the Local Union 469 and has taken continuous safety training and
various other training courses with the union hall. He also holds Mechanical Journeyman
and Gas Fitter Journeyman Licenses for the City of Phoenix. His supervisory skills and
knowledge make him an asset to any team.
