AMENDMENT No. 4 TO FACILITY USE / REVOCABLE LICENSE AGREEMENT 
BETWEEN 
KEOGH HEALTH CONNECTION 
AND 
MARICOPA COUNTY  
 
This Amendment No. 4 (“Amendment”) to the Facility Use/Revocable License Agreement No. 
P50238 by and between Keogh Health Connection, an Arizona non-profit corporation 
(“Contractor”) and Maricopa County, a political subdivision of the State of Arizona (“County”), 
dated March 14, 2014 and subsequently amended on January 14, 2015, February 3, 2016 and 
February 28, 2018 (collectively, “Agreement”), is made and entered into by and between the 
Contractor and the County, sometimes collectively hereinafter referred to as the “Parties.” 
 
RECITALS 
 
A. 
The Agreement is for use of four County licensed space locations designated on Exhibit A 
to the Agreement. 
 
B. 
The term of the Agreement expires February 29, 2020. 
 
C. 
The Parties now mutually desire to enter into the Amendment to amend the Agreement to 
create a new term and reduce the number of WIC Sites designated on Exhibit A. 
 
  
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, Contractor and 
County agree to amend the Agreement as follows: 
 
1. 
The Agreement term is hereby extended two (2) years, to commence March 1, 2020 and 
expire February 28, 2022. The Agreement is subject to termination pursuant to the 
provisions of A.R.S. § 38-511, the provisions of which by this reference are incorporated 
herein. 
 
2. 
The effective date of this Amendment is the date of execution by the Maricopa County 
Board of Supervisors. 
 
3. 
Exhibit A to the Agreement is deleted in its entirety and replaced with Exhibit A, attached 
hereto and made a part hereof, and Subsection 2.1 of Article 2, Contractor Responsibilities, 
is hereby amended by replacing Exhibit A with the attached Exhibit A.

All capitalized terms not defined herein shall have the definitions as defined in the 
Agreement. 
 
5. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement remain the same and in full force and effect.
