AMENDMENT No. 3 TO FACILITY USE / REVOCABLE LICENSE AGREEMENT 
BETWEEN 
EMPOWERMENT SYSTEMS, INC. 
AND 
MARICOPA COUNTY  
 
This Amendment No. 2 (“Amendment”) to the Facility Use/ Revocable License Agreement No. 
P50246 by and between Empowerment Systems, Inc., an Arizona non-profit corporation 
(“Contractor”) and Maricopa County, a political subdivision of the State of Arizona (“County”), 
dated March 5, 2014 and subsequently amended on February 3, 2016 and February 28, 2018 
(collectively, “Agreement”), is made and entered into by and between the Contractor and the 
County, sometimes collectively hereinafter referred to as the “Parties.” 
 
RECITALS 
 
A. 
The Agreement is for use of one County licensed space location designated on Exhibit A 
to the Agreement. 
  
B. 
The term of the Agreement expires February 29, 2020. 
 
C. 
The Parties now mutually desire to enter into this Amendment and amend the Agreement 
to extend the term. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, Contractor and 
County agree to amend the Agreement as follows: 
 
1. 
The Recitals by this reference are hereby incorporated into this Amendment. 
 
2. 
The Agreement term is hereby extended two (2) years, to commence March 1, 2020 and 
expire February 28, 2022. The Agreement is subject to termination pursuant to the 
provisions of A.R.S. § 38-511, the provisions of which by this reference are incorporated 
herein. 
 
3. 
The effective date of this Amendment is the date of execution by the Maricopa County 
Board of Supervisors. 
 
4. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement remain the same and in full force and effect.
