Amendment No. 2 to License Agreement  
for 
Use of Real Property  
 
This Amendment No. 2 (“Amendment”) to License Agreement for Use of Real Property, 
License No. P-50220, C-2014-138, dated  April 9, 2014, and subsequently amended November 2, 
2016 (collectively, “Agreement”) is made and entered into by and between the Town of Fountain 
Hills (“Licensor”) and Maricopa County, a political subdivision of the State of Arizona 
(“Licensee”) (Licensor and Licensee are collectively referred to herein as “Parties”). All 
capitalized terms not otherwise defined in this Amendment have the same meanings as contained 
in the Agreement. 
 
RECITALS 
 
WHEREAS, the Agreement is for use of property located at 16426 E. Palisades Blvd., 
Fountain Hills, Arizona consisting of approximately 100 square feet of vacant space at the 
Fountain Hills Fire Station for Licensee’s Monitor Site, and 
 
WHEREAS, the term of the Agreement expires January 31, 2020; and 
 
WHEREAS, Licensee desires to exercise the second of two options to renew the term for 
three years, update Licensor’s notice address and adjust the License fee. 
 
AGREEMENT 
 
 
NOW, THEREFORE, in consideration of the foregoing introduction and recitals, which 
are incorporated herein by reference, the following mutual covenants and conditions, and other 
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, 
Licensor and Licensee hereby agree as follows: 
 
1. 
The Recitals, by this reference, are incorporated herein and made a part of this 
Amendment. 
 
2. 
The term of the Agreement is hereby extended for three (3) years, to commence February 
1, 2020 and expire January 31, 2023, under the second of two options to renew.  
 
3. 
The notice address for Licensor is changed to the following:

4. 
During the term from February 1, 2020 until January 31, 2023, the license fee is changed 
to $400.00 (Four Hundred Dollars) per year. 
 
5. 
This Amendment is subject to the provisions of A.R.S. § 38-511, the provisions of which 
are incorporated herein by this reference. 
 
6. 
This Amendment shall not become effective until it is executed by Maricopa County 
(“Effective Date”). 
 
7. 
The foregoing paragraphs contain all of the changes made by this Amendment. In all other 
respects, the Agreement is affirmed and ratified and, except as expressly modified herein, 
all terms and conditions of the Agreement shall remain in full force and effect.
