CORPORATION

WHEREAS. Maricopa County. Arizona Pollution Control Corporation (the
“Corporation ) is an Arizona nonprofit corporation, designated by law as a political subdivision
of the State of Arizona and incorporated in 1983. with the permission of the Maricopa Counts
Board of Supers sors, pursuant to the provisions of the Polhution Control Financing Act. Pithe 338.
Chapter 6, Arizona Revised Statutes. as amended: and

WHEREAS. Charles P. Dickinson, Jr is a duly elected Director of the Corporauion with
a term expiring December 1. 2021: and

WHEREAS. the Directors have been advised that it is appropriate and timely that
Mr Dickinson be re-elected as a Director of the Corporation for a six (0) year term expiring

December |. 2027

NOW. PUEREEPORI:. be it resolved that

| Charles P. Dickinson, Jr. be and is hereby re-elected as a Director of the

Corporation, for a six (6) year term ending December 1. 2027. subject to the approval of the
Maricopa County Board of Supervisors.
