MEMORANDUM OF UNDERSTANDING

BETWEEN THE ARIZONA HUMANE SOCIETY AND THE MARICOPA DEPARTMENT OF EMERGENCY

MANAGEMENT

This Memorandum of Understanding (MOU) is entered into between Maricopa County by and through
its Department of Emergency Management (MCDEM) and the Arizona Humane Society (AHS). MCDEM
and AHS are referred to herein individually as a “Party” and collectively as the “Parties.”

PURPOSE. The purpose of this MOU is to outline responsibilities and major actions to support
response and recovery operations when requested by MCDEM, specifically as it relates to
providing assistance and services to animal victims of disaster; as well as other services for
which cooperation may be mutually beneficial.

SCOPE. This MOU provides guidance and documents the agreement for providing assistance and
services to animal victims of disaster, for Maricopa County and its incorporated cities, towns,
and tribal communities at the local level when requested through the County. Actions and
agreement herein apply only to the participating parties and are not intended to supersede
existing regulations or agreements or to commit the participating parties to any action relative
to a third party.

RESPONSIBILITIES.
a. The Arizona Humane Society will provide the following services:

Under Emergency Support Function (ESF) 6, act as lead agency regarding animal
sheltering, evacuations and search and rescue for domestic household pets only.
Rescue of abandoned or stranded domestic household pets, by authorized and
qualified personnel.

Offer guidance and support regarding coordination of domestic household animal
food and supplies.

Under ESF 8, provide veterinary exams for domestic household pets that have been
impacted by the disaster.

Act as lead agency to respond, set up and operate an animal decontamination
center in the event that domestic household pets have been exposed to hazardous
material.

Act as lead agency to respond to a Palo Verde Generating Station emergency
response at the Reception and Care Center (RCC) to include temporary on-site
kennel, monitoring of household pets and service animals, and decontamination of
household pets and service animals if necessary.

Manage the receipt, sorting, transportation, storage and distribution of all donated
goods associated with domestic animal sheltering and/or search and rescue as it
pertains to domestic household pets.

Establish a Shelter Lead(s) who will act as a liaison to the Red Cross, MCDEM, the
Emergency Operations Center (EOC) and any other associated organizations.

ix. Compassionate removal of unclaimed domestic household animals who don’t
survive the disaster.
x. Participate in the planning, training, and exercise initiatives of Maricopa County
Department of Emergency Management when requested
b. Maricopa County Department of Emergency Management will provide the following
services:
i. MCDEM will, to the extent feasible and within its discretion, support animal care
operations in the following areas:
ii. |. Coordinate or provide general radiological response training for an event at Palo
Verde Generating Station.
iii. Inclusion Arizona Humane Society to annual Reception and Care Center Exercise
Planning efforts and training.
iv. | Supplement AHS equipment required for animal monitoring and decontamination at
the Reception and Care Center when critically necessary and fiscally allowable.

IV. FINANCIAL MANAGEMENT. There will be no transfer of funds between Maricopa County and
the Arizona Humane Society.

V. NO PARTNERSHIP, NO EMPLOYMENT. Each Party represents that it does not intend to create a
partnership and the Parties agree that nothing in the MOU should be construed to create a
partnership between the Parties. Each Party providing services separately for the community,
as more particularly described herein, and not as an employee or agent of another Party, and
each Party shall be wholly responsible for its own work, which work is not directed by nor under
the control of any other Party.

VI. DURATION AND TERMINATION. The effective date of this MOU will be an auto renewal from
the date the last Party has signed. The MOU may be terminated by either Party upon (30) days
advance written notice of termination.

VII. GOVERNING LAWS. This MOU shall be governed by and construed in accordance with the laws
of the State of Arizona.

Vill. CANCELLATION. This MOU is subject to cancellation for conflict of interest pursuant to A.R.S. 38-
511.

IX. FOREIGN PROHIBITIONS. Contractor certifies under A.R.S. 35-391 et seq., and 35-393 et seq.,
that it does not have, and during the term of this MOU will not have, “scrutinized” business
operations, as defined in the preceding statutory sections, in the countries of Sudan or Iran.

X. PLANNING AND IMPLEMENTATION. Cooperative arrangements for planning, exchange of
information and continuing liaison will be developed and maintained.

This statement of understanding will be shared at all appropriate levels of the Arizona Humane
Society and Maricopa County and will be in effect when signed by both parties and shall remain
in effect until termination by written notification by either party.

INDEMNIFICATION. To the fullest extent permitted by law, AHS shall defend, indemnify, and
hold harmless County, its agents, representatives, officers, directors, officials, and employees
from and against all claims, damages, losses and expenses, including, but not limited to,
attorney fees, court costs, expert witness fees, and the cost of appellate proceedings, related to,
arising out of, or alleged to have resulted from the negligent acts, errors, omissions or mistakes
relating to the performance of this agreement. AHS duty to defend, indemnify and hold
harmless County, its agents, representatives, officers, directors, officials, and employees shall
arise in connection with any claim, damage, loss or expense that is attributable to bodily injury,
sickness, disease, death, or injury to, impairment, or destruction of property, including loss of
use resulting there from, caused by any negligent acts, errors, omissions or mistakes in the
performance of the agreement including any person for who acts, error, omissions or mistakes
AHS may be legally liable.

The scope of this indemnification does not extend to the sole negligence of County.
