License No. P-50189 Amendment No. 07 C-18-12-011-3-08 AMENDMENT No. 7 TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY BETWEEN MARICOPA COUNTY, LICENSOR AND CITY OF PHOENIX, LICENSEE RECITALS A. Licensor and Licensee are parties to that certain License Agreement No. P-50189 approved by the Maricopa County Board of Supervisors on August 31, 2011 and subsequently amended October 31, 2012, December 11, 2013, November 5, 2014, December 14, 2015, January 9, 2017, and December 13, 2017 (collectively, “License”). The License is for access to and use of Property or Properties as defined in the License Agreement. B. The term of the License expires December 31, 2021. C. Parties now mutually desire to enter into this Amendment No. 7 (“Amendment”) to extend the term; provide for termination language; grant a renewal option; update Licensor’s notice address; and modify EXHIBIT “A”. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the sufficiency and adequacy of which are hereby acknowledged, Licensor and Licensee agree to amend the License as follows: 1. The Recitals, by this reference, are hereby incorporated in this Amendment. 2. Capitalized terms used in this License without definition shall have the meanings assigned to such terms in the License, unless the context expressly requires otherwise. 3. The term of the License is hereby extended five (5) years, to commence January 1, 2022, and expire December 31, 2026. This License, as amended, is subject to the provisions of A.R.S. § 38-511, the provisions of which are incorporated herein by this reference. The License may be terminated by either Party by giving thirty (30) days’ prior written notice. 4. Licensor grants to Licensee the option to renew this License for one (1) additional term of five (5) years. To exercise this option, Licensee shall provide Licensor with written notice of its intent to renew no later than 180 days prior to the expiration of this License. 5. Exhibit A to the License shall be deleted in its entirety and replaced with Exhibit A, attached hereto, and incorporated herein by this reference. 7. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the License remain the same and in full force and effect.
