FIRST AMENDMENT TO SALT RIVER PROJECT LAND USE LICENSE This First Amendment to Salt River Project Land Use License (“Amendment”) dated the ____day of _______, 20____, is entered into by and between SALT RIVER PROJECT AGRICULTURAL IMPROVEMENT AND POWER DISTRICT, an agricultural improvement district, organized and existing under the laws of the State of Arizona, hereinafter referred to as "Licensor," and MARICOPA COUNTY, a political subdivision of the State of Arizona, hereinafter referred to as "Licensee". RECITALS WHEREAS, the parties hereto entered into a Salt River Project Land Use License dated November 7, 2019, known as License #78619 (the “License Agreement”); and WHEREAS, the term of the License Agreement expires on November 23, 2022; and WHEREAS, the parties now desire to amend said License Agreement to extend the term. AGREEMENT NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the sufficiency and adequacy of which are hereby acknowledged, it is mutually understood and agreed by the parties hereto as follows: 1) The Recitals, by this reference, are hereby incorporated into this Amendment. 2) Effective as of the effective date of this Amendment, the term in Section 5 of the License Agreement is extended approximately two (2) years to expire on December 1, 2024 or until terminated subject to terms of the License Agreement. The License Agreement, as amended, is subject to the provisions of A.R.S. §38-511, the provisions of which are incorporated herein by this reference. 3) The Assistant County Manager of Maricopa County and/or the Director of the Real Estate Department of Maricopa County shall administer the License Agreement, as amended. 4) Except as above provided, all of the terms, covenants and conditions of said License Agreement, shall be and remain in full force and effect.
