C-22-20-009-3-03 AMENDMENT NO. 3 Page 1 of 4 AMENDMENT TO INTERGOVERNMENTAL AGREEMENT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND SCOTTSDALE UNIFIED SCHOOL DISTRICT I. Maricopa County (“County”) administered by its Human Services Department and Scottsdale Unified School District (“District”) entered into a financial Intergovernmental Agreement (“Agreement”), which was fully executed on or about September 30, 2019. The purpose of the Agreement is for County to purchase full-service food catering services of nutritious meals and snacks that meet Child and Adult Care Food Program (CACFP) guidelines and contain at least one-third (1/3) of the daily-recommended dietary allowances for the County’s Head Start program for the term of October 1, 2019, through September 30, 2020. The County and the District collectively are referred to as the “Parties.” The Parties fully executed Amendment No. 1 on or about December 2, 2019, to revise Section 28.0 (Service Delivery). The Parties fully executed Amendment No. 2 on or about September 29, 2020, to extend the term of the Agreement from September 30, 2020 through September 30, 2021. The Amendment also revised the number of meals to be provided for the extension period and the costs for meals. II. The Parties agree to enter into this Amendment No. 3 to amend the Agreement as follows: A. Extend the Agreement term (Extension Term): October 1, 2021, through September 30, 2022. B. Revise Paragraph 8.0 (CHANGES), Subparagraph 8.1, remove and replace with the following: 8.1 By the County: 8.1.1 Administrative Change Orders – The Chairman of the Board of Supervisors is authorized upon the recommendation of the Human Services Department Director or their designee and Legal Counsel to make changes within the general scope of the Agreement on behalf of the County through Administrative Change Orders. Administrative Change Orders shall be approved and fully executed by the Chairman of the Board of Supervisors and the Contractor’s authorized Representative. Administrative Change Orders may address any of the following areas: 8.1.2 Modifications to the project timeline if the last day of the project timeline is within the Agreement term; 8.1.3 Modifications required by federal, state, or County regulations, ordinances, or policies; and 8.1.4 Modifications to Administrative requirements such as changes in reporting periods, frequency of reports, or report formats required C-22-20-009-3-03 AMENDMENT NO. 3 Page 2 of 4 by Department of Education or local regulations, policies or requirements. C. Add that the County shall reimburse the District for food service delivery during the Extension Period for the not-to-exceed amount of $790,431. D. Revise Section 29.0 (Compensation), Subsection 29.1 (Funding), by replacing Subsubsections 29.1.2 and 29.1.3 with the following: 29.1.2 Funding availability period shall begin October 1, 2021 through September 30, 2022. 29.1.3 Funding amount shall not exceed $790,431 for the Extension Term. Claims for reimbursement in excess of the Amendment amount will require a formal, written amendment, as specified in section 6.0 of this Agreement. III. Section II above contains all the changes made by this Amendment No. 3. All other terms and conditions of the original Agreement and previously executed Amendments remain the same and in full force and effect as approved and amended. IV. The Parties have authorized the undersigned to execute this Amendment No. 3, and it shall be effective on the date of final approval and signature by the Parties.
